Firat:- The name of this inoorporation shall be the
"Baughman Memorial Methodist Episcopal Church".
Second:- The object and purpose of this organization shall
be to worship Almighty God acoording to the faith and discipline
of the Methodist Episcopal Church of' the United Staten of Ar.lOrlcu.
And,also for, the purpose of holding Sabbath School and other
meetings recognized by the discipline of the said church.
Also, to reoeivo and hold Real Estate,and other property.To
rrort[ere the ~awe for the purpose of securing the loan of money
to liquidate debts contracted in bu1ldine, or for repairs to their
church or parsonage property, and to convey the eame, in fee, the
same as other corporations poli tic in law, uncler restrictions h(O;re-
inaftor ne.med unO. such as r-ay be necessary to conferm to the laws
()f the land.
Third:- The place of meeting shall be in the church building
or other convenient and suitable place in town or locality of the
said congregation.
Fourth:- The said corporati0n is to exist perpetually.
Fifth:- There shall be a Board of Truatees, consisting of
nine persons, a majority of whom shall be members of the said
Hethodist Episcopal Church in the United states of America. The
said trustees shall be elected annually, by the lay members of the
said corporation or church,over twenty-one years of age,(and who
~ have paid up their dues or assessments to said church~ at a
meeting of the corporation called for that purpose, of whioh

Quarterly Conference of the said church.
S1xth:- The first olection of trustees, under this charter,
shall be held on the Second Monday suoceeding the granting of this

Oharter, at which time, nine trustees shall be elected. Throe
to serve ~Qr three years, three to serve for two years, and three
to serve for one year. And annually thereafter, there shall be
three trustees elected to serve ~or three years,and every third
year, three trustees shall be elected, SQ as to make the number
nine complete.

Seventh:- The said trustees, SQ elected, shall, within ten
days a~tcr ~heir election,meet and mrganize by electing from their
number a president, a secretary, and a treasurer, to serve for the
ensuing year, er until his or their successor or successors shall
be elected.
In case a vacancy shall eccur in the Board of Trustees by
death,or otherwise, the same shall be ~illed by the remaining trus~-
ees,until the next election.
Eighth:- No person shall be eligible to election as a trustee

hereinaf'ter specified, agreeably to the Act Gf General Assembly,
approved April 26th, 1855, and other laws in force for ouch cases

Aot of Assembly and rule of this Court in such case made and

A STATEMENT OF INTEREST FROM THE BOARD OF TRUSTEES:
On April 5, 1965 a trust fund was created with
CCNS to manage property and funds given to the
Baughman MomL1rial Unitod MGthodist Church through
bequests or giftse Through out the succeeding
'Years, soma monies wore inadvertently deposited
into this trust fundo Upon investigation, the
Board of Trustees found that th8 Trust Agreement
itself was defoptive for tho following reasons:
10 It doos not state a specific purpose.
20 It d08s not provide for distribution of the
principal of the trust.
3. It does not provide for termination of the
trust.
4. It does not provide for modification or
revDcation of tho oxisting agreemento
Tho Snard of Trusteos is seeking to reviso this
trust agreoment to eliminate the defects listed
abLJve.
According to the Beok of Discipline of the
UniteD Methodist Church 1976, paragraph 2427,
the Board of Trusteos have the duty to ". 0 .
receive and administer all bequests made to the
local church, and to receive and administer all
trusts 0 0 0" The revised Trust Agreement will:
10 Permit transfer to the general fund monies
depositec inadvortently under the assumption
that such deposit into the trust was required.
20 Allow modification of tho existing trust
agreement to curo th~" defects listed above.
3. Substitute tho Board of Trustees os trustees
for the Fund in plac8 of CCNB. This substi-
tution will bring thL trust agreement into

Cumberland County, Pennsylvania~ hereinafter called Settlor and the Board
of Trustees of the Baughman Memorial United Methodist Church which shall
be comprised of Trustees duly elected to office under the authority of the
original charter dated October 21, 1907, and amendments thereto.
WITNESSETH:
WHEREAS~ Settlor believes it to be to the ultimate benefit of the Church
and the congregation to place certain church funds in an unrestricted
General Trust Fund so as to reap the benefit of investment management and
still have such funds available for such uses as from time to time may be
determined advisable, and
WHEREAS~ The Book of Discipline of the United Methodist Church 1976 requires
in paragraph 2427 as follows:
"Subject to the direction of the Charge Conference as hereinbefore
provided the Board of Trustees shall receive and administer all
bequests made to the local church; shall receive and administer all
trusts; shall invest all trust funds of the local church in conformity
with laws of the country~ state or like political unit in which the
local church is located."
WHEREAS~ Trustees have agreed to act as Trustees of such a General Trust Fund
in accordance with the following terms and conditions.
NOW THEREFORE~ the parties hereto in consideration of the mutual benefits to
be derived therefrom~ agree as follows:
1. Trustees acknowledge receipt of the property listed on Schedule A attached
hereto and made a part hereof. Trustees agree to hold same together with any
other property added hereto from time to time and together with the invest-
ments~ reinvestments and proceeds thereof to be held by Trustees in Trust~ and
managed and administered in accordance with the terms of this Agreement.
2. Trustees shall assume full responsibility for the management and investment
of the trust assets.
3. The purpose of this trust is to provide a well invested fund from which the
Trustees may distribute from time to time in their discretion income or princi-
pal as deemed appropriate for any church purpose. Any income so distributed
shall be accumulated and added to the trust principal for investment and reinvest-
ment.
4. In addition to the powers of Trustees vested in them by law, Trustees shall
have authority and power:
A. To retain any and all investments or other property assigned and
transferred hereunder or hereafter added to this trust so long as
Trustees shall deed proper and for the best interests of the trust
estate, and to invest and reinvest the proceeds thereof from time to

time in such stocks, bonds, securities, common trust funds, mortgage
investment funds and other property as to Trustees shall deem proper.
B. To transfer, register and hold any or all investments or other
property in bearer form or in the name of any other person, partner-
ship, or corporation as nominee or nominees of Trustees without dis-
closing any fiduciary relationship.
C. To execute proxies and powers of attorney to vote any share of
stock held in the trust estate to any person or persons selected by
it.
D. This Agreement and the trust hereby created shall be revocable and
amendable by it in whole or in part and may be amended at any time by
executing an instrument in writing from time to time and as many times
as Settlor desires, which shall be submitted to the Court of Common
Pleas of Cumberland County for approval.
5. Subject to the approval of the Trustees, anyone may add property, real
and personal, to the principal of this trust by deed, will or otherwise.
6. Trustees shall use their discretion to determine whether funds or pro-
perty deposited into the General Trust Fund were done so in response to a
specific provision of a gift, bequest or transfer, or whether such funds or
property were deposited inadvertently. Trustees may use this discretion to
determine if the purpose of a gift, bequest, transfer would be better served
by deposit into the general fund of the Settlor.
7. Funds shall be administered in accordance with the prOV1Slons of specific
bequests, gifts or transfers. Where there has been a charge of circumstances
so that compliance with the literal terms of a specific bequest, gift or trans-
fer wout1 result in defeating or impairing the accomplishment of these purposes
for whatever reason, the Trustees are authorized to petition the court for
appripriate disposition of funds in accordance with the law.
8. No part of the net earnings or of the principal of the trust shall inure to
the benefit of any private individual for purposes other than those for the bene-
fit or Settlor Church.
9. The situs of this trust for administrative and accounting purposes shall be
Cumberland County, Pennsylvania; and all questions pertaining to the construc-
tion or validity of the provisions of this instrument shall be governed by the
laws of Pennsylvania.
10. Trustees shall not be required to give bond for the faithful performance
of its duties in this or any other jurisdiction.
11. In the event that this trust is terminated for any reason, with funds
undistributed, said funds shall be transferred and distributed in accordance
with the provisions of the Book of Discipline of the United Methodist Church
1976 as amended or revised and subject to the direction of the Charge
Conference; otherwise in accordance with the doctrine of cy pres.
