LAST WILL AND TESTAMENT
I, GRACE B. FOGELSANGER, of the Borough of Shippensburg, Cumberland County,
Pennsylvania, being of sound mind, memory and understanding, do make and
publish this my Last Will and Testament, hereby revoking and making void any
and all former wills by me at any time heretofore made.
FIRST. I direct my hereinafter named Executrix to pay all my just debts
and funeral expenses as soon as conveniently may be after my decease. I
direct that all inheritance and estate taxes payable by reason of my death
on property passing hereunder or otherwise be paid from my residuary estate.
SECOND. I give, devise and bequeath my tract of farm land together with
the dwelling house, barn and other buildings erected thereon located in the
Township of Southampton, Franklin County, Pennsylvania containing approximately
ninety-four (94) acres, to THE FIRST NATIONAL BANK OF SHIPPENSBURG, Shippens-
burg, Pennsylvania, and my daughter HELEN F. COOVER, if living, as Trustees,
herein referred to as my Trustee, IN TRUST NEVERTHELESS, for the following
uses and purposes:
(a) My Trustee shall have, hold, manage, invest
and reinvest the same, collect the income, and beginning at
my death, pay over the net income in quarterly installments
to my daughter, HELEN F. COOVER, during her lifetime. Addi-
tionally, my Corporate Trustee may distribute to or for the benefit
of my said daughter so much of the principal of this Trust as my
said Corporate Trustee, in its sole discretion, shall deem
necessary and/or advisable to supplement all her income to main-
tain my said daughter in a proper station in life, to include
maintenance, support, medical, hospital, nursing and nursing
home care.
(b) Upon the death of my said daughter, this Trust
shall terminate and my Corporate Trustee shall distribute all the then
Trust assets in equal shares to my then living grandchildren,
if any, or, if none, then to such persons and in such propor-
tions as would be entitled to my said daughter's Estate had she
then died intestate, a resident of Pennsylvania.
THIRD. In the settlement of my Estate and during the continuance of the
Trust created hereunder, my Executor and my Trustee shall possess, among others~
the following powers to be exercised for the best interests of the beneficiaries:
(a) To retain any investments I may have at my
death so long as my Executor or Trustee may deem it advisable
to my Estate or Trust so to do.

(b) To vary investments, when deemed desirable by
my Executor or Trustee, and to invest in such bonds, stocks,
notes, real estate mortgages or other securities or in such
other real or personal property as my Executor or Trustee shall
deem wise, without being restricted to so-called "legal invest-
ments".
(c) In order to effect a division of the principal
of my Estate or Trust or for any other purposes, including any final
distribution of my Estate or Trust, my Executor or Trustee is
authorized to make said divisions or distributions of the per-
sonalty and realty partly or wholly in kind. If such division
or distribution is made in kind, said assets are required to be
divided or distributed at their respective values on the date or
dates of their division or distribution. In making any division
or distribution in kind, my Executor or Trustee shall divide or
distribute said assets so as to fairly allocate any unrealized
appreciation therein.
(d) To sell either at public or private sale and upon
such terms and conditions as my Executor or Trustee may deem
advantageous to my Estate or Trust, any or all real or personal
estate or interest therein owned by my Estate or Trust severally
or in conjunction with other persons or acquired after my
death by my Executor or Trustee, and to consummate said sale or
sales by sufficient deeds or other instruments to the purchaser
or purchasers, conveying a fee simple title, free and clear of
all trust and without obligation or liability of the purchaser
or purchasers to see to the application of the purchase money
or to make inquiry into the validity of said sale or sales;
also to make, execute, acknowledge and deliver any and all deeds,
assignments, options or other writings which may be necessary or
desirable in carrying out any of the powers conferred upon my
Executor or Trustee in this paragraph or elsewhere in my Will.
(e) To mortgage real estate.
(f) To make leases of real estate.
(g) To borrow money from any party.
(h) To pay all costs, taxes, expenses and charges In
connection with the administration of my Estate or Trust, and
my Executor shall pay the expenses of my last illness and funeral
expenses.
(i) To vote any shares of stocks which form a part
of my Estate or Trust and to otherwise exercise all the powers
incident to the ownership of such stock.
(j) In the discretion of my Executor or Trustee, to
unite with other owners of similar property in carrying out any
plans for the reorganization of any corporation or company whose
securities form a part of the Trust or my Estate.
(k) To assign to and hold in the Trust an undivided portion
of any asset.
(1) to do all other acts which my Executor or Trustee,
in its sole discretion, shall deem necessary or desirable for the
proper and advantageous management, investment and distribution of
my Estate or Trust.

FOURTH. I give, devise and bequeath all the rest, residue and remainder
of my estate, whatsoever and wheresoever situate to my daughter HELEN F. COOVER,
absolutely; Provided, however, that in the event my said daughter HELEN F.
COOVER should predecease me, I then give, devise and bequeath all the rest,
residue and remainder of my estate, whatsoever and wheresoever situate to my
three (3) grandsons, in equal shares, share and share alike, namely, W. CRIST
COOVER, DANIEL A. COOVER, and DAVID F. COOVER.
FIFTH. I hereby nominate, constitute and appoint my said daughter,
HELEN F. COOVER, the sole Executrix of this my Last Will and Testament, my
said Executrix to have full power and authority to do any and all things
necessary for the complete administration of my Estate. I further nominate,
constitute and appoint my daughter HELEN F. COOVER and THE FIRST NATIONAL
BANK OF SHIPPENSBURG, Shippensburg, Pennsylvania as Trustees hereunder.
IN WITNESS WHEREOF, I, GRACE B. FOGELSANGER, have hereto set my hand
and seal to this my Last Will and Testament, written on three (3) sheets of
paper, this 17th day of May, 1978.
