The tax rate imposed on the net value of transfers to or for the use of the decedent's siblings is twelve (12) percent [72 P.S. ~9116 (a) (1.3)]. A
sibling is defined under Section 9102, as an individual who has at least one parent in common with the decedent, whether by blood or adoption.

County, Pennsylvania 17241, being of sound mind, memory and dispositiort:.~ here~ mak.e,'.~.:,
publish and declare this my Last Will and Testament, hereby revoking and ma1dng void~l wills '~;:'~;
by me at any time heretofore made.
FIRST. I order and direct the payment of all my legally enforceable debts and
funeral expenses as soon as may be convenient after my decease.
SECOND. I hereby direct my Executor to grant to my son, Francis R. Mains, the
option to purchase the lot of ground situate in West Pennsboro Township, Cumberland County,
Pennsylvania, having erected on it a ranch style dwelling house and being the property purchased
from W. E. Kerns in November, 1977. The option price shall be the appraised value of the
property for Pennsylvania Inheritance Tax purposes. The option shall be exercised in writing
within six (6) months of the date of my decease.
THIRD. I give and bequeath the sum of One Thousand Dollars ($1,000.00) to each
of the following persons: Deborah Barrick, David Mains, Brenda Jumper, Melisa Guyton,
Sheree Clelan, Wendy Gump, Terry Bear, Richard Mains, Jr., Daniel Mains, Cathleen
Timothy, Karen McGee, Judith Deiter, Jacklyn Rogers, Robert Inman, and Kyle Kotzmoyer,
on a per stirpes distribution basis.
FOURTH. I give and bequeath the full sum of Twenty-five Thousand Dollars
($25,000.00) to the First United Presbyterian Church, of III West Big Spring Avenue,
Newville, Pennsylvania. It is my specific direction that this bequest is given to the Building Fund.
This bequest shall be paid directly in one lump sum to reduce the principal balance'due on any
financial obligation which constitutes a mortgage or a lien against the First United Presbyterian
Church. This bequest may not be held by the church for payment of any such obligation in any
manner other than a one-time payment for reduction of principal.
If at the t~me of my decease there does not exist a Building Fund and the mortgage..or lien
against the property of the First United Presbyterian Church has been paid in full, I then direct that
this bequest be made to the church as follows:
A. Seventy-five percent (75%) for general purposes; and
B. Twenty-five percent (25%) for missions.

FIFTH. If the amount of assets in my estate are insufficient to pay the intended
amount to all of the beneficiaries listed in Paragraphs THIRD and FOURTH above, I direct that
each of those beneficiaries receive a pro-rate share of what he or she should have received in
relation to the other beneficiaries.
SIXTH. I give, devise and bequeath all my estate, real, personal and mixed,
whatsoever and wheresoever situate, to my four (4) sons, namely, Gereth M. Mains, Richard G.
Mains, Francis R. Mains and Donald L. Mains, in shares of equal value, share and share alike,
on a per stirpes distribution basis.
SEVENTH. I nominate, constitute and appoint my sons, Gereth M. Mains and
Richard G. Mains, or the survivor thereof, to be the Co-Executors of this my Last Will and
Testament. Ifmy sons, Gereth M. Mains and Richard G. Mains are appointed Executors of this my
Last Will and Testament, then I specifically direct and limit the payment of the total commission
due them to a maximum of three percent (3%) of the value of all assets administered in this Estate.
I grant to my Executor the power to compromise claims without court approval and without the
consent of any beneficiary.
EIGHTH. I direct that my personal representative(s) shall not be required to give bond
for the faithful performance of their duties in any jurisdiction.
NINTH. I hereby direct that all federal, state and other death taxes payable because
of my death, with respect to the property forming my gross estate for tax purposes, whether or not
passing under this Will, including any interest or penalty imposed in connection with such taxes,
shall be considered a part of the expense of administration of my estate and that such be paid out
of the rest and residue of my estate.
TENTH. To the greatest extent permitted by law, before actual payment to a
beneficiary or to his or her account, .no interest in income or principal shall be assignable by a
beneficiary or available to anyone having a claim against a beneficiary.

AGREEMENT OF SALE
THIS AGREEMENT, entered .into as of this _ day of December, 2007,
BETWEEN Gereth M. Mains and Richard G. Mains, Co-Executors of the PAULINE
A. MAINS ESTATE, hereinafter called "Seller,"
AND GERALD P. JONES, JR., his successors, heirs and assigns, of 75
Goodyear Road, Carlisle, Pennsylvania 17015, hereinafter called the "Purchaser."
BACKGROUND
A. Seller desires to convey to Purchaser all that certain tract or parcel of land situate in West
Pennsboro Township, Cumberland County, Pennsylvania, known as 3265 Ritner Highway
Newville, P A, 17241, more specifically described in Exhibit A, attached hereto and
incorporated by reference herein, which parcel of land and improvements are hereinafter
collectively referred to as the "Property."
B. Purchaser desires to purchase the property.
NOW THEREFORE, with intent to be legally bound, Seller and Purchaser hereby agree-and
covenant as follows:
1. Sale and Purchase. Subject to the terms and conditions of this Agreement, Seller agrees to
convey to Purchaser and Purchaser agrees to purchase the Property.
2. Financial Terms.
A. Purchase Price ONE HUNDRED TWENTY rnOUSAND DOLLARS
($120-,000.00), which shall be paid to Seller by Buyer as follows:
(i) Cash or ch~k at signing this Agreement
(ii) Cash, cashier's or certified check at time of settlement

3. Warranty of Title. The Property shall be conveyed to Purchaser by a deed containing a
standard fiduciary warranty, conveying good and marketable title, free and clear of all
liens, subject only to such easements, restrictions as may affect the Property on the date
hereof Seller warrants that any restrictions affecting the ProPertY will not bt? violated as of
the date of settlement and, if any, they will not unreasonably interfere with --Purchaser's
intended use of the Property. The quality of title to be conveyed is such title a will be
insurable by a reputable Title Insurance Company licensed to do business in Pennsylvania

at regular basic rates and without non-standard exceptions. It is expressly agreed, however,
that if Seller is unable to deliver the qualitY of title required herein, Purchaser's sole option
shall be to accept such title as Seller can deliver without reduction in purchase price, or'to
terminate this Agreement, whereupon Purchaser's deposit shall be returned to Purchaser,
and neither party ~ha11 have any further liability or obligation to the other hereunder. In
this event, Seller will also reimburse Purchaser for all ~easonable costs incurred by
Purchaser in anticipation of this transaction.
4. Possession.. Settlement Actual physical possession of the Property shall be delivered to
Pllrchaser at the time of settlement. Settlement shall take place NO LATER THAN
January 31, 2008. TiJ;ne is of the essence.
a. Possession is to be de~vered by deed, keys and physical possession to a
vacant building (if any) at day and time of settlement.
b. Purchaser reserves the right to make a pre-settlement inspection of the
Property, and will execute appropriate documentation of such inspection.
5. Settlement Location. Settlement shall be held at the offices of Richard L. Webber, Jr.,
Attorney at Law, at 126 East King Street, Shippensburg, Pennsylvania, unless otherwise
agreed by the parties. '.
6. i Adiustments. Property taxes, water, sewer and other current lienable charges, if any, shall
be apportioned as of the date of settlement on the basis of the fiscal year of the taxing
body. Seller has not received any notice of any resolution, ordinance or claim for
municipal improvements to be done or required to be done on or about the Property. In the
event any such notices or assessments are receiv~ after the ex~ution of this Agreeinent
and.before settlement, the Seller will give the Purchaser notice of the. same and the parties
will cooperate in good faith to agree upon who shall bear the cost (or in what proportion
they shall share the cost) for same. Should they not agree thereupon, either party shall
have ~e option to terminate this Agreement.
7. -Realty Transfer Tax. Purchaser and Seller shall divide equally the payment of any realty
1ransfer tax reqUired to be paid as a result of the conveyance set forth herein~
8. Fixtures and Personal Pronertv to Purchaser. The following items of personal property are
included in the sale and sha111ransfer to the Purchaser free of liens: plumbing, heating,
lighting fixtures (including chandeliers and ceiling fans), water treatment systems, pool
and ~a equipmen~ garage door openers and transinitters~ television anetnnas, shrubbery,
plantingg and unpotted trees, any remaining heating and cooking fuels stored on the
Property at the time of settlement, wall to wall carpeting, shades, blinds, window covering
hardw~e, built-in air conditioners, built-in appliances, and the range/oven unless otherwise
stated. .
9. Personal Property to Seller. The following items of personal property shall be retained
by Seller: -

A. Dehumidifier
10. Brokers. Each party represents and warrants to the other that it has not contracted with any
real estate broker or similar person with respect to this Agreement, and that no brokerage
commission is due to anyone in connection with this sale.
11. Private Water.. There is no public water at the property. The water system is a cistern, not
a well.
12. Private Sewer. There is no currently existing community sewage system available for the
subject property. Section 7 of the Pennsylvania Sewage Facilities Act provides that no
person shall. install, construct, request bid proposals for construction, a1t~, repair or
occupy any building or structure for whlch an individual sewage "system is to be installed,
without first obtaining a permit Purchaser is advised by this notice that, before signing this
Agreement of Sale, Purchaser should contact the local agency charged "with administering
the Act to determine the procedure and requirements for obtaining a permit for installing,
repairing, etc. an individual sewage system. The local agency charged with Mmin-istering
the Act will be the municipality where the Property is located or that municipality working
cooperatively with others.
13. - - Notices. All notices hereunder shall be by registered or certified mail, return receipt
requested, addressed to the parties at the addresseS set forth below. Either party may
change its address for the purposes of receiving notice, by notice to the other.

14. Environmental Matters.
a. With respect to the Property, Seller, to his knowledge, has not violated, is
not violating, and has not been threatened with or received a notice or charge ass~g any
violation of the Federal Solid Waste Disposal Act, the Federal Clean Air Act, the Federal
Clean Water Act, the Federal Resource Conservation Recovery Act of 1976 ("RCRA")," the
Federal Comprehensive Environmental ReSponsibility, Cleanup arid Liability Act of 198Q
("CERCLA''), the Toxic Substance Control Act of 1976, or any other federal, state or local
laws, mc1uding rules and regulations thereunder, regulating or otherwise affecting the
environment, as the same "may have been amended from time to time (hereinafter the
''Environmental Laws")

b. Purchaser may conduct upon the ~operty, at .Purchaser's own cost and
expense, any environmental assessments or other environmental investigations desired by .
Purchaser or required by Purchaser's lender (herein "Environmental Assessments").
c. Should the results of any such Environmental Assessments, or any other
investigation, reveal any recognized environmental conditions concerning the Property that .
under present law or regulation required remediation, the parties will cooperate to agree
upon the extent and character of the required remediation and the costs for the same, and
who Shall bear the cost (or in what proportion they will share the cost). Should they not
agree thereupon, ~ther party shall have the option to terminate this Agreement.
15.. Risk of Loss. Seller shall bear the risk of loss until:final settlement.
16. Disclosures. Purchaser acknowledges receipt of Seller's Disciosure Statement and Lead
Paint Disclosure as required by law. .
17. Financinl! Continvencv. Final settlement is contingent upon Buyer obtaining mortgage
financing as follows:
A. Amount of Mortgage Loan: $ 108,000.00
B. Mortgagee: AgChoice
c. Minimum term: 30 years
D. Type of Mortgage:Conventional
E. Maximum interest rate: 7 %
F. Mortgage commitment date: January 11, 2008
18. Attornev Fees and Costs. In.the event of litigation or binding arbitration to enforce this
Contract, the prevailing party shall be entitled to costs and reasonable attorney fees.
19. Default and Damages.
a. Purchaser's Default and Damages. Should the Purchaser violate or fail to fulfill
and perform any of the terms or conditions of this Agreement, then and in that case, the
Seller shall have the option of:
1. retaining the down payment and any other sums paid by Purchaser on
account of the purchase price and bringing suit for ~cific performance for the
balance of the purchase price and for any damages due;
2. selling the Property to another bona fide buyer and Seller's damages shall
include difference between the contract price hereunder and the bona fide price at
which Seller sells the Property, and Seller may retain the down payment and any
other sums as have been paid up to the amount of such damages. and bring suit for
the balance, if any, of the damages; or

3. retaining the down payment and any other sums as liquidated damages for
Purchaser's breach and in the latter two events this Agreement shall be terminated
and ended.
b. Seller's Default and Damages. Should the Seller violate or fail to fulfill and
perform any of the terms and conditions of this Agreement, then and in that case, the
PUrchaser shall have all of the remedies provided by law against Seller, including bringing
suite for specific. performance .
20. Miscellaneous.
A. lbis Agreement shall be binding upon and inure to the benefit of the parties
hereto and their respective heirs, successor and assigns. Purchaser may assign
this Agreement.
B. This Agreement shall not be amended or modified except by a written agreement
signed by the Seller and Purchaser.-
C. This Agreement contains the entire understanding between the parties and any
representations, undertakings or agreements of any kind are superseded by the
provisions of this Agreement.
D. This Agreement shall be cons1roed and enforced in accordance with the laws of the
Commonwealth of Pennsylvania
E. Neither party may record this Agreement or .any memorandum hereo:f. Any
violation of the preceding sentence shall be of the essence of this Agreement and
shall immediately provide Seller with the right to terminate this Agreement, in
addition to all other remedies available to Seller.

To transfer the account, we need the executors for the most recently deceased tenant to
complete the Vanguard Change of Ownership Form. This form will provide the new
registration information and certify the Social Security or taxpayer identification number for
the new account. This form will also let the executors choose options for the new account. If
the executors will be adding a new joint owner, their signature must be guaranteed on page
two.
You can obtain a signature guarantee from an officer of a bank or trust company, or a
member firm of a United States Stock Exchange. A notary public cannot provide a
signature guarantee. In order for a signature guarantee to be valid, it must state the words
"Signature Guaranteed", be signed by the guarantor, and indicate his or her position and
title. It must also indicate the name of the institution issuing the guarantee.

administering this state tax law. The Department uses Sodal Security numbers to estabHsh a decedent's identity and
ensure proper credit for tax payments.
(1) Cash: Repon total only.
(2) Stocks: List In detail every common or preferrecl certificate, warrant or oUler rights found in box. Stocks are to be
designated by name of company, certificate number, date of certificate, name in which stock Is regIstered. and
number of shares and class of stock.
(3) Obligations of U.S. Government: Number of items, date of Issue, face value, names in which registered and
type of ownership, i.e" jointly held, payable on death, etc.
(4) Bonds: Designate by name, amount. serial number, or otner designation. (Bearer Bonds)
