SETTLEMENT AGREEMENT WITH STIPULATION FOR ENTRY OF JUDGMENT
This Settlement Agreement is made by and between Plaintiff Harvest Credit Management IV,
LLC (hereinafter referred to as "Harvest") by and through its respective duly authorized and appointed
agent and Defendant John A Yarwood (hereinafter referred to as "Yarwood").
WITNESSETH
WHEREAS, Harvest filed a civil action against Yarwood, seeking to recover from him the total
principal sum of $7,269.73, attorneys fees in the amount of $1,453.94 and court costs of $97.30 for a
total of $8,820.97 (hereafter the "balance") for failure to pay his credit card bearing account number
5260311230270832 which plaintiff issued to him;
WHEREAS, Yarwood acknowledges his obligation to pay plaintiff the balance but is not able to
pay the same in full immediately; and
WHEREAS, the parties hereto desire to resolve the Litigation without further legal proceedings
and in the manner set forth hereinafter;
NOW, THEREFORE, in consideration of the mutual covenants and conditions herein contained,
the parties hereto, expressly intending to be legally bound hereby, agree as follows:
1. It is agreed Yarwood shall be permitted to pay the balance as follows: monthly payments of
$268.35 due by the 2nd of each month beginning on March 2, 2007 until the balance is paid in full. All
payments are to be sent to Harvest's counsel, Burton Neil & Associates, P.C. at 1060 Andrew Drive,
Suite 170, West Chester, PA 19380.
2. To secure Yarwood's payment, it is further understood and agreed that Harvest shall be
permitted to enter judgment against Yarwood under this agreement for the sum of $8,820.97. Interest
will accrue at 6% per annum from the date of the judgment on the declining balance.
3. "Default" as defined herein shall mean any of the following: Yarwood's failure to make a
required payment due hereunder by the due date or the dishonor of any check tendered under this
agreement for any reason by any bank or other financial institution.
4. Yarwood shall have a grace / cure period of seven (7) days with respect to each payment from
the date of notice as set forth below. In the event of default as defined in Paragraph 3 above, and before
Harvest may file execution, it shall first be required to give written notice of default and opportunity to
cure said default by first class mail to Yarwood at his address of record. The notice shall indicate that a
default had taken place and give Yarwood a period of seven (7) days from the date of the notice to cure
the default by making the required payment. If Yarwood does not cure the default by the end of the
seven day cure period, Harvest shall thereafter be free to file execution on the judgment provided for
under this Agreement, less credit for any payments made on account, and to employ any remedies
available to it hereunder and at law to enforce and collect the judgment.
5. So long as Yarwood pays in accord with this Agreement, Harvest will not file execution on
the judgment to be entered under this Agreement.
6. Upon receipt and clearance of the final installment of the balance due in accordance with the
terms of this Agreement and provided Yarwood has not defaulted, Harvest will file a Praecipe to Satisfy
Judgment and provide a copy to Yarwood.
7. This Settlement Agreement and Stipulation for Entry of Judgment is made under and is to be
governed by the laws of the Commonwealth of Pennsylvania.
8. This Settlement Agreement is being made in three counterparts, each of which shall have the
force and effect of an original.
9. For the purposes of this stipulation and due to the exigencies of time for its filing, a facsimile
signature shall have the same force and effect as an original signature.
IN WITNESS WHEREOF, INTENDING TO BE LEGALLY BOUND HEREBY, the parties
hereto have entered into this Settlement Agreement on the date first appearing below.

Complaint
1. The plaintiff is Harvest Credit Management IV, LLC, with place of business located at 600
17th Street, Suite 800 North, Denver, Colorado.
2. The defendant is John A Yarwood, who resides at 46 Walnut Bottom Road, Shippensburg,
Cumberland County, Pennsylvania.
3. At the defendant's request, Chase Manhattan Bank issued the defendant a credit card bearing
account number 5260311230270832 for defendant's use in making charge purchases subject to the terms
and conditions governing the use of the credit card. Attached hereto, made a part hereof and marked
Exhibit A is a true and correct copy of the terms and conditions.
4. The defendant accepted the credit card and the terms and conditions governing its use for the
purchase of goods, merchandise and services and/or for cash advances from vendors who accepted
Chase Manhattan Bank's credit card. In using the credit card, the defendant agreed to comply with the
terms and conditions governing its use which included the obligation to pay Chase Manhattan Bank for
all charges made in full upon receipt of the statement or in installments subject to monthly finance
charges.
5. The defendant utilized the credit card by making/obtaining purchases of goods, merchandise
and services and/or cash advances from vendors who accepted the credit card. Monthly statements were
sent to the defendant which detailed the charges made to the account including finance charges, late
and/or, over limit charges. The balance due for the charges made by the defendant including any finance
charges, late or over limit charges is $7,269.73.
6. Defendant did not pay the balance due in full upon receipt of the billing statements and failed
to make the required minimum monthly payment set forth in the billing statement. As such, defendant is
in default of the terms and conditions governing the use of the credit card.
7. Plaintiff purchased the defendant's account from Chase Manhattan Bank and is now the holder
and owner of the account.
8. Although demand has been made by plaintiff upon defendant to pay the sum of $7,269.73, the
defendant failed and refused to pay all or any part thereof.
9. Plaintiff alleges it is entitled to recovery of attorneys fees from defendant pursuant to the
terms and conditions governing the account. Plaintiff seeks recovery of attorneys fees in the sum of
$1,453.94.
Wherefore, plaintiff demands judgment against the defendant in the sum of $7,269.73, attorneys
fees in the sum of $1,453.94 and the costs of this action.

ANSWER OF DEFENDANT
COMES NOW, the Defendant JOHN A. YARWOOD, who answers the
Complaint of HARVEST CREDIT MANAGEMENT IV, LLC, and in support whereof,
states the following:
1. The Defendant lacks sufficient information to either admit or deny the
allegations of Paragraph 1 of the Complaint.
2. Admitted.
3. Denied. After a reasonable investigation, the Defendant is without sufficient
information to admit or deny the allegations of Paragraph 3 of the Complaint, and
demands strict proof of same. By way of further answer, Defendant states that Plaintiffs
Exhibit "A" does not indicate Defendant's signature or other acknowledgement, or that
Defendant ever had the opportunity to review and/or agree to the terms contained therein.
Plaintiffs Exhibit "A" does not indicate that the terms contzLined therein were in fact
operative at the time Defendant is alleged to have received a credit card from Plaintiff.
4. Denied in part, and admitted in part. It is admitted that Defendant received a
credit card from Plaintiff's predecessor in interest, but, after a reasonable investigation,
defendant is without sufficient information to either admit or deny the balance of the
allegations of Paragraph 4 of the Complaint that infer that Plaintiffs Exhibit "A" were
actually provided to Defendant for his review and approval. The balance of the
allegations shall therefore be deemed to be denied, and Defendant demands strict proof at
trial.
5. Denied in part, admitted in part. It is admitted that Defendant received a credit
card from Plaintiff's predecessor in interest. However, after a reasonable investigation,
the Defendant is without sufficient information to either admit or deny the balance of the
allegations of Paragraph 5 of the Complaint, and in support thereof states that Plaintiff
has the exclusive control over any accounting and documentation that may be related to
the alleged account, and that Defendant is not privy to or in possession of any integrated
statement of all fees and charges that Plaintiff may have levied against the alleged
account. Defendant demands strict proof of same at trial. It its therefore denied that
Defendant is indebted to Plaintiff for the amount stated in Paragraph 5 of the Complaint.
6. Denied. It is denied that Defendant is in default as plead in the allegations of
Paragraph 6 of the Complaint. Without waiving Defendant's objections to the existence
of a contract or debt as alleged by Plaintiff, and without waiving Defendant's objections
to Plaintiffs allegations of Defendant being in default on a debt and the amount of that
alleged debt, Defendant further answers that he has specifically retained the services of a
debt management company and has attempted to negotiate payments with the Plaintiff.
Plaintiff has refused to negotiate the terms of the debt, and railer than work amicably
with Defendant to assure a reasonable and workable payment schedule, that affords
Plaintiff the opportunity to recover the amount loaned and insures that Defendant remains
solvent, Plaintiff has instead chosen to seek redress in Court, and continues to refuse to
discuss the matter with Defendant.
7. Denied. After a reasonable investigation, Defendant is without sufficient
information to admit or deny the allegations in Paragraph 7 of the Complaint, and
demands strict proof of same at trial.
8. Denied. It is denied that Defendant has "failed and refused to pay all or any
part thereof' of the alleged debt as plead in Paragraph 8 of the Complaint. Specifically,
and without waiving his objections to the existence of an agreement or the terms thereof,
Defendant states that he has retained services of a debt management and has attempted to
negotiate payments with Plaintiff. Plaintiff has refused to negotiate the terms of the debt,
and rather than work amicably with Defendant to assure a reasonable and workable
payment schedule that affords Plaintiff the opportunity to recover on the alleged debt, and
insure that the Defendant remains solvent. Plaintiff has instead chosen to seek redress
before the Court, and continues to refuse to discuss the matter with Defendant.
9. Denied. Without waiving Defendant's objections to the existence of the
contract as plead by Plaintiff, or the terms thereof, Defendant did not understand the
attorney fees clause in the alleged contract as inferred by the allegations in Paragraph 9 of
the Complaint. Further, Defendant may only be deemed to have agreed to such alleged
clause because he believed he had no choice. Unequal bargaining power existed between
Plaintiff and Defendant such that Defendant had no power to negotiate any terms,
including the existence and award of attorney fees. Additionally, Defendant demands
proof of the reasonableness of any attorney fees alleged.
FIRST AFFIRMATIVE DEFENSE
10. Plaintiff's claims are barred by the applicable statute of limitations.
SECOND AFFIRMATIVE DEFENSE
11. Plaintiffs claims are barred by the doctrine of laches.
THIRD AFFIRMATIVE DEFENSE
12. Plaintiffs Complaint should be dismissed for failure to state a claim upon
which relief may be granted.
WHEREFORE, Defendant JOHN A. YARWOOD demands judgment against
Plaintiff and in his favor.
