Dear Sir/Madam:
Notice is given of a hearing scheduled for the 24th day of July, 2008, at
8:45 o'clock, a.m., in Court Room No. 2 of the Cumberland County Court House, for
approval of a merger between two charitable entities, The Alumni Association of the U.
S. Army War College and the Army War College Foundation, fnc. A copy of the
Motion for Approval is attached hereto as Exhibit "A".
Both organizations have the purpose of supporting the purposes and

activities of the U. S. Army War College. The Alumni Association of the U. S. Army
War College has the additional purpose of fostering fraternity among the alumni of the
War College, which purpose is preserved in the proposed Articles of Incorporation and
By-Laws of the proposed surviving entity, the Army War College Foundation, Inc.
The Alumni Association of the U. S. Army War College has assets in the
range of $425,000.DO to $475,000.00, which would be transferred to the proposed
surviving entity.
The merger will permit the purposes of both entities to be carried out,
and their missions are anticipated to be accomplished in a more efficient and
economical manner. The Alumni Association of the U. S. Army War College is
represented by the undersigned.
The Army War College Foundation, Inc., is represented by John S.
Rollings, Esquire, Ballard, Spahr, Andrews & Ingersoll, LLP, 1735 Market Street, 51St
Floor, Philadelphia, Pennsylvania 19103. Telephone number: 215-864-8524.
The Army War College Foundation, Inc. joins the Motion to approve
merger.
