STAPF, DEeE~1SED THIS AGREEMENT, made is this 8~' day of May, 2008, WITNESSETH: ~--~ -rv, --~ r ~ ~ i -; --, ~.y- ~ - - . ^_~ ._ -- -- ~.? ~.i} _..i:~1 THE CIRCUMSTANCES, leading up to the execution of this Agreement are as follows: Mary S. Stapf (the "Decedent") died testate on August 2, 2007, a domiciliary of Lower Allen Township, Cumberland County, Pennsylvania. 2. The Decedent was survived by her two adult children, Mary Barbara Stapf Cleveland and John S. Stapf, Jr. (collectively, the "Children"), and by her two adult grandchildren, Thomas G. Stapf, Jr. and John N. Stapf (collectively, the "Grandchildren"), who are the children of the Decedent's deceased son, Thomas G. Stapf, who died on May 16, 2003. 3. The Decedent's Last Will and Testament, dated March 20, 1996 (the "Will") was duly admitted to probate by the Register of Wills of Cumberland County, Pennsylvania (the "Register"), and entered of record as No. 2007-00784. 4. The Register issued Letters Testamentary on August 21, 2007, to John S. Stapf, Jr. as Executor (the "Executor") of the Decedent's probate estate (the "Estate"). 5. The Pennsylvania Department of Revenue has issued a Notice of Inheritance Tax Appraisement confirming that the Decedent's inheritance tax has been paid in full. 6. The Decedent's final Pennsylvania and federal personal income tax returns have also been filed and all such income taxes have been paid in full. 7. Per the Will, the residue of the Estate is to be distributed per stirpes to the Decedent's issue, i.e., one-third (1/3) to each of the Children and one-sixth (1/6} to each of the Grandchildren. 8. Pursuant to that certain Receipt, Release, Refunding and Indemnity Agreement for Interim Distribution from the Estate, dated October 18, 2007 (the "Interim Release"), entered into by the Children, the Grandchildren, and the Executor (collectively, the "Parties"), the Executor made interim cash distributions in the following amounts: John S. Stapf, Jr. Mary Barbara Stapf Cleveland Thomas G. Stapf, Jr. 1/3 share $40,000 1/3 share $40,000 1/6 share $20,000 John N. Stapf TOTAL 1/6 share $20,000 12 000 9. The Parties intend hereby to reaffirm their prior acceptance and approval of the Interim Release, for all purposes. 10. All known obligations and expenses of the Decedent and of the Estate have been paid in full or appropriate reserves have been established for the payment of the same. The remaining funds of the Estate are therefore now distributable to the -2- Children and Grandchildren in the relative shares stated above, outright, in the amounts hereinafter set forth. 11. The Executor has prepared the Executor's First and Final Account for the Estate and Trust of Mary S. Stapf, which is attached hereto as Exhibit "A" and incorporated herein by this reference (the "Account") 12. The Children and the Grandchildren desire to forever settle and compromise any and all claims and demands which they may possess, now or hereafter, in the Estate and also desire to confirm their acceptance of the Account and of the Schedule of Distribution (the "Schedule"), which is attached hereto as Exhibit "B" and incorporated herein by this reference. The Children and Grandchildren desire that the distributions set forth on the Schedule be made to them in full satisfaction of any and all of their right, title and interest in the Estate, whether under the Will or otherwise. 13. The Children and Grandchildren wish to release the Executor and to indemnify him against any and all claims or matters that may be asserted hereafter against the Estate and/or the Executor. 14. The Executor is willing to make the hereinafter-described distributions to the Children and Grandchildren in consideration of the refunding and indemnification protections hereinafter provided. NOW THEREFORE, in consideration of the foregoing, and intending to be legally bound, individually and jointly and severally, the Children and Grandchildren, for themselves and for their respective heirs, personal representatives, successors and assigns, hereby agree as follows, to wit: -3- A. Represent and warrant that they have read and understand this Agreement and confirm that the facts set forth are true and correct, to the best of their knowledge, information and belief. B. Acknowledge receipt of copies of the Account and of the Schedule, and declare that they have had the opportunity to review the same. The Children and Grandchildren further accept the Account and the Schedule, whether examined or not, as if the same had been duly filed with and audited, adjudicated and confirmed absolutely by the Orphans' Court Division of the Court of Common Pleas of Cumberland County, Pennsylvania (the "Court"). C. Absolutely and irrevocably remise, release, quit-claim, and forever discharge the Executor, including his attorneys, agents, employees, predecessors, successors and assigns, of and from any and all actions, payments, accounts, reckonings, liabilities, claims and demands relating in any way to the Estate and/or to the Will. D. Acknowledge receipt of their respective final distributions, as set forth on the Schedule, in complete and final satisfaction of their respective right, title and interest in the Estate, whether under the Will or otherwise. E. Agree to refund, on demand, all or any part of any aforesaid distributions, which have been determined by the Executor, or by the Court, or by any court of competent jurisdiction, to have been improperly made. F. Agree to indemnify and hold harmless the Executor, together with his attorneys, agents, employees, predecessors, successors and assigns, from and against any and all claims, loss, liability or damage that may hereinafter be asserted against the Executor or any such persons, with respect to the matters set forth in this Agreement. G. Acknowledge that this Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania. H. Consent to the Court exercising personal jurisdiction over them in any suit or action arising out of the enforcement of this Agreement.
