Kline, Esquire, and state as follows: 1. Christopher Small and Maria Small, husband and wife, are adult individuals, and currently reside at 637 Brentwood Road, Orange, Connecticut. 2. Defendants are Jason Hamilton and Christine Hamilton, husband and wife, are adult individuals who currently reside at 430 Candlewyck Lane, Camp Hill (Lower Allen Township), Cumberland County, Pennsylvania. 3. On or about November 14, 2007, Plaintiffs and Defendants created a Pennsylvania limited liability company known as "Construct, LLC" by filing with the Pennsylvania Department of State a Certificate of Organization. 4. The purpose of forming Construct, LLC, was to establish a home repair and remodeling business. 5. Very shortly after the formation of Construct, LLC, it became apparent that the parties would not be able to work together inasmuch as the Hamiltons, and in particular, Jason Hamilton, incurred expenses and costs on behalf of the company without consulting with or obtaining agreement or concurrence from the Plaintiffs, and by making personal charges on the company credit account, among other actions that were not acceptable to Plaintiffs. 6. As a result of the various differences between the parties, the company ceased operations in early January, 2008. 7. At the time that the company ceased operations, there were legitimate obligations of the company in the amount of $11,903.92, toward which the Defendants have refused to contribute. The Defendants are obligated to pay one-half of this obligation in the amount of $5,951.96. 8. At the time that the company ceased operations, the Defendants had made personal purchases on company credit in the amount of $1,208.67. 9. At the time of the company ceased operations, the Defendants had charged for personal items to the Plaintiffs' individual Home Depot account in the approximate amount of $270.00. 10. Prior to the company ceasing operations, Defendant Jason Hamilton contracted for billboards that were not authorized by the company, but were charged to the company credit account, in the amount of $2,350.00. The Defendants are obligated to pay for this unauthorized expense. 11. The total amount due and owing to the Plaintiffs by the Defendants so that the Plaintiffs can satisfy all financial obligations of the company is $9,780.63. 12. Based upon the Defendants' dilatory conduct in ignoring and avoiding the obligations of the company, Plaintiffs are entitled to and hereby request an award of reasonable attorneys fees.
