McCALEB, of the Borough of Mechanicsburg, County of Cumberland and Commonwealth of Pennsylvania, being of sound and disposing mind, memory and understanding, do make, publish and declare this as and for my Last Will and Testament, hereby revoking and making void all former wills and codicils by me at any time heretofore made. FIRST. I order and direct that all my just debts and funeral expenses be paid by my Co-Executors, hereinafter named, as soon as conveniently may be done after my decease. SECOND. My Trustees shall hold all income and principal from this Trust free from all claims, attachments, judgments, executions and liens of every kind and nature by creditors of my granddaughter and my granddaughter shall have no power to anticipate, assign, alienate, pledge, charge or encumber the income or principal of this Trust. THIRD. I give, devise and bequeath all the rest, residue and remainder of my estate, real, personal and mixed, whatsoever and wheresoever situate, in equal shares unto my children, namely: MARLIN R. At final settlement, SELLER shall tender to PURCHASER a properly drawn and executed deed with fiduciary warranty conveying to the PURCHASER a good and marketable title in fee simple, clear of all encumbrances except easements or building and use restrictions, visible on the ground or of prior record. SELLER shall also pay PURCHASER'S settlement/closing costs, up to a maximum of $5,000.00. 4. All real estate taxes for the current year shall be pro-rated between the parties as of the date of final settlement (County and Borough or Township taxes on a January 1st to December 31st basis, and School District taxes on a July 1st to Schedule A.1 June 30th basis). Pennsylvania Realty Transfer Tax and any other sale or transfer taxes shall be paid equally by SELLER and PURCHASER. 5. SELLER shall deliver possession of the said premises and personalty to PURCHASER at the time of final settlement. 6. SELLER assumes the risk of loss by fire or other casualty until transfer of title and agrees that the property shall remain in substantially its present condition until the date of settlement, reasonable wear and tear excepted, and if it is not, PURCHASER may rescind this Agreement. 7. This Agreement is contingent upon PURCHASER obtaining mortgage financing in the principal amount of at least $149,000.00, amortized over a term of at least twenty (20) years, with interest not to exceed the rate of ~_ per centum per annum. PURCHASER shall act in good faith and shall do all things reasonable and necessary to seek and obtain such mortgage financing but if, despite PURCHASER'S good faith efforts, PURCHASER is unable to obtain a commitment for such mortgage financing by May 30, 2008, then PURCHASER shall have the option, upon notice in writing delivered to SELLER not later than June 2, 2008, time being of the essence hereof, to rescind this Agreement. 8. SELLER represents and warrants that the plumbing (including septic or other sewage disposal system, if any), heating and electrical systems for the above-described premises are operable and in good working order and that they will be and remain in such condition through and including the date of settlement, and if they are not,_PURCHASER shall have the right to rescind this Agreement. SELLER has already, at SELLER'S expense, made electrical repairs as set forth in the invoice of Wrightstone Electric. Inc., dated April 3, 2008 9. SELLER will, at SELLER'S expense and before final settlement as provided above, repair the existing chimney (including repair of the damper) and replace the existing roofs upon the dwelling and the detached garage with new roofs of like material, as set forth in the proposal of W. A. Klawitter Construction dated March 21, 2008. 10. The parties agree that PURCHASER has inspected the said premises and that except as provided in Paragraph 9, above, PURCHASER has agreed to purchase the premises as the result of that inspection and not because of or in reliance upon any representation or warranty made by SELLER or by any agent or representative of SELLER, and that except as provided in Paragraph 9, above, PURCHASER is purchasing the said premises in "AS IS" condition. -2- Schedule A.1 11. Mary D. McCaleb died on October 1, 2007, a resident of the State of Pennsylvania. Neither the Pennsylvania inheritance tax, if any, nor the federal estate tax, if any, due with respect to her Estate have been determined or paid as of the date hereof. In the event that same have not been determined and paid as of the time of final settlement, such non-determination and non- payment of said estate and/or inheritance taxes shall not constitute an objection to the title to the said premises, nor a ground for the rejection of title. SELLER agrees to hold PURCHASER harmless from the collection of any such estate and/or inheritance taxes out of the premises to be sold hereby, and SELLER will cause said taxes to be duly paid when finally determined. The provisions of this paragraph shall survive the delivery of the deed. 12. If PURCHASER exercises the right to rescind this Agreement as provided hereinabove, then the amount paid down as hand money, to wit: $1,000.00, shall be returned by SELLER to PURCHASER and neither party shall thereafter have any further obligation to the other. 13. Before placing the property on the market, the Co-Executors commissioned a Building Analysis Report by Capitol Home Inspections, Inc., on November 20, 2007 (Schedule H.B.7.3) That Report indicated potential problems with the roof and chimney, as well as the electrical system. In addition, evidence of termite infestation and asbestos was found in the basement. The Co- Executors decided to address these problems before marketing the property. While these problems were being addressed, negotiations began with propsective Purchasers Michael J. Trump and Catherine J. Owens. A purchase price of $144,000.00 was orally agreed to. Before any paperwork was signed, the propsective Purchasers met with a mortgage broker to determine their eligibility for a mortgage loan in the principal amount of $144,000.00. The broker determined that they would probably be approved for that loan but that their cash reserves were insufficient to pay their settlement costs. The broker suggested that the principal amount of the loan be increased to $149,000.00, which would also be approved, with Sellers to pay $5,000.00 of Purchasers' settlement costs. A written Agreement of Sale to that effect was executed by Sellers and Purchasers on April 23, 2008 (Schedule A.1). Settlement was completed on June 11, 2008. All of the expenses for fix-up and repair (Schedule H.B.7.2, :3, 9, 18, 19, 21 and 22) , as well as the Purchasers' settlement costs paid by Sellers (Schedule H.B.7.8), are legitimate expenses of sale and properly deductible.
