Ledebohm, Esq., executor for the Estate of Samuel Martin Oberholtzer, III ("Executor"). BACKGROUND 1. Samuel Martin Oberholtzer, III ("Decedent") died on July 5, 2007 a resident of Camp Hill, Pennsylvania leaving a last will and testament dated September 29, 2006. 2. Decedent's will was admitted to probate on July 19, 2007 by the Register of Wills office for Cumberland County and letters testamentary issued to Executor to Register of Wills No.: 2007-00685. 3. Decedent, in his will, devised $5,000.00 to Wendy Smith. NOW THEREFORE, the above recitals being incorporated herein by reference as if set forth in full and the parties hereto, intending to be legally bound, hereby affirm and agree as follows: 1. Smith warrants that she is the beneficiary named in the Decedent's will to which Decedent devised $5,000.00 and Decedent's wood jelly cupboard. 2. Smith acknowledges that she has waived any interest in the wood jelly cupboard devised to her by the decedent. 3. Smith hereby waives the filing of an account of the administration of the Estate in any court. 4. Smith acknowledges and agrees that she has received from Executor payment of the $5,000.00 set forth in Decedent's will. In exchange for payment to Smith by Executor as set forth above, Smith, for herself, her heirs, personal representatives and assigns, absolutely and irrevocably releases and discharges Executor, his heirs, personal representatives, successors and assigns, of and from any and all actions, claims, liabilities and demands what so ever, whether arising before on or after the date of this release, whether known or unknown, in any way arising out of or in connection with the payment to Smith of the $5,000.00 set forth above, any disposition of the wood jelly cupboazd by Executor and/or Executor's administration of the Estate. 5. In exchange for the above distribution, Smith, for herself, her heirs, personal representatives, successors and assigns, hereby agrees to indemnify and hold harmless Executor, his heirs, personal representatives, successors and assigns, of and form any loss, expense (including, without limitation, reasonable legal fees), claims and damages what so ever which Executor may incur, arising at any time before, on or after the date of this Agreement, in any way out of or in connection with Executor's administration of the Estate and/or the above distribution Exhibit "B" including, without limitation, any liability for any federal estate taxes, Pennsylvania inheritance tax or any other taxes due on the death of the Decedent, and any Federal or Pennsylvania income taxes and Pennsylvania personal property taxes, together with any interest and costs incidental thereto, relating in any way to the Estate and also including, but not limited to, any assets received or payments or distributions made by reason of any negligence or mistake of law or fact. 6. Smith hereby agrees to refund to Executor, immediately upon Executor's demand, any amount of the above distribution which may be later determined to exceed the amount to which Smith may be entitled under the Decedent's will. 7. Time is of the essence in all respects in connection with the contents of this Agreement. IN WITNESS WHEREOF, the parties hereto have set their hands and seals the day and year first above written.
