I am being retained to represent the Co-Executors for the Estate of Faye G. Densham.
Accompanying this letter is a Petition for Probate and Grant of Letters Testamentary in the Estate
of Faye G. Densham, late a resident of Cumberland County, who died testate January 2, 2002.
Attached to the petition are the following:

FAYE G. DENSHAM
I, FAYE G. DENSHAM, of the Borough of Camp Hill, Cumberl'and
County, Pennsylvania, being of sound and disposing mind, memory
and understanding, do hereby make, publish and declare this as
and for my Last Will and Testament, hereby revoking all other
Wills and Codicils heretofore made by me.
FIRST
I direct the payment of my just debts and expenses of my
last illness and. funeral from my estate as soon after my deaEh as
conveniently may be done. I direct that my body be interred in
.my cemetery lot at New Allport Cemetery, Clearfield County,
Pennsylvania, Lot 2 A, Section A.
Further, I authorize my personal representative to expend
funds from my estate, in such amount as my personal
representative shall consider necessary and desirable for the
purchase, erection and inscription of a suitable marker for my
grave.
SECOND
I give, devise and bequeath all the rest, residue and
remainder Of my estate to my beloved husband, WILLIAM T. DENSHAM,
absolutely and in fee simple if he survives me by thirty (30)
days.
THIRD
In the event that my husband, WILLIAM T. DENSHAM, fails to

survive me by thirty (30) days, then I give, devise and bequeath
all the rest, residue and remainder of my estate in equal shares
unto my children, JOHN L. DENSHAM and BARBARA FAYE DENSHAM, per
stirpes.
FOURTH
I direct that any and all inheritance, estate, and transfer
taxes imposed upon my estate passing under this Will or otherwise
shall be paid out of the principal of my residuary estate.
FIFTH
In addition to the powers conferred by law, I authorize any
personal representative acting under this instrument, in his
absolute discretion:
(a) To retain in the form received, or to sell
either at public or private sale any real or personal
property;
(b) To exercise any options to subscribe for
stocks, bonds, or other investments.
(c) To join in any plan of lease, mortgage,
consolidation, exchange, reorganization or foreclosure
of any corporation in which my estate or any trust may
hold stocks, bonds or other securities;
(d) To sell, transfer, convey, mortgage, pledge,
lease or exchange any property, real or personal, which
at any time may form part of my estate, for the payment
of debts or taxes, or for any purpose of administration
or distribution, for such prices and upon such terms

as my personal representative,.in his sole discretion,
may deem wise, and to execute and deliver deeds of
conveyance or transfer thereof;
(e) To make settlements and compromises on such
terms as my personal representative in his sole
discretion may deem wise without the necessity of
obtaining any court approval thereof;
(f) To make distribution hereunder either in cash
or kind, as my personal representative in his discretion
may deem wise.
SIXTH
I do herebY nominate, constitute and appoint my husband,
WILLIAM T. DENSHAM, to act as Executor, of this my'Last Will and
Testament. Provided, however, that if he is unwilling or unable
to act as Executor, I direct the duties of Co-Excutor be
performed by JOHN L. DENSHAM AND BARBARA FAYE DENSHAM.
SEVENTH
I direct that no personal representative, guardian, trustee
or other fiduciary appointed under this instrument shall be
required to give bond for the faithful performance of their
duties in any jurisdiction.
IN WITNESS WHEREOF, I, FAYE G. DENSHAM, have hereunto set my
hand and seal to this my Last Will and Testament, consisting of
three typewritten pages, the first two of which bear my

I, FAYE G. DENSHAM, of the Borough of Camp Hill,-Cumberland
County, Pennsylvania, being of sound and disposing mind, memory
and understanding, do hereby make, publish and declare this as
and for my Last Will and Testament, hereby revoking all other
Wills and Codicils heretofore made by me.
FIRST
I direct the payment of my just debts and expenses of my
last illness and funeral from my estate as soon after my death as
conveniently~may be done. I direct that my body be interred in
my cemetery lot at New Allport Cemetery, Clearfield County,
Pennsylvania, Lot 2 A, Section A.
Further, I authorize my personal representative to expend
funds from my estate, in such amount as~my personal
representative shall consider necessary and desirable for the
purchase, erection .and inscription of a suitable marker for my
grave.
SECOND
I ~ive, devise and bequeath all the rest, residue and
remainder of my estate to my beloved husband, WILLIAM T. DENSHAM,
absolutely and in fee simple if he survives me by thirty (30)
days.

absolute discretion:
(a) .To retain in the form received, or to sell
either at public or private sale any real or personal
property;
(b) To exercise any options to subscribe for
stocks, bonds, or other investments.
(c) To join in any plan of lease, mortgage~
consolidation, exchange, reorganization or foreclosure
of any corporation in which my estate or any trust may
hold stocks, bonds or other securities;
(d) To sell, transfer, convey, mortgage, pledge,
lease or exchange any property, real or personal, which
at any time may form part of my estate, for the payment
of debts or taxes, or for any purpose of administration
or distribution, for such prices and upon such terms

SIXTH ,
I do hereby nominate, constitute and appoint my husband,
WILLIAM T..DENSHAM, to act as Executor, of this my Last Will and
Testament. Provided, however, that if he is unwilling or unable
to act as Executor, I direct the duties of Co-Excutor be
performed by JOHN L. DENSHAM AND BARBARA FAYE DENSHAM.
SEVENTH
I direct that no personal representative, guardian, trustee
or other fiduciary appointed under this instrument shall be
required to give bond for the faithful performance of their
duties in any jurisdiction.

If any tax*due is paid within three (3) calendar months after the decedent;s death, a five percent (52) discount of
the tax paid is allomed.
The 152 tax amnesty non-participation penalty is computed on the total of the tax and interest assessed, and not
paid before January 18, 1996, tho first day after the end of the tax amnesty period. This non-participation
penalty is appealable in the same manner and in the the same time period as you mould appeal the tax and interest
that has been assessed as indicated'on this notice.
Interest is charged beginning with first day of dellnquency, or nine (9) months and one (1) day from the date of
death, to the date of payment. 'Taxes which became delinquent before' January 1, 1982 bear interest at the rate of
six (67.) percent per annum calculated at a daily rate of .000164. All taxes ahich became delinquent on and after
January 1, 1982 mill hear interest at a rate which wit1 vary from calendar year to calendar year with that rate
announced by the PA Department of Revenue. The applicable interest rates for 1982 through 2002 are:

FAMILY AGREEMENT
THIS AGREEMENT by and between BARBARA FAYE DENSHAM and JOHN L.
DENSHAM, individually and as Co-Executors of the Estate of Faye G. Densham, Deceased,
WITNESSETH
WHEREAS, Faye G. Densham, who resided at 381 N. 29th Street, Camp Hill,
Cumberland County, PA 17011, died January 2, 2002, having left her Last Will and Testament dated
July 25, 1989, which was duly admitted to probate by the Register of Wills of Cumberland County
at the above number and term January 14, 2002; and
WHEREAS, Barbara Faye Densham and John L. Densham have been duly appointed
as Co-Executors of the Estate of Faye G. Densham, Deceased; and
WHEREAS, the parties in interest under the Last Will and Testament of Faye G.

WHEREAS, Faye G. Densham, Deceased, was not survived by a spouse; and
WHEREAS, there were no specific bequests; and
WHEREAS, each of the residuary beneficiary parties to this Agreement having been
kept apprised of the estate's probate and non-probate assets, receipts and disbursements, they have
determined that no further Accounting, informal or formal, is necessary; and
WHEREAS, it is the desire of the parties to this Agreement that final distribution of
the estate be accomplished without a formal accounting to the Orphans' Court Division of the Court
of Common Pleas of Cumberland County, it being the desire of the parties to avoid the expense,
delay and publicity of a formal accounting; and
WHEREAS, the parties to this Agreement each acknowledge to have received their
one half share of the residue of the estate;
NOW, THEREFORE, WITNESSETH, in consideration of the mutual promises,
covenants and agreements recited herein the parties do agree as follows:
1. Each of the parties to this Agreement does hereby release and forever
discharge the other party from any and all liability which may from time to time arise in connection
with their service as Co-Executors of the Estate of Faye G. Densham, Deceased. The parties do
further agree to indemnify and hold harmless each other from any and all liability which may arise
against the estate from creditors or other claimants.
2. Each party to this Agreement acknowledges that this Agreement shall be
indexed and recorded in the estate proceedings and that the terms hereof shall be binding upon their
respective heirs, successors, administrators, and assigns.
