COMPLAINT
AND NOW, the Plaintiff, Ambassador Home Improvements, Inc., by and through
its attorneys, Butler Law Firm, files this Complaint and in support thereof avers the following:
1. The Plaintiff, Ambassador Home Improvements, Inc., is a Pennsylvania
corporation with a place of business located at 3907 North Front Street, Harrisburg, Dauphin
County, Pennsylvania 17110 and is engaged in the home improvement business.
2. The Defendant, Darryl C. Moyer, is an adult individual residing at 423 6th Street,
New Cumberland, Cumberland County, Pennsylvania 17070.
3. On or about November 19, 2003, Defendant entered into a home improvement
contract with Plaintiff for the purchase and installation of windows for a total contract price of
$8,900.00. A true and correct copy of said contract is made a part hereof and attached hereto as
Exhibit "A".
4. At the time of signing the contract, Defendant was presented with a Notice of
Cancellation informing him that the deadline to cancel said contract was midnight, November 22,
2003. A true and correct copy of said Notice of Cancellation is made a part hereof and attached
hereto as Exhibit "B".
5. Defendant did not cancel said contract before midnight, November 22,2003.
6. Defendant has failed and refused to honor said contract by refusing to accept the
windows and pay the purchase price.
7. Pursuant to the terms of the contract, Plaintiff is entitled to liquidated damages in
the amount of thirty three and one-third (33 1/3%) percent of the total contract price in the event
the contract is terminated without consent. Thus, the amount due and owing to Plaintiff is
$2,966.67.
WHEREFORE, Plaintiff, Ambassador Home Improvements, Inc., respectfully
requests this Honorable Court to enter judgment in its favor and against Defendant, Darryl C.
Moyer, in the amount of $2,966.67 plus interest and costs of suit and to grant any such other
relief as it deems appropriate.

ANSWER TO PLAINTIFF'S COMPLAINT
AND NEW MA TTER
AND NOW, comes the Defendant, Darryl C. Moyer, by and through his counsel, Johnson, Duffie,
Stewart & Weidner, and files this Answer to Plaintiff's Complaint and New Matter and in support thereof
avers as follows:
1. Denied. The Defendant has no information as to the truth and veracity of the statement set
forth .in Paragraph 1 and therefore the same is denied.
2. Admitted.
3. Admitted in part. Denied in part. It is admitted that on November 19, 2003, the Plaintiff
and Defendant executed an agreement involving purchase and installation of the windows for a total contract
price of $8,900. Defendant specifically denies any inference as to the validity and enforcement of said
contract. It is further admitted that the signatures as set forth in the agreement as those of the Defendant
are true and correct.

6. Admitted in part. Denied in part. It is admitted that the Defendant refused to accept the
windows and pay the purchase price, but any reference or inference to the validity and enforceability of the
agreement is hereby denied.
7. Admitted in part. Denied in part. It is admitted that the alleged contract provides a
liquidated damages clause of 33 1/3 % of the total contract price unless terminated without consent.
Defendant specifically denies any inference to the validity or enforceability of said provision of said
agreement and it is further denied that the amount due and owing to Plaintiff is $2,966.67.
WHEREFORE, Defendant, Darryl C. Moyer, respectfully requests this Honorable Court to enter
judgment in favor of Defendant and against Plaintiff and dismiss tine matter as well as grant any other relief
this Honorable Court deems appropriate.

8. The averments and responses set forth in Paragraph 1 through 7 are incorporated herein as if
set forth fully.
9. The liquidated damage provision set forth in the contract attached to Plaintiff's Complaint as
Exhibit A is not a reasonable approximation of damage and is penal in nature and therefore unenforceable.
10. The liquidated damage provision set forth in Plaintiff's Complaint and the contract attached
thereto is speculative with respect to actual damage and therefore unenforceable.
11. The Plaintiff's actions leading up to the execution of the agreement and thereafter violate the
Pennsylvania Unfair Trade Practices and Consumer Protection Law.
12. The Defendant affirmatively alleges that Plaintiff's civil action is not maintainable because the
claim on which Defendant is sought to be held liable is based on a contract of adhesion and the terms
thereof are unconscionable.
13. Enforcing the provisions set forth in the contract would be unconscionable. The Defendant
has little experience in entering into such agreements and at t~le time was pressured into entering the
contract. As a result of the Defendant's vulnerability and lack of sophistication, as well as the pressure
exerted by Plaintiff to execute the contract and follow through with the terms therein, the Defendant was left
with no alternative but to execute the contract that forms a basis of the Plaintiff's complaint. Therefore, the
contract that the Plaintiff attempts to enforce was "stuck on" the Defendant and the terms of such contact are
barred therefore.
14. Based upon the foregoing, the terms of the contract are not enforceable against Defendant
because the terms are unreasonably oppressive to Defendant. Accordingly, the contract is unconscionable
and therefore void.
WHEREFORE, the Defendant, Darryl C. Moyer, respectfully request this Honorable Court to dismiss
all counts set forth against Defendant by Plaintiff in the Complaint.

presented with and signed a Notice of Cancellation informing Defendant of his right to rescind
the agreement with no penalty within three (3) days. Nevertheless, Defendant failed to rescind
the agreement within three (3) days.
