ITEM 5.
I, James S. Kidd, of Cumberland County, Pennsylvania, declare this to be my Last Will and
revoke any prior Wills and codicils made by me.
ITEM 1. I direct that all my just debts, and the expenses of my illness and burial,
including any necessary grave marker or any necessary inscription thereon, shall be paid from the
assets of my estate as soon as practicable after my death and as part of the expense of the
administration of my estate.
ITEM 2. I direct that I be cremated and my remains be buried next to my former wife
at Lake Avenue Cemetery, located in Colonia, New Jersey where I have purchased a burial lot.
I give, devise and bequeath the stun of Five Hundred Dollars ($500.00) to
I give, devise and bequeath the sum of Five Hundred Dollars ($500.00) to
I give, devise and bequeath any automobiles that I may ovm at the time of
my death to my son, Randoll Kidd.
I give, devise and bequeath the sum of One Thousand Dollars ($1,000.00) to

I give, devise and bequeath all my household goods, furnishings, furniture
and personal effects in equal shares to my sons, Jeffrey Kidd and Randoll Kidd, per stirpes.

ITEM 8. I give, devise and bequeath the rest, residue and remainder of my estate, real,
personal or mixed, of whatever nature and wheresoever situate that I may own or have the right to
dispose of at the time of my death to my ex-wife, Shirley Kidd, provides that she survives me by
thirty (30) days.
ITEM 9. If my ex-wife, Shirley Kidd, should predecease me or fail to survive me by
thirty (30) days or should we die by common disaster so that it is impossible to determine which of
us survived the other, then and in that event, I give, devise and bequeath all the rest, residue and
remainder of my estate of every nature and wherever situate unto my sons, Randoll Kidd and
Jeffrey Kidd, in equal shares, per stirpes.
ITEM 10. I have intentionally drafted my will to leave my daughter, Holly Schultz, out
of my estate. I am aware of her existence and that she would be an object of my bounty, but I have
made a considered decision to leave my estate to the individuals set forth hereinabove. Because of
the circumstances, I leave only my love and affection to my daughter, Holly Schultz.
ITEM 11. In addition to powers granted by law or by other parts of this Will, my
Executor shall have the following powers.
(a) To retain any and all assets of my estate, real, personal, or mixed, without
regard to any principle of diversification, risk, or productivity, except as may be otherwise
expressly provided herein;
(b) To sell at public or private sale, to exchange, to lease, to pledge, to
mortgage, to transfer, to convert, or otherwise dispose of, and to grant options with respect
to, any and all property, real, personal, or mixed, at any time forming part of my estate in
such manner, at such time or times, for such purposes, for such price or prices and upon

such terms, credits, and conditions as may be deemed advisable;
(c) To invest and reinvest the property in stocks, bonds, mortgages, notes,
insurance policies, annuities, common trust fund participation, or other property of any
kind, real, personal, or mixed, irrespective of any statute, case, rule, or custom limiting the
investment of trust funds, except as expressly provided otherwise herein;
(d) To settle, compromise, contest, prosecute, or abandon claims in favor of or
against my estate as may be deemed advisable;
(e) To allocate receipts and disbursements to principal or income or partly to
both and to ascertain principal or income in accordance with the laws of the Commonwealth
of Pennsylvania;
(f) To make distribution or division of the estate in cash, in kind, or partly in
both; and to postpone distribution by agreement with a beneficiary;
(g) To exercise any law-given option to treat administration expenses either as
income tax or estate tax deductions, without regard to whether the expenses were paid from
principal or income, and without requiring reimbursement; and
(h) To disclaim any inheritance or transfer.
ITEM 12. No bond shall be required by my Executor, but if bond is nevertheless
required, it shall be without surety.
ITEM 13. I direct that all estate, inheritance, succession, death or similar taxes, (except
generations skipping transfer taxes) assessed with respect to my estate herein disposed of or any
part thereof, or on any bequest or devise contained in this my Last Will (which term when used
herein shall include any Codicil hereto), or any insurance upon my life or any property held jointly

by me with another or on any transfer made by me during my lifetime or on any other property or
interest in property included in my estate for such purposes, be paid out of my residuary estate and
shall not be charged to or against any recipient, beneficiary, transferee or owner of any such
property or interest in property included in my estate for such tax purposes.
ITEM 14. I appoint my son, Randoll Kidd, as executor of this my Last Will. If my son,
Randoll Kidd, predeceases me, ceases or is unable to act as my executor, I appoim my son, Jeffrey
Kidd, as executor of this my Last Will.

1. In or about February, 2002, Randoll Kidd ("Executor") contacted Movant

2. Movant prepared an Petition for Grant of Letters Testamentary, requesting

attempts, by both telephone and written correspondence to contact Executor.
5. Executor has failed to respond in any way to any attempts by Movant to contact
Executor.
