The undersigned, Paul F. Hemler, being appointed co-trustee of the Anne H.
Taylor Trust together with with Mary H. Garbarino under Item XVIII (c) of the
Last Will and Testament of Elizabeth I3. Hemler dated April 4, 2007, does hereby
decline to serve as co-trustee of the Anne H. Taylor Trust.
This Declination to Serve is irrevocable and unqualified.
