WHEREAS, Elizabeth B. Hemler ("Decedent") died October 4~b7, hamming
first made a Last Will and Testament dated April 4, 2007 (the "Will"); and ~
WHEREAS, pursuant to the provisions of Item VI (a) and Item VII of the
Will, Decedent created a trust for the benefit of her daughter, Anne H. Taylor,
known as the Anne H. Taylor Trust; and
WHEREAS, in Item XVIII of the Will, Decedent appointed as co-trustees of
t;he Anne H. Taylor Trust her son, Paul F. Hemler, and her daughter, Mary H.
Garbarino; and
WHEREAS, by instrument dated the o?'` _ day of /~ GC ~~(,C~~-- ,
2008, Paul F. Hemler, who was originally designated to serve as co-trustee of the
Anne H. Taylor Trust, has declined to serve as such; and
WHEREAS, the undersigned Mary H. Garbarino, is currently serving as the
sole trustee of the Anne H. Taylor Trust created under Item VII of the Will; and
WHEREAS, the undersigned has the power, pursuant to the provisions of
Item XVIII (d) of the Will, to appoint a co-trustee; and
WHEREAS, the undersigned does hereby desire to appoint Theresa
McNeeley to serve as co-trustee with her.
NOW THEREFORE, Mary H. Garbarino does hereby appoint Theresa
M:cNeeley to serve as co-trustee of the Anne H. Taylor Trust under the Last Will
and Testament dated April 4, 2007, of Elizabeth B. Hemler, deceased.

Anne H. Taylor Trust under the Last Will and Testament dated April 4, 2007, of
Elizabeth B. Hemler, deceased.
