They aze shares of stock symbol DDR -Developers Diversified. There should be azound 30 shazes but I cannot get any info on it because the shares are registered through National City Shareholder Services, 1-888-221-7289. The share price on June 6 was $39.38. You will need to write a letter of inquiry stating you are the successor trustee to the trust since the death of the second trustee and you would like to liquidate all shazes of DDR. You can reference the social security number 187-16-1342 and address it to National City Shazeholder Services, fax # 1-216-257-8508. This letter needs to be medallion signature guaranteed. I liquidated the Pershing account. When I checked today, there were dividend reinvested shares in the account so I had to liquidate those. They should settle by Thursday, the 10~' so I can close the account and send the proceeds by Friday to your address. I have enclosed the paperwork for American Equity, Wells II. Please complete the forms and forward to each company for processing. Unfortunately, the Piedmont REIT has used all allocated redemption shazes for the year and will not be offering redemptions until January 2009. If any organization named herein as a recipient of a distribution is no longer existing as an active mission in the Lord's work, the stated distribution shall lapse and be added to the principal of the trust estate. If any missionary named herein is no longer an active, supported missionary, the stated distribution shall lapse and be added to the residue of the estate. 3: After the payment of all obligations and distributions, if there is a cash balance for whatever reason, it shall be divided equally between the Harrisburg Bible Forum and the Christian School Association of Harrisburg. Thei: addresses are provided elsewhere in this document. 4: The SUCCESSOR TRUSTEE shall make a complete distribution of the entire trust estate within one (1) year after the death of both GRANTORS. The only cause for an extension of time over and above the one-year period will be due to the appearance of some very extraordinary and quite unusu• al circumstance. The major thrust shall be to make a speedy settlement. PART TWO: FORMAL PROVISIONS ARTICLE 2.1: DEFINITIONS. l: TRUSTEE. The word "trustee" shall refer to the original TRUSTEE and also to the SUCCESSOR TRUSTEE. The SUCCESSOR TRUSTEE shall have the same powers, authorities, obliga- tions and limitations as the ORIGINAL TRUSTEE. 2: TRUST ESTATE. The trust estate shall consist of the property described in Scedule A and any other property which may be added to the trust estate by any person, by Will or otherwise, and any income on such property. 3: NET INCOME. Net income means gross income received by the TRUSTEE with respect to the trust estate less any expenses of whatever nature which are reasonably .incurred with respect to the trust estate. ARTICLE 2.2: ADDITION TO THE TRUST. The GRANTORS may add to the - 6 - trust by deed, Will, insurance beneficiary provision otherwise. With the written approval of the TRUSTEE, other rsons may add to the trust. RTICLE 2.3: DEATH TAXES AND EXPENSES ATTRIBUTABLE TO THIS TRUST. Unless the Will of the GRANTOR directs otherwise, the TRUSTEE shall provide for payment of death taxes and probate xpenses, if any, to the extent assets of this trust increase such taxes and expenses above that which have been imposed had these trust assets not been included in the estate of the GRANTOR. Such ayment may be made to the personal representative of the domicilia robate estate of the GRANTOR. ARTICLE 2.4: THE TRUSTEESHIP. 1: COMPENSATION. The TRUSTEE shall not be entitled to compensation for services, but shall be entitled to re- imbursement for expenses reasonably incurred in the ad- ministration of the trust estate. If the SUCCESSOR TRUSTEE assumes the administration of this trust, said SUCCESSOR TRUSTEE shall receive compensation for services rendered under this agreement in the amount of one percen (10) per annum of the fair market value of the income- producing assets of the trust, valued and assessed annual y as of the first day of the taxable year. 2: BOND. No bond or surety on bond shall be required from any TRUSTEE. i 3: WAIVER OF ACCOUNTING. No TRUSTEE need examine the accoun records and acts of any previous TRUSTEE. 4: NO ACTIVE COURT SUPERVISION. Unless in conflict with applicable local law, the trust shall be administered free from the supervision of any court. 5: ACTS OF PRIOR TRUSTEES. No TRUSTEE shall be resY~onsible for the acts or omissions of any previous TRUSTEE. Each TRUSTEE shall be responsible only for its acts or omissio s in bad faith. 6: RENDITION OF ACCOUNTS. The TRUSTEE shall render_ reports at least annually to any person then eligible to receive current income, or to the guardian, conservator, or per- son with whom such person resides. Such reports, shall set forth the receipts, disbursements and distributions during the period of accounting and the current assets and liabilities of the trust. RTICLE 2.5: POWERS OF THE TRUSTEE. The GRANTORS grant to the TRUSTEE discretion and complete power to administer Yie trust estate. In addition to those powers now or subsequently onferred by law, such grants shall include without limitation the ollowing powers: 1: To receive and preserve assets of the trust estate; to retain the initial assets without liability for loss; to abandon or otherwise dispose of assets of no or insuffi- cient value to justify administration; to invest and re- invest in any type of corporate security of obligation without regard to diversification or whether or not such asset is legal for trust and investment under local law; to sell, exchange, alter, improve, demolish, lease for any period or otherwise dispose of assets, for cash or - 7 - •o credit, without appraisal, and to give options for these purposes; to develop, partition and manage real estate; to invest the trust assets in income-producing property or other investments of Old-Time Gospel Hour; 2: To advance or borrow money; to mortgage, purchase, lease or pledge assets; to continue mortgages and to foreclose; to enter into contracts and execute all instruments which are reasonably incident to the administration of the trust; to conduct business in any form; to purchase insur ance of any type; to collect insurance proceeds and to give a receipt which shall discharge the payor of. liabili to deposit funds in any federally insured banking or savings institution; to establish reserves; to hold title in the name of a nominee; 3: To vote or refrain from voting, stock in person or by proxy; to sell or exercise stock rights; to participate in corporate adjustments; to deposit stock with voting trustees or similar committee; to pay call or assessments on stock; 4: To employ and compensate brokers, agents, property manage: investment counsel, tax advisors and attorneys; to exer- cise any election regarding taxes conferred by law; to prosecute or defend judicial or administrative proceed- ings; to pay, settle or otherwise contest claims by or against the trust; 5: To make distributions in money or in kind, or partly in each without requiring pro rata distribution of specific assets, at fair market value as determined on the effecti~ date of distribution; to determine all matters of trust accounting in accordance with generally accepted princi- ples of trust accounting as established by controlling law or customary practices; 6: To deal with any organization in which the TRUSTEE may have an interest; to commingle assets of this trust with other assets held by the TRUSTEE in a fiduciary capacity; to hold the assets of this trust and of any other trust as an undivided whole, without separation as between the assets of such trusts except when required for distribution, provided that such separate trusts shall have undivided interest in such assets. PARTICLE 2.6: DISTRIBUTION TO MINORS AND DISABLED PERSONS. If any property of the trust ever vests outright under rthe provisions of this agreement in persons who in the opinion of the TRUSTEE are under any disability or unable to administer distri ~utions properly, then the TRUSTEE in its discretion, in any juris- iction, without giving or requiring bond, without intervention of ~uardian, conservator or other representative, and without supervi- ion of any court may hold or distribute such property (subsequently eferred to as the "protected property") in accordance with ARTICLE1 .6:1 and 2.6:2, neither of which shall operate to impair any bene- ficiary's indefeasible ownership in such property. l: The TRUSTEE may hold any protected property in a separate, trust for such beneficiary designated by the name of the beneficiary and the word "Trust", exercising as TRUSTEE of such trust all the administrative powers conferred in this agreement. The trust shall terminate and vest absolutely when the beneficiary attains majority if not disabled, dies, overcomes the disability, or when the trust assets are exhausted by discretionary distribution or otherwise, or twenty-one (21) years after the death of the last sur- vivor of any individual beneficiary with any kind of an interest under this agreement who is living at the date this agreement is executed, whichever shall first. occur. At such termination the TRUSTEE shall distribute the trust estate then on hand to the beneficiary or to the beneficiary's estate if the trust terminates at the bene- ficiary's death. 2: The TRUSTEE may distribute any protected property to or for the benefit of such beneficiary (1) directly to the beneficiary, (2) on behalf of the beneficiary for the beneficiary's exclusive benefit, (3) to any account in a bank or savings institution either in the name of such beneficiary or in a form reserving title, management and custody of such account to a suitable person for the use of such beneficiary, (4) in any form of annuity, (5) in all ways provided by laws dealing with gifts or distribu- tions to or for persons under disability, and (6) to any suitable person with whom the beneficiary resic:es or who has the care or control of the beneficiary, without obli- gation to see to the further application of such distri- bution, and the receipt for distributions by any such persons shall fully discharge the TRUSTEE.
