Defenda.ntj-Jaguar Cars, Inc., is a corporation qualified to do and regularly conduct business in the Commonwealth of Pennsylvania, with its address and principal place of business located at :f= 555 MacArthur Blvd., Mahwah, NJ 07430, and can be served at this address. 3. Defendant; L B Smith Jaguar, Inc., is a corporation qualified to do and regularly conduct N r , business in the Commonwealth of Pennsylvania, with its address and principal place of business located at 6391 Carlise Pike, Mechanicsburg, PA 17050 and can be served at this address 5., s' 1 BACKGROUND 4. On or abou# October 31, 2006, Plaintiff leased a pre-owned 2004 Jaguar XJ8, manufactured and warranted by IIeefendant, bearing the Vehicle Identification Number SAJEA74C34SGO2096. R_ .t tY': 5. The vehicle was leased in the Commonwealth of Pennsylvania and is registered in the Commonwealth of Pennsylvania. 6. The lease,: ,Price of the vehicle, including registration charges, document fees, sales tax, finance and bank;charges, but excluding other collateral charges not specified, yet defined by the Lemon Law, totaled more than $43,195.00. A true and correct copy of the contract is attached hereto, made a pax hereof, and marked Exhibit "A". 7. In consideCation for the purchase of said vehicle, Defendant issued to Plaintiff several warranties, guarantees, affirmations or undertakings with respect to the material or workmanship of the vehicle and/oi.4emedial action in the event the vehicle fails to meet the promised specifications. 8. The above=}eferenced warranties, guarantees, affirmations or undertakings are/were part of the basis of the basin between Defendant and Plaintiff. 9. The parties' bargain includes an express 3-year / 50,000 mile warranty, as well as other guarantees, affirmations and undertakings as stated in Defendant's warranty materials and owner's manual. N, 10. However,,.as a result of the ineffective repair attempts made by Defendant through its authorized dealei*), the vehicle is rendered substantially impaired, unable to be utilized for its intended purposesjand is worthless to Plaintiff. 11. During th0first 12 months and/or 12,000 miles, Plaintiff complained on at least- three (3) occasions about d#ects and or non-conformities to the following vehicle components: top panel on roof is loose, engitie stalled while driving, steering squeaks, sunglass holder falls open when going over bumps, froritt?fog light comes on by itself, when vehicle is cold map lights and garage door inoperable unless ~gine is on, door latch is inoperable, vehicle stuck in park, check engine light is on, squeak in reary brakes squeak, cigarette lighter is inoperable, , engine troubles, blower fan is inoperable, and slitter lever is faulty. WYr. il{" _ COUNT I MAGNUSON-MOSS (FTC) WARRANTY IMPROVEMENT ACT AGAINST DEFENDANT, JAGUAR 12. Plaintiff ray or may have resorted to Defendant's informal dispute settlement procedure, to the extent said procedure complies with 16 CFR 703. 13. Plaintiff Aers that the Federal Trade Commission (FTC) has determined that no automobile manufacturer complies with 16 CFR 703. See, Fed. Reg. 15636, Vol. 62, No. 63 (Apr. 2,1997). 14. Plaintiff 1e eby incorporates all facts and allegations set forth in this Complaint by reference as if fully set fortl at length herein. 15. Plaintiff is a "Consumer" as defined by 15 U.S.C. §2301(3). . l T 16. Defendant is a "supplier", "warrantor", and a "service contractor" as defined by 15 U.S.C. § 2301 (4),(5) and (gj. 17. The subjc?i vehicle is a "consumer product" as defined by 15 U.S.C. § 2301(1). 18. By the 'terms of its written warranties, affirmations, promises, or service contracts, Defendant agreejo perform effective repairs at no charge for parts and/or labor. 19. The Maguson-Moss Warranty Improvement Act requires Defendant to be bound by all warranties imphM by state law. Said warranties are imposed on all transactions in the state in which the vehicle was delivered. f.. 20. DefendanC has made attempts on several occasions to comply with the terms of its express warranties; hoover, such repair attempts have been ineffective. 21. The Mag:k son-Moss Warranty Improvement Act, 15 U.S.C. §2310(d)(2) provides: If a consumer finally prevails on an action brought under paragraph (1) of this subsection, he may be allowed by the court to recover as part of the judgment a sum equal to the amount of aggregfie amount of costs and expenses (including attorney fees based upon actual time expended),, determined by the court to have been reasonably incurred by the Plaintiff for, or in connee?on with the commencement and prosecution of such action, unless the court, in its discretion shall determine that such an award of attorney's fees would be inappropriate. 22. Plaintiff has afforded Defendant a reasonable number of opportunities to conform the vehicle to the aforementioned express warranties, implied warranties and contracts. it i? 23. As a direct and proximate result of Defendant's failure to comply with the express written warranties, Plaintiff has suffered damages and, in accordance with 15 U.S.C. §2310(d)(1), Plaintiff is entitled to bring 'S it for such damages and other legal and equitable relief 24. Defendant's failure is a breach of Defendant's contractual and statutory obligations constituting a vidlation of the Magnuson-Moss Warranty Improvement Act, including but not limited to: brea('l of express warranties; breach of implied warranty of merchantability; breach of implied warrant?4of fitness for a particular purpose; breach of contract; and constitutes an Unfair ,a Trade Practice. 25. Plaintiff avers that Defendant's warranty was not provided to Plaintiff until after the vehicle was delivered, making any and all limitations, disclaimers and/or alternative dispute provisions ineffective for a !failure of consideration. 26. Plaintiff ?,?ers Defendant's Dispute Resolution Program was not in compliance with 16 CFR 703 for the mod6year of the subject vehicle. 27. Plaintiff ??±vers that Defendant's warranty did not require Plaintiff to first resort to a Dispute Resolution Proeiin before filing suit. 28. Plaintiff avers that upon successfully prevailing upon the Magnuson-Moss claim herein, all attorney fees are'recoverable and are demanded against Defendant. Plaintiff hereby incorporates all facts and allegations set forth in this Complaint by reference :-Jc as if fully set forth at length herein. s# li 30. Plaintiff ii "a "Person" as defined by 73 P.S. §201-2(2). u 31. Defendant is a "Person" as defined by 73 P.S. §201-2(2). 32. Section 201-9.2(a) of the Act authorizes a private cause of action for any person "who purchases or leases goods or services primarily for personal, family or household purposes." 33. Section 1961 of the Pennsylvania Automobile Lemon Law, provides that a violation of its provisions shall automatically constitute a violation of the Pennsylvania Unfair Trade Practices and Consumer Protgq#on Act, 73 P.S. 201-1 et seq. 34. In addition, the Pennsylvania Unfair Trade Practices and Consumer Protection Act, 73 P.S. §201-2(4), defines "unfair or deceptive acts or practices" to include the following conduct: (Vii)h,-Representing that goods or services are of a particular standard, quality or grade, or that goods are of a particular style or model, if they are of another; (xiv) Failing to comply with the terms of any written guarantee or warranty given to the buyLt''at, prior to, or after a contract for the purchase of goods or services is made; (xv).', `- Knowingly misrepresenting that services, replacements or repairs are needed if they, are not needed; at (xvi). Making repairs, improvements or replacements on tangible, real or personal prop4ty of a nature or quality inferior to or below the standard of that agreed to in writing; (xvii).' Engaging in any other fraudulent or deceptive conduct which creates a likelihood of confusion or of misunderstanding. 35. Plaintiff avers Defendant has violated these, as well as other provisions, of 73 P.S. §201-2 gJ seq. 36. Section 201-3.1 of the Act provides that the Automotive Industry Trade Practice rules and regulations adopted by the Attorney General for the enforcement of this Act shall constitute additional violations of the Act. 37. Defend*es conduct surrounding the sale and servicing of the subject vehicle falls within the aforementioned! definitions of "unfair or deceptive acts or practices." 38. Defendant, Jaguar Cars, Inc., is a corporation qualified to do and regularly conduct business in the Commonwealth of Pennsylvania, with its address and principal place of business located at 555 MacArthur Blvd., Mahwah, NJ 07430, and can be served at this address. 3. Defendant, L B Smith Jaguar, Inc., is a corporation qualified to do and regularly conduct business in the Commonwealth of Pennsylvania, with its address and principal place of business located at 6391 Carlise Pike, Mechanicsburg, PA 17050 and can be served at this address BACKGROUND 4. On or about October 31, 2006, Plaintiff leased a pre-owned 2004 Jaguar XJ8, manufactured and warranted by Defendant, bearing the Vehicle Identification Number SAJEA74C34SGO2096. 5. The vehicle was leased in the Commonwealth of Pennsylvania and is registered in the Commonwealth of Pennsylvania. 6. The lease price of the vehicle, including registration charges, document fees, sales tax, finance and bank charges, but excludine other collateral charges not specified, yet defined by the Lemon Law, totaled more than $43,195.00. A true and correct copy of the contract is attached hereto, made a part hereof, and marked Exhibit "A". 7. In consideration for the purchase of said vehicle, Defendant issued to Plaintiff several warranties, guarantees, affirmations or undertakings with respect to the material or workmanship of the vehicle and/or remedial action in the event the vehicle fails to meet the promised specifications. 8. The above-referenced warranties, guarantees, affirmations or undertakings are/were part of the basis of the bargain between Defendant and Plaintiff. 9. The parties' bargain includes an express 3-year / 50,000 mile warranty, as well as other guarantees, affirmations and undertakings as stated in Defendant's warranty materials and owner's manual. 10. However, as a result of the ineffective repair attempts made by Defendant through its authorized dealer(s), the vehicle is rendered substantially impaired, unable to be utilized for its intended purposes, and is worthless to Plaintiff. 11. During the first 12 months and/or 12,000 miles, Plaintiff complained on at least three (3) occasions about defects and or non-conformities to the following vehicle components: top panel on roof is loose, engine stalled while driving, steering squeaks, sunglass holder falls open when going over bumps, front fog light comes on by itself, when vehicle is cold map lights and garage door inoperable unless engine is on, door latch is inoperable, vehicle stuck in park, check engine light is on, squeak in rear, brakes squeak, cigarette lighter is inoperable, , engine troubles, blower fan is inoperable, and shifter lever is faulty. True and correct copies of all invoices in Plaintiff possession are attached hereto, made a part hereof, and marked Exhibit "B". i .` { z 1 COUNTI MAGNUSON-MOSS (FTC) WARRANTY IMPROVEMENT ACT AGAINST DEFENDANT, JAGUAR 12. Plaintiff may or may have resorted to Defendant's informal dispute settlement procedure, to the extent said procedure complies with 16 CFR 703. 13. Plaintiff avers that the Federal Trade Commission (FTC) has determined that no automobile manufacturer complies with 16 CFR 703. See, Fed. Reg. 15636, Vol. 62, No. 63 (Apr. 2,1997). 14. Plaintiff hereby incorporates all facts and allegations set forth in this Complaint by reference as if fully set forth at length herein. 15. Plaintiff is a "Consumer" as defined by 15 U.S.C. §2301(3). 16. Defendant is a "supplier", "warrantor", and a "service contractor" as defined by 15 U.S.C. § 2301 (4),(5) and (8). 17. The subject vehicle is a "consumer product" as defined by 15 U.S.C. § 2301(1). 18. By the terms of its written warranties, affirmations, promises, or service contracts, Defendant agreed to perform effective repairs at no charge for parts and/or labor. 19. The Magnuson-Moss Warranty Improvement Act requires Defendant to be bound by all warranties implied by state law. Said warranties are imposed on all transactions in the state in which the vehicle was delivered. 20. Defendant has made attempts on several occasions to comply with the terms of its express warranties; however, such repair attempts have been ineffective. 21. The Magnuson-Moss Warranty Improvement Act, 15 U.S.C. §2310(d)(2) provides: If a consumer finally prevails on an action brought under paragraph (1) of this subsection, he may be allowed by the court to recover as part of the judgment a sum equal to the amount of aggregate amount of costs and expenses (including attorney fees based upon actual time expended), determined by the court to have been reasonably incurred by the Plaintiff for, or in connection with the commencement and prosecution of such action, unless the court, in its discretion shall determine that such an award of attorney's fees would be inappropriate. 22. Plaintiff has afforded Defendant a reasonable number of opportunities to conform the vehicle to the aforementioned express warranties, implied warranties and contracts. I . ? 23. As a direct and 'Proximate result of Defendant's failure to comply with the express written warranties, Plaintiff has suffered damages and, in accordance with 15 U.S.C. §2310(d)(1), Plaintiff is entitled to bring suit for such damages and other legal and equitable relief. 24. Defendant's failure is a breach of Defendant's contractual and statutory obligations constituting a violation of the Magnuson-Moss Warranty Improvement Act, including but not limited to: breach of express warranties; breach of implied warranty of merchantability; breach of implied warranty of fitness for a particular purpose; breach of contract; and constitutes an Unfair Trade Practice. 25. Plaintiff avers that Defendant's warranty was not provided to Plaintiff until after the vehicle was delivered, making any and all limitations, disclaimers and/or alternative dispute provisions ineffective for a failure of consideration. 26. Plaintiff avers Defendant's Dispute Resolution Program was not in compliance with 16 CFR 703 for the model year of the subject vehicle. 27. Plaintiff avers that Defendant's warranty did not require Plaintiff to first resort to a Dispute Resolution Program before filing suit. 28. Plaintiff avers that upon successfully prevailing upon the Magnuson-Moss claim herein, all attorney fees are recoverable and are demanded against Defendant. WHEREFORE, Plaintiff respectfully demands judgment against Defendant in an amount equal to the price of the subject vehicle, plus all collateral charges, incidental and consequential damages, reasonable attorneys' fees, and all court costs. COUNT II PENNSYLVANIA UNFAIR TRADE PRACTICES AND CONSUMER PROTECTION LAW AGAINST ALL DEFENDANTS 29. Plaintiff hereby incorporates all facts and allegations set forth in this Complaint by reference as if fully set forth at length herein. 30. Plaintiff is a "Person" as defined by 73 P.S. §201-2(2). 31. Defendant is a "person" as defined by 73 P.S. §201-2(2). 32. Section 201-9.2(a) of the Act authorizes a private cause of action for any person "who purchases or leases goods or services primarily for personal, family or household purposes." 33. Section 1961 of the Pennsylvania Automobile Lemon Law, provides that a violation of its provisions shall automatically constitute a violation of the Pennsylvania Unfair Trade Practices and Consumer Protection Act, 73 P.S. 201-1 et seq. 34. In addition, the Pennsylvania Unfair Trade Practices and Consumer Protection Act, 73 P.S. §201-2(4), defines "unfair or deceptive acts or practices" to include the following conduct: (vii). Representing that goods or services are of a particular standard, quality or grade, or that goods are of a particular style or model, if they are of another; (xiv). Failing to comply with the terms of any written guarantee or warranty given to the buyer at, prior to, or after a contract for the purchase of goods or services is made; (xv). Knowingly misrepresenting that services, replacements or repairs are needed if they are not needed; (xvi). Making repairs, improvements or replacements on tangible, real or personal property of a nature or quality inferior to or below the standard of that agreed to in writing; (xvii). Engaging in any other fraudulent or deceptive conduct which creates a likelihood of confusion or of misunderstanding. 35. Plaintiff avers Defendant has violated these, as well as other provisions, of 73 P.S. §201-2 et §N. 36. Section 201-3.1 of the Act provides that the Automotive Industry Trade Practice rules and regulations adopted by the Attorney General for the enforcement of this Act shall constitute additional violations of the Act. 37. Defendant's conduct surrounding the sale and servicing of the subject vehicle falls within the aforementioned definitions of "unfair or deceptive acts or practices." 38. The Act also authorizes the Court, in its discretion, to award up to three (3) times the actual damages sustained for violations. WHEREFORE, Plaintiff respectfully demands judgment against Defendant in an amount not in excess of Fifty Thousand Dollars ($50,000.00), together with all collateral charges, attorneys' fees, all court costs and treble damages. COUNT III FRAUDULENT MISREPRESENTATION AGAINST DEFENDANT L B SMITH JAGUAR INC 38. Plaintiff hereby incorporates all facts and allegations set forth in this Complaint by reference as if fully set forth at length herein. 39. The representations upon which Defendant purchased the vehicle were fraudulent in that Defendant failed to divulge the defects, damage, need for repair, mechanical concerns and title history prior to sale to Plaintiff. 40. Said representations were made in violation of 37 Pa. Code §301.2 of the Automotive Industry Trade Practices. 41. Reliance upon the aforesaid misrepresentation(s) was/were a primary element of Plaintiffs purchase of the vehicle. 42. Defendant intentionally or recklessly misled Plaintiff as detailed in paragraphs above. 43. Defendant either knew the representations were false or misleading or acted with reckless disregard for the truth. 44. Defendant intended for Plaintiff to rely on its representations in order to induce her to purchase the subject vehicle. 45. Plaintiff would not have purchased the vehicle if she had known that the 2004 Jaguar had in fact, been involved in a previous accident and then received substandard repairs. 46. Plaintiff would not have purchased the vehicle if she had known that the 2004 Jaguar had in fact, exhibit mechanical problems. 47. Plaintiff would not have purchased the vehicle if she had known that the 2004 Jaguar had in fact, required repairs to return the vehicle to a marketable and merchantable condition. 48. Defendant committed the above acts or practices willfully, recklessly, maliciously and with the intent to injure and defraud the Plaintiff. 49. Plaintiff exercised all due diligence and reasonably relied on Defendant's representations. 50. Plaintiff avers that if Defendant had disclosed the true facts, history, conditions, attributes, defects and title history prior to delivery, Plaintiff would not have purchased the vehicle. 51. Defendant did not wish Plaintiff to learn the truth about the car prior to sale and engaged Plaintiff in a sales presentation, disseminating patently false information about it to secure Plaintiff's purchase. WHEREFORE, Plaintiff respectfully demands judgment against Defendant, in an amount equal to the price of the subject vehicle, plus interest, attorney fees, and costs, in excess of Fifty Thousand Dollars ($50,000) and brings this action to recover same. COUNT IV BREACH OF CONTRACT AGAINST L B SMITH iA,_ GUAR 52. Plaintiff hereby incorporates all facts and allegations set forth in this Complaint by reference as if fully set forth at length herein. 53. Plaintiff believes and therefore avers that the Defendant, promised and contracted in writing, to sell Plaintiff a vehicle with certain attributes and qualities. 54. Defendant failed to deliver a vehicle which conformed to the contractual understandings, both oral and written. 55. Plaintiff did not receive what she bargained for; a vehicle with a history reflecting facts as represented during the sales presentation; a vehicle free of defects; a vehicle which was never involved in an accident; and/or a vehicle which received substandard repairs. WHEREFORE, Plaintiff respectfully demands judgment against Defendant, in an amount equal to the price of the subject vehicle, plus interest, attorney fees, and costs, in excess of Fifty Thousand Dollars ($50,000) and brings this action to recover same. COUNT V PENNSYLVANIA UNFAIR TRADE PRACTICES AND CONSUMER PROTECTION LAW: PER SE VIOLATIONS AGAINST L B SMITH 56. Plaintiff hereby incorporates all facts and allegations set forth in this Complaint by reference as if fully set forth at length herein. 57. Plaintiff is a "Person" as defined by 73 P.S. §201-2(2). 58. Defendants are "Persons" as defined by 73 P.S. §201-2(2). 59. The Pennsylvania Unfair Trade Practices and Consumer Protection Act, 73 P.S. 5201- 2(4), defines "unfair or deceptive acts or practices" to include the following: a. (vii). Representing that goods or services are of a particular standard, quality or grade, or that goods are of a particular style or model, if they are of another; b. (xiv). Failing to comply with the terms of any written guarantee or warranty given to the buyer at, prior to, or after a contract for the purchase of goods or services is made; C. (xv). Knowingly misrepresenting that services, replacements or repairs are needed if they are not needed; d. (xvi). Making repairs, improvements or replacements on tangible, real or personal property of a nature or quality inferior to or below the standard of that agreed to in writing; e. (xvii). Engaging in any other fraudulent or deceptive conduct which creates a likelihood of confusion or of misunderstanding. 60. Plaintiff believes, and therefore avers, that Defendants' conduct falls within the aforementioned definition of "unfair or deceptive acts or practices." 61. Defendant's actions constitute otherwise reckless, wanton, or willful conduct which is prohibited by the Act. 62. Section 201-9.2(a) of the Act provides for private causes of action for any person "who purchases or leases goods or services primarily for personal, family household purposes." 63. The Act authorizes the Court, in its discretion, to award up to three (3) times the actual damages sustained for violations. 64. Plaintiff seeks treble of her actual damages. WHEREFORE, Plaintiff respectfully demands judgment against Defendant in an amount in excess of Fifty Thousand Dollars ($50,000.00) together with all collateral charges, attorney fees, and costs of suit. COUNT VI NEGLIGENCE AGAINST L B SMITH 65. Plaintiff hereby incorporates all facts and allegations specified in all paragraphs, by reference as if fully set forth at length. 66. The representations upon which Defendant, sold the vehicle were negligent. 67. Defendant knew, or should have known the actual vehicle condition and ownership history, prior to sale to Plaintiff. 68. Defendant had a duty to disclose the aforementioned material history of the vehicle, but failed to do so, resulting in Plaintiff's purchase of the vehicle under misleading information. Defendant made affirmative false representations of fact as to the vehicles condition. 69. Defendant failed to advise Plaintiff of these facts after the sale. 70. Defendant failed to accept return of the car after these facts were disclosed to Plaintiff. 71. Reliance upon the aforesaid information was/were a primary element of Plaintiffs purchase of the vehicle. 72. Plaintiff avers that if Defendant, had disclosed the condition of the vehicle or ownership history prior to delivery, Plaintiff would not have purchased the vehicle.
