ITEM I. I direct that all of my just and debts and funeral expenses, including the cost of my gravemarker, if any, shall be paid from my residuary estate as soon as practicable after my decease as a part of the administrative expenses of my estate. ITEM II. I give and devise all of my estate of every nature and wherever situate in equal shares, share and share alike, to my children, SHERRILL L. ISON, RONALD L. SMITH and P~ELA K. JONAS, or their issue, per stirpes. ITEM III. I appoint my daughter, PAMELA K. JONAS, as Executrix of this my Last Will and Testament. Should she fail to qualify or cease to act in such capacity, I then appoint my son, RONALD L. SMITH, as First Contingent Executor of this my Last Will and Testament. Should he also fail to qualify or cease to act in such capacity, I then appoint my daughter, SHERRILL L. ISON, Second Contingent Executrix of this my Last Will and Testament. No bond shall be required of any of my personal representatives in any jurisdiction. ITEM IV. In addition to the powers given to my Executrix and First and Second Contingent Executors by operation of law, the following powers are herein given to them to be exercised by them at their sole discretion: A. To retain any property received by them and to invest in all forms of property without restriction to investments; B. To operate any business, corporation, partnership or enter into any recapitalization, merger, reorganization or voting trust plan and to delegate authority with respect thereto and to deposit /3. Alita B. Smith investments under agreements and pay assessments and to exercise all rights of an investor; C. To hold investments in the name of a nominee or to compromise controversies with respect to any assets held by them; D. To exchange or sell my property for cash, property or credit, publicly or privately, or to lease for any term without liability for such purposes without obligation to repudiate them in favor of a higher offer and to mortgage any assets held by them; E. To make distribution in cash or kind or partly in each of the valuations fixed by each and the right to borrow money, including the right to borrow from themSelves as Executrix and Contingent Executors; F. To exercise and dispose of warrants and to loan to and buy property from my estate; G.
