DISCLAIMER -o ~

The undersigned, ELEANOR M. ALLEN (the "Disclaimant"), being the
wife of HEATH L. ALLEN, intending t.o be legally bound, makes the following
disclaimer:
Disclaimant hereby disclaims all right, title and interest
she may have to receive that portion of the residue of the
Estate of Heath L. Allen (who died on July 29, 2008)
which would pass pursuant to the provisions of Item V (b)
of the Last Will and Testament dated May 23, 2008,
because of the application of the limitation in Item V (a)
that not more than fifty (50%) percent of the residue shall
pass to the then living issue of Heath L. Allen. This
Disclaimer shall be construed so as to omit the second
paragraph thereof which provides "not withstanding the
foregoing, not more than fifty (50°l0) percent of the residue
shall pass pursuant to this paragraph (a)...."
It is Disclaimant's intention that the maximum amount
ihat can be siielt,ered ii•om F ederai F,state Tax by reasozr
of the applicable credit amount allowable to the Estate of
Heath L. Allen will pass pursuant to the provisions of
Item V (a) to the beneficiaries identified in Item V (a) of
the Last Will and Testament of Heath L. Allen.
Disclaimant does reserve the right to the balance of the
marital gift set forth in Item V (b) of the Will.
This Disclaimer is irrevocable and unqualified.
