WEIBLEY, of the Borough of Shippensburg, Cumberland County, Pennsylvania, declare this to be my Last Will and Testament and revoke any Will or Codicil previously made by me. ITEM I: I direct that all my just debts (except as may be barred by a Statute of Limitations) and my funeral expenses (including my gravemarker and expenses of my last illness) shall be paid from my residuary estate as soon as practicable after my decease as a part of the administration of my estate. ITEM II: I devise and bequeath the residue of my estate to the Trustee acting at the time of my death under the Trust created by me on October 2, 1996 and last amended on Oc~0~~ 1~9~ , of which FINANCIAL TRUST SERVICES COMPANY is Trustee, IN TRUST, for the uses and purposes and subject to the terms and provisions thereof. My residuary estate shall be added to such Trust and administered and distributed as a part thereof, including any alterations or amendments thereto made pursuant to its terms or to any other lifetime trust which I may hereafter substitute therefor. Should the Trust created by me on October 2, 1996 and last amended on Oo~~--q i(~ be entirely revoked without a substitute (or other provision made in the document of revocation) or should that Trust fail to exist or be or become unenforceable for any reason, then my residuary estate shall be held and administered and distributed by my Executor as a Trustee pursuant to the terms and provisions of that Trust as it existed on October 2, 1996 and last amended on ~. ~C,,~ 2~ (0~ , without such resultant Trust being considered a testamentary Trust. ITEM III: My Executor and/or Trustee herein appointed shall have, in addition to those powers vested in it by law and any other provisions of my Will, all powers granted by me to the Trustee in the above referenced Trust (and any amendment of or substitute for such) as fully and completely as if the same were set forth herein in their entirety and the same are hereby incorporated herein by reference. ITEM IV: consequence I direct that all taxes that may be assessed in of my death, of whatever nature and by whatever jurisdiction imposed, shall be paid from my residuary estate as part of the expenses of the administration of my estate. ITEM V: I appoint FINANCIAL TRUST SERVICES COMPANY, Executor of performance of their duties in any jurisdiction. ITEM VII: My corporate fiduciary shall this my Last Will. Should it fail to qualify or cease to act as Executor, I appoint my friend, GALEN J. KARPER, Alternate Executor of this my Last Will. ITEM VI: I direct that my Executor and Trustee or their successors shall not be required to give bond for the faithful be entitled to compensation based upon its regular schedule of fees for such services in effect from time to time during the period over which its services are performed. ITEM VIII: My individual fiduciary shall be entitled to reasonable compensation for his or her services rendered from time to time and/or to reimbursement of out of pocket expenses. WHEREAS, SETTLOR and TRUSTEE entered into an Agreement of Trust dated October 2, 1996; and WHEREAS, SETTLOR reserved the right and power to amend the original Trust (and any subsequent amendments) and he desires hereby to do so; and WHEREAS, TRUSTEE is agreeable that such amendments be made and become effective immediately upon the execution hereof. Upon SETTLOR's death, TRUSTEE shall hold or distribute the residue and remainder of the principal and any accumulated and undistributed income hereof and herefrom and any additions received under SETTLOR's Will or the Will of any other person or otherwise, after payment of SETTLOR's debts, taxes and administration expenses as hereinafter provided, in PERPE~JAL TRUST, for the benefit .of the Christ United Methodist Church of Shippensburg, Pennsylvania for the following uses and purposes and under.the following terms and conditions, a~ an endowment, as follows: 1) From the income (but not exceeding $250 per year) there shall be distributed the-following: a) The cost of having placed upon SETTLOR's grave and SETTLOR's late wife's grave (being Pearle B. Weibley), upon SETTLOR's wife's mother's and father's graves (being Charles B. Baker, Jr. and Dorothy V. Baker), and upon SETTLOR's wife's brother's grave (being Chalmer D. Baker) in Spring Hill Cemetery, Shippensburg, Pennsylvania, on Memorial Day of each year, an arrangement of natural or fresh flowers, the selec%ion of such flowers to be in the sole discretion of the said Trustees of Christ United Methodist Church of Shippensburg. b) The cost of having placed upon SETTLOR's grave and SETTLOR's late wife's grave, upon SETTLOR's wife's mother's and father's graves (being Charles B. Baker, Jr. and Dorothy V. Baker) and upon SETTLOR's wife's brother's grave (being Chalmer D. Baker) in Spring Hill Cemetery, Shtppensburg, Pennsylvania on Christmas Day of each year, an arrangement of. artificial flowers, the selection of such flowers to be in the sole discretion of the Trustees of Christ United Methodist Church of Shippensburg. 2} The balance of the income therefrom, annually, shall be payable to the Trustees of Christ United Methodist Church, to be utilized by it, in its discretion, for appropriate .uses in the following specified order: a) For the maintenance, repair and replacement of the sound system in the church sanctuary (which was Dreviously a gift in SETTLOR's lifetime by SETTLOR). b) For the use in.~onnection with the music department of Christ United Methodist Church. c) Any residue not applied in the discretion of the Trustee to the uses specified in subparagraphs (a) and (b) shall be disbursed by the Board of Trustees as it in its discretion 4 determines necessary and desirable for the general purposes of Christ United Methodist Church of Shippensburg, Pennsylvania. FOURTH: The principal and income of this Tr~st shall be free from anticipation, assignment, pledge or obligation of SETTLOR or of any beneficiary and shall not be subject to any execution or attachment or to voluntary or involuntary alienation. FIFTH: TRUSTEE shall have the power, but not the duty, to make such expenditures out of this Trust as it, in its uncontrolled discretion, may consider desirable in .order to facilitate the settlement of SETTLOR's estate. In exercising such power, TRUSTEE may pay, in whole or in part, any or all of the following items: the expenses of SETTLOR's last illness and burial, including cost of gravemarker: his debts: his income taxes: the death taxes on any and all property included in his gross estate for tax purposes; and all other items in connection with the settlement of his estate. Any such items may be paid directly by TRUSTEE or the funds for their payment may be transferred by TRUSTEE to SETTLOR's executor or administrator; and neither such execut~ or administrator or any beneficiary of SETTLOR's estate shall be required to reimburse TRUSTEE for any funds so paid or transferred. To repair, alter or improve any real or personal property: to borrow money including the right to borrow money from any fiduciary hereunder, and to pledge, mortgage~ or create a security interest in any property held by them as security therefor, and to mske loans, secured or unsecured, for such purposes and upon such terms and conditions as the TRUSTEE may deem advisable, including loans to SETTLOR's estate, with or without interest, for any purpose whatsoever, and to exercise options of any kig~. J. To subscribe for or to exercise options for stocks, bonds, or other investments; to join in any plan of lease, mortgage, merger, consolidation, reorganization, foreclosure or voting trust and to deposit securities thereunder; to vote securities in person or by proxy, in such connection to 7 delegate discretionary powers: and generally to exercise all the rights of security holders or employees of any corporation. K. To pay from the income of the trust created herein, monthly payments on any mortgage on real estate owned by SETTLOR individually or Jointly with another person at the time of SETTLOR's death, if TRUSTEE deems it advisable not to prepay any such mortgage. L. Trustee, generally, shall have full power, and authority to exercise all rights and privileges appurtenant to any property held by it, and to execute and deliver any and all instruments which may be necessary or expedient in the exercise of the powers granted herein. M. To exercise any law-given option to pay death taxes in installments, the payment · of interest due on such installments to be charged against principal. N. To exercise any law-given option to treat administrative expenses either as income tax or as estate tax deductions, without regard to whether the expenses were paid from principal or income. O. Should the principal of any Trust herein provided for be or become too small in TRUSTEE'$ discretion so as to make establishment or continuance of trust inadvisable, TRUSTEE or SETTLOR's personal representative may make immediate distribution of the then remaining principal and any accumulated or undistributed income outright to the person or per~ons and in the proportions they are entitled to. p. Any individual TRUSTEE may from time to time delegate his or her powers and duties, both administerial and discretionary, to one or more other trustee with full power to revoke such discretion and renew the same at pleasure. p. But Lindsay Lot Road residents do not want a park in their backyard. Crouse said if the land is developed, the park will become a hangout for teen- agers. The borough authority wants to develop the acreage surrounding a creek blocked by Stony Point Dam. This watershed was previously used by the borough for tap- water. These potential park neigh- traffic and unruliness that might increase on the prop- erty if the land is turned into a park. "The borough will not maintain another park five miles outside of town. The borough already has two parks (The Memorial Park and Dykeman Springs Wet- land Park) near the heart of town," Crouse contended. "The third park will need po- lice protection and will be a cost to borough taxpayers." The borough authority has three options to choose from when dealing with the un- wanted property. They could simply abandon the land. The second option would be for the borough to spend $90,000 to dismantle the dam that sits on the land and sell the property for commercial or private devel- opment; The third option, and the one the borough is the property over to an organization willing to make the woodland into a park. "~ · ~ ~ Borough Attorney Forest Myers said the intention of the borough authority will be to acquire the land from the state and then turn over the land to the Boy 'Scouts .or Shippensburg Recreation and Parks Department for devel- opment. The borough would acquire the land in trade for part of Gunter Valley that the bor- ough owns, Borough Author- ity member Mervin Folgel- sanger said.
