STOUT, of Mechanicsburg, Cumberland County, Pennsylvania, being of sound and disposing mind, memory and understanding, do hereby make, publish and declare this as and for my Last Will and Testament, hereby revoking all other Wills and Codicils heretofore made by me. FIRST I direct the payment of my just debts and expenses of my last illness and funeral from my estate as soon after my death as conveniently may be done. If there be no cemetery lot available for my interment owned by me at the time of my death, I authorize my personal representative to purchase such cemetery lot with a contract for perpetual care, using therefor funds from my estate in such amount as he shall consider necessary and desirable, and I authorize my personal representative to cause title to or ownership of such lot so purchased to be vested in such person as my personal representative shall designate. Further, I authorize my personal representative to expend funds from my estate, in such amount as my personal representative shall consider necessary and desirable for the purchase, erection and inscription of a suitable marker for my grave. SECOND I bequeath all of my household goods, furniture, jewelry and personal effects in accordance with a written list made by me during my lifetime. In the absence of a list or designation on the list, then I bequeath such items in equal shares to my three children, WILLIAM M. STOUT III, JULIA ANN STOUT, and ROBERT L. Should there be no agreement, the Executor shall divide this property among them in as nearly equal portions as the Executor, in the sole discretion of the Executor, deems appropriate, having due regard to the personal preferences of my said children. THIRD In consideration of the fact that a significant portion of my property at the time of my death will be held by PNC Bank as Trustee of an inter vivos trust established by my late husband and me, and that the remainder of my said trust estate will pass upon my death in equal shares to my children, I therefore direct my Executor, when calculating the stated percentages in the following pre-residuary gifts, to include the net distributable value of the assets passing according to the trust, so that each of the following pre-residuary shares is determined by the stated percentages of the total combined assets of my trust and probate estates. I further direct that all inheritance and estate taxes becoming due by reason of my death, whether payable by my estate or by any recipient of any property, shall be paid by the Executor out of the residue of my estate, as an expense and cost of administration of my estate. FOURTH I give, devise and bequeath TEN (10%) percent of my combined estate as set forth at Item Third, above, to be divided in equal shares among my grandchildren, whether natural or adopted, and whether born before or after the signing of these presents. FIFTH I give, devise and bequeath FIFTEEN (15%) percent of my combined estate as set forth at Item Third, above, to be divided in equal shares among the following charities: (a) The Salvation Army; (b) The American Red Cross; (c) The Bethesda Mission of Harrisburg, PA; (d) Messiah Village of Mechanicsburg, PA, to be added to its endowment fund; and (e) Wesley United Methodist Church of Mechanicsburg, PA, to be added to its endowment fund. SIXTH I give, devise and bequeath all the rest, residue and remainder of my estate in equal shares unto my children, WILLIAM M. STOUT III, JULIA ANN STOUT, and ROBERT L. STOUT; provided that if any child of mine should predecease me, his or her share of the residue of my estate shall be divided into equal shares, one share each to be distributed to his or her surviving spouse and children, whether natural or adopted, and whether born before or after the signing of these presents. To join in any plan of lease, mortgage, consolidation, exchange, reorganization or foreclosure of any corporation in which my estate or any trust may hold stocks, bonds or other securities; D. To sell, transfer, convey, mortgage, pledge, lease or exchange any property, real or personal, which at any time may form part of my estate, for the payment of debts or taxes, or for any purpose of administration or distribution, for such prices and upon such terms as my personal representative, in his sole discretion, may deem wise, and to execute and deliver deeds of conveyance or transfer thereof; E. To make settlements and compromises on such terms as my personal representative in his sole discretion may deem wise without the necessity of obtaining any court approval thereof; F. To make distribution hereunder either in cash or kind, as my personal representative in his discretion may deem wise.
