SPANGLER, of Shiremanstown, Cumberland County, Pennsylvania, do make, publish and declare this to be my Last Will and Testament, hereby revoking all Wills and Codicils by me at any time made. ITEM I: I direct that all inheritance and estate taxes becoming due by reason of my death, whether such taxes may be payable by my estate or by any recipient of any property, shall be paid by the Executor out of the property passing under ITEM V of this Will, as an expense and cost of administration of my estate. The Executor shall have no duty or obligation to obtain reimbursement for any such tax so paid, even though on proceeds of insurance or other property not passing under this Will. ITEM II: I give, devise and bequeath my residence located at 400 East Chestnut Street, Shiremanstown, Pennsylvania, including all of my household goods, furniture and furnishings, including books, pictures and silverware and other articles of household use located therein, to my great-grandson, MICHAEL FREUNDEL, and my granddaughter, SHERRY A. FREUNDEL, as joint tenants with right of survivorship. If neither of them fails to survive me, I direct my Executor to sell my said residence and personal property Page and add the net proceeds from the sale thereof to my residuary estate to be distributed in accordance with ITEM V. I give and bequeath the sum of Thirty-five Thousand ($35,000) Dollars to PNC BANK, N.A. as Trustee (hereinafter referred to as "Trustee"), IN TRUST to be administered and distributed as follows: (a) Trustee shall pay all of the net income of this Trust and so much of the principal of this Trust as may be necessary in the sole discretion of the Trustee to pay for the real estate taxes and assessments, fire and casualty insurance premiums, and maintenance and repairs to 400 East Chestnut Street, Shiremanstown, Pennsylvania. (b) Except as specifically provided in sub-paragraph (a) of this Item, my said granddaughter and my said great-grandson shall pay all other expenses incident to the ownership of my residence. Upon the expiration of fifteen (15) years from the date of my death (provided that either my said granddaughter or my said great-grandson continues to own said property) the Trustee shall distribute the remaining assets of the Trust equally to my said great-grandson and my said granddaughter whereupon this Trust shall terminate. If neither my said granddaughter nor my said great-grandson is then living or upon sale of the property at any time during the aforesaid fifteen (15) year period, the Trustee shall distribute the remaining assets of the Trust to my then living children and issue of deceased children per stirpes." ITEM III: I give and bequeath my Nissan automobile to my granddaughter, SHERRY A. FREUNDEL, if she survives me. I give and bequeath all other automobiles which I own at the time of my death and all policies of insurance thereon to my great-grandson, MICHAEL FREUNDEL, if he survives me. Page 2 ITEM IV: I may leave a written statement or list in with this Will disposing of certain items of my tangible personal property not otherwise specifically disposed of herein. Any such statement or list in existence at the time of my death shall be determinative with respect to all items devised therein. If no written statement or list is found with this Will or elsewhere and properly identified by the Executor within thirty (30) days after the probate of my Will, it shall be presumed that there is no such statement or list; any subsequently discovered statement or list shall be ignored. Any item of tangible personal property not contained on any written statement, or if no written statement is found, I give and bequeath absolutely and in fee simple all of my household furniture and furnishings, books, pictures, jewelry, silverware, automobiles, wearing apparel, and all other articles of household or personal use or adornment not otherwise so devised, and all policies of insurance thereon, to my daughters, JEAN L. FREUNDEL and J. MARJORIE BORELLI, to be divided between them as they shall agree. Should there be no agreement, such property shall be divided between them by the Executor in as nearly equal portions as is deemed practical in the sole discretion of the Executor having due regard to the personal preferences of my said daughters. I direct the Executor to sell all of my tangible personal property not otherwise chosen by my daughters and add the net proceeds from the sale thereof to my residuary estate to be distributed in accordance with ITEM V of this Will. ITEM V: I give, devise and bequeath all of the rest, residue and remainder of my estate not disposed of in the preceding portions of this Will in equal shares to my daughters, JEAN L. FREUNDEL and J. MARJORIE BORELLI. If either of my said daughters fails to survive me, the share of my said deceased daughter shall be paid to the then living issue of my said deceased daughter, per stirpes. If at the time of my death I own residential real estate situate at 301 South Stoner Avenue, Shiremanstown, Lower Allen Township, Cumberland County, such real estate shall be distributed in kind to my daughter, JEAN L. FREUNDEL, as part of her share of my residuary estate. ITEM VI: No interest of any beneficiary under this Will or any Codicil hereto shall be subject to anticipation or voluntary or involuntary alienation, and the personal receipt of such beneficiary shall be the sufficient and only discharge of Executor unless otherwise provided herein. ITEM VII: In the settlement of my estate, the Executor shall possess, among others, the following powers: (a) To retain any investments I may have at my death, including specifically those consisting of stock of any bank even if I have named such bank as the Executor herein, as long as the Executor may deem it advisable to my estate so to do. (b) To vary investments, when deemed desirable by the Executor, and to invest in such bonds, stocks, notes, real estate mortgages or other securities or in such other property, real or personal, as the Executor shall deem wise, without being restricted to so-called "legal investments", and without being limited by any statute or rule of law regarding investments by fiduciaries. (c) In order to effect a division of the principal of my estate or for any other purpose, including any final distribution, the Executor is authorized to make said divisions or distributions of the personalty and realty partly or wholly in kind, and to allocate specific assets among beneficiaries hereunder so long as the total market value of any share is not affected by such division, distribution or allocation in kind. Should it appear desirable to partition any real estate, the Executor is authorized to make, join in and consummate partitions of lands, voluntarily or involuntarily, including giving of mutual deeds, recognizances or other obligations, with as wide powers as an individual owner in fee simple. Page 4 (d) To sell either at public or private sale and upon such terms and conditions as the Executor may deem advantageous to the estate, any or all real or personal estate or interest therein owned by the estate severally or in conjunction with other persons or acquired after my death by the Executor, and to consummate said sale or sales by sufficient deeds or other instruments to the purchaser or purchasers, conveying a fee simple title, free and clear of all trust and without obligation or liability of the purchaser or purchasers to see to the application of the purchase money or to make inquiry into the validity of said sale or sales; also, to make, execute, acknowledge and deliver any and all deeds, assignments, options or other writings which may be necessary or desirable in carrying out any of the powers conferred upon the Executor in this paragraph or elsewhere in my Will. (e) To mortgage real estate, and to make leases of real estate. (f) To borrow money from any party, including the Executor, to pay indebtedness of mine or of my estate, expenses of administration or inheritance, legacy, estate and other taxes, and to assign and pledge assets of my estate therefor. (g) To pay all costs, taxes, expenses and charges in connection with the administration of my estate. (h) To make distributions of income and of principal to the proper beneficiaries thereof, during the administration of my estate, with or without court order, in such manner and in such amounts as my Executor deems prudent and appropriate. (i) To vote any shares of stock which form a part of the estate, and otherwise to exercise all the powers incident to the ownership of such stock. Page 5 (j) In the discretion of the Executor, to unite with other owners of similar property in carrying out any plans for the reorganization of any corporation or company whose securities form a part of the estate. (k) To disclaim any interest in property which would devolve to me or my estate by whatever means, including but not limited to the following means: as beneficiary under a will, as an appointee under the exercise of a power of appointment, as a person entitled to take by intestacy, as a donee of an inter vivos transfer, and as a donee under a third-party beneficiary contract. (1) To do all other acts in the Executor's judgment deemed necessary or desirable for the proper and advantageous management, investment and distribution of the estate. ITEM VIII: Any person who shall have died at the same time as I shall have, or in a common disaster with me, or under such circumstances that the order of our deaths cannot be established by proof, or within thirty (30) days of my death, shall be deemed to have predeceased me. ITEM IX: If at any time any minor child shall be entitled to receive any assets hereunder, PNC BANK, N.A. shall act as Guardian of the assets payable to such child. Such Guardian may receive and administer all assets authorized by law, and shall have full authority to use such funds in any manner it shall deem advisable for the best interests of such child. Said Guardian shall have all the rights and privileges as to the Guardianship(s) and its assets as are herein granted to the Trustee and Executor as to the Trusts and my estate and the assets therein. I also designate said Guardian as successor custodian of any property for which I am custodian under any Uniform Gifts to Minors Act. ITEM X: I hereby nominate, constitute and appoint my granddaughter, DIANE FREUNDEL, to be the Executrix (referred to in this Will as Page 6 ~ "Executor"). In the event of her death or her inability or refusal to serve, I nominate, constitute and appoint PNC BANK, N.A. to be the Executor. The Executor, Trustee and Guardian are specifically relieved from the duty or obligation of filing any bond or other security. For appraisal purposes it is assumed that repainting the home; replacing all floor coverings; sanding hard wood floors, and giving the home a general cleaning will remove the pet odor. SALES COMPARISON APPROACH, Cont'd All sales were adjusted to reflect the subject's need for repairs as identified within the improvements section of this report; with the exception of Sale #2. According to the listing agent Sale #2 was in fair condition at the time of sale. Condition adjustment reflects the estimated extra costs associated with removing the pet odor from the subject property. Sale #-4 adjusted for time to bring it up to current market conditions. The weighted average was also considered to indicated the Value of the subject. Estimated indicated value is determined by using the Gross Adjustment of sale price for each comparable (comp) as a measure of the relative quality of the comp. A lower adjustment indicates a better comp, and visa versa. The ratio of gross dollar adjustment to sale price for each of the comps is used to calculate the weight each comp should have in a weighted average calculation. As with any method, this techhique is not perfect. However, it does a good job of giving more weight to the most similar comps, while at the same time minimizing values near the extremes of the indicated value range. The indicated weighted average is $99,800; which support the conclusion of value stated within. Some adjustments exceeded recommended guidelines but were considered necessary to reflect an accurate value. Further, a portion of the site (tract #2) is identified on the plan as the proposed Chestnut Street. SITE, Cont'd: Part of the subject site is known as East Chestnut Street. This private road/driveway provides access to the subject and to an adjoining property owner. There is no known right-of-way agreement or maintenance agreement for use of this road. It is not anticipated that the shared road/driveway will have an adverse effect on the subject. It is recommended that a maintenance agreement be entered into with the adjoining property owner for maintenance of the road, if possible. IMPROVEMENTS, Cont'd: The subject property is considered to be in average condition. The interior of the home needs repainted. All floor coverings are worn and should be replaced. The full bath is dated which will decrease market appeal. Basement (rec room) finish is minimal and will add little to no value to the subject. The commode located in the basement half bath was turned off at the time of inspection. It is unknown if this commode is functional. For appraisal purposes we are assuming that the commode is in good working order. Based on maintenance, condition and comparison neighborhoods, the estimated effective age is below the actual age. Physical deprecia_tion due to age and deferred maintenance. No economic obsolescence or functional obsolescence noted. ADVERSE ENVIRONMENTAL CONDITIONS. Cont'd: The property is of an age where lead based paint may be present. The market does not penalize the property, but the client should be advised of it's possible existence. It is assumed that it is not present. If the client has a concern then a qualified expert in the area should be contacted. SALES COMPARISON APPROACH, Cont'd Sale #1 - According to the listing agent the home had been completely updated having new floor coverings, fresh paint, updated kitchen and baths. Sale #2 - Had newer floor coverings and fresh paint. Sale #3 - Had new ceramic tile in baths. Sale #4 - According to the listing agent the home had new floor coverings at the time of sale. The weighted average was also considered to indicated the value of the subject. Estimated indicated value is determined by using the Gross Adjustment of sale price for each comparable (comp) as a measure of the relative quality of the comp. A lower adjustment indicates a better comp, and visa versa. The ratio of gross dollar adjustment to sale price for each of the comps is used to calculate the weight each comp should have in a weighted average calculation. As with any method, this technique is not perfect. However, it does a good job of giving more weight to the most similar comps, while at the same time minimizing values near the extremes of the indicated value range. The indicated weighted average is $144,400. Some adjustments exceeded recommended guidelines but were considered necessary to reflect an accurate value.
