I, JAMES D. FLOWER, of 170 East High Street, Carlisle, Cumberland
County, Pennsylvania, declare this to be the First Codicil to my Last Will and Testament,
dated July 1, 1998.
ITEM: I have changed the beneficiary designation on certain
retirement accounts to designate my daughter, ELIZABETH FORBES FLOWER, as the
beneficiary of these accounts. I did this because I believe her income tax rate is generally
lower than that of my other children. I am also aware that as she receives funds from
these retirement accounts, they will be taxed as ordinary income, which will reduce the
net funds that she will receive from them. Notwithstanding the change in these
beneficiary designations, I still intend my children to benefit equally from my assets,
whether they pass through my estate or through retirement accounts. I consequently
direct my Executor to reduce the share of my daughter, ELIZABETH FORBES FLOWER,
in my estate by 80% of the value of my retirement accounts that she receives as a result
of my death.
ITEM: In all other respects, I hereby ratify, confirm and republish my
Last Will and Testament dated July 1, 1998, together with this First Codicil, as and for my
Last Will.

LAST WILL AND TESTAMENT

I, JAMES D. FLOWER, of 170 East High Street, Carlisle, Cumberland County,
Pennsylvania, declare this instrument to be my Last Will and Testament, in manner and
form following:
FIRST: I hereby expressly revoke all Wills and Codicils heretofore made by
me.
SECOND: I hereby direct my Executor to pay all my just debts, funeral and
administrative expenses out of my estate, as soon as practicable after my death.
THIRD: I direct that all taxes which may be assessed in consequence of my
death of whatever nature and by whatever jurisdiction imposed shall be paid out of my
estate as a part of the administration of my estate.
FOURTH: I give and bequeath the sum of Ten Thousand ($10,000.00) Dollars,
cash absolutely, to each of my grandchildren then living at the time of my decease. In
the event any of my grandchildren are minors, I then give and bequeath the share of my
minor grandchild to the parent or natural guardian of the minor grandchild, to be held in
trust, and invest and reinvest for the benefit of the minor grandchild, until said grandchild
reaches majority.
FIFTH: I give, devise and bequeath the remainder of my estate, real, personal
or mixed, whatsoever and wheresoever situate, to my children, namely: JAMES

JAMES D. FLOWER, JR. shall be unable to serve as Executor for any reason, I then
nominate, constitute and appoint my son, THOMAS E. FLOWER, as Executor. No
personal representative shall be required to file bond in this or any other jurisdiction.
