Burdge, Jeremy J. Burdge and Gavin F. Burdge, all being the 5pe~~fic .~, legatees of the tangible personal property of the late Mary E. Burdge, and by Randaf~ D. Burdge and Manufacturers and Traders Trust Company, the Co-Executors of the Estate of Mary E. Burdge, deceased. WITNESSETH: WHEREAS, Mary E. Burdge (the ``Decedent"), a widow, died testate on March 14, 2008, and Letters Testamentary were issued by the Register of Wills of Cumberland County County, Pennsylvania to Randall D. Burdge and Manufacturers and Traders Trust Company ("M&T'') (collectively the "Co-Executors") for the administration of the Decedent's probate estate (the "Estate"); and WHEREAS, the Decedent is survived by three (3) adult children,. namely, Randall D. Burdge, Jeremy J. Burdge and Gavin F. Burdge (collectively, the `Beneficiaries" or individually by their first names); and WHEREAS, in accordance with Article FIRST of Decedent's Last Will and Testament, dated January 31, 1995 (the "Will"), the Decedent bequeathed all of her tangible personal property to her husband, or to her surviving children, if her husband should predecease her; and WHEREAS, the Decedent was widowed on September 2, 1999 and she is survived by the Beneficiaries; and WHEREAS, the Decedent executed the Sole Codicil of Mary E. Burdge on March 31, 1998 (the "Sole Codicil") and the Second Codicil of Mary E. Burdge on March 7, 2003 (the "Second Codicil"), which revoked the Sole Codicil and ratified the Will: and WHEREAS, the Beneficiaries have requested the Co-Executors to distribute the Decedent's personal effects, household goods and other tangible personal property (collectively, the "Tangible Property") equally among them; and WHEREAS, The Beneficiaries desire to acknowledge receipt of their individual shares of the Tangible Property in full and complete satisfaction of their respective rights under the Will. _ - - -l _~ NOW THEREFORE, in consideration of the foregoing, and intending to be legally bound hereby, the Beneficiaries and the Co-Executors, for themselves, their hev-s, personal representatives, successors and assigns, hereby agree as follows: A. The Beneficiaries agree and confirm that they have divided the household furnishings set forth in Exhibit "A" attached hereto and the jewelry set forth in Exhibit "B" attached hereto, which constitute the Tangible Property, between and among themselves in a mutually-agreeable manner, in accordance with the provisions of Article FIRST of the Will. B. The Beneficiaries each acknowledge receipt of his respecl:ive one-third (1/3) share of the Tangible Property, in full and complete satisfaction of his right to receive the same as set forth in Article FIRST of the Will. C. The Beneficiaries, severally and jointly, absolutely and in•evocably remise, release, quit-claim and forever discharge the Co-Executors, severally and jointly, including any and all of the Co-Executors' employees, agents, attorneys, successors and assigns, of and from any and all actions, payments, accounts, reckonings, liability claims and demands relating in any way to the distribution of the Tangible Property. D. The Beneficiaries, individually and collectively, agree to refund, on demand, all or any part of the distribution of the Tangible Property which has been determined by the Co- Executors, or. by the Orphans' Court Division of the Court of Common Fleas of Cumberland County, Pemisylvania (the "Court"), or by any other court of competent jurisdiction, to have been improperly made. E. The parties consent to the Court exercising personal jurisdiction over each of them in any suit or action arising out of the enforcement of this Agreement. F. The Beneficiaries represent, warrant and agree that each of them has: (a) read and understands this Agreement; (b) entered into this Agreement by his own free will and choice without any compulsion, duress or undue influence from anyone:. and (c) acknowledges that he has had the opportunity to seek the advice of an attorney, prior to executing this Agreement or has voluntarily chosen not to consult with an attorney. G. The parties agree that this Agreement may be filed of rec~~rd with the Orphans' Court Division and/or with the Register of Wills of Cumberland County., Pennsylvania. -2- H. The parties intend that this Agreement is binding upon each of them and upon their respective heirs, successors and assigns, and that this Agreement shall be construed in accordance with the laws of the Commonwealth of Pennsylvania. I. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which together shall be deemed the same agreement. J. This Agreement represents the entire understanding between the parties hereto with respect t:o the subject matter hereof, and this Agreement supersedes all previous representations, understandings, or agreements, oral or written, between ~:he parties with respect to the subject. matter hereof. No promise or inducement that is not herein expressed has been made to any of the parties, and those parties do not rely upon any statemc;nt or representation made by any person. K. This Agreement may not be modified except by a written instrument signed by all of the parties and acknowledged by each of the parties before a notary public or other office qualified to administer oaths. L. This Agreement shall be interpreted according to and governed by the laws of the Commonwealth of Pennsylvania. M. If any term, condition, clause or provision of this Agreement shall be determined or declared to be void or invalid in law or otherwise, then only that term, condition, clause or provisions shall be stricken from this Agreement. In all other respects, this Agreement shall be valid and continue in full force, effect, and operation.
