BREHM, as Executrix of the Estate of CORINNE K. KELLER, Deceased, and the beneficiaries, hereinafter set forth, who covenant and agree as follows: WITNESSETH WHEREAS, CORINNE K. KELLER, died October 20, 2007, having left her Last Will and Testament dated December 29, 2003, and First Codicil dated October 3, 2007, which were duly admitted to probate by the Register of Wills of Cumberland County at the above number and term October 24, 2007; and WHEREAS, EDNA R. BREHM has been duly appointed as Executrix of the Estate of CORINNE K. KELLER, Deceased; and WHEREAS, the parties in interest under the Last Will and Testament and Codicil of CORINNE K. KELLER, Deceased, are: Name Address Nancy C. Kuhn, Residuary Beneficiary 1533 Catherine Street Harrisburg, PA 17104 WHEREAS, CORINNE K. KELLER, Deceased, was not survived by a spouse; and WHEREAS, there all specific bequests were fulfilled (See copy of Receipt of Judy Woodling dated June 17, 2008, attached hereto); and WHEREAS, the residuary beneficiary party to this Agreement has been provided with an informal account and the amount of the proposed final distribution of the Estate; and WHEREAS, it is the desire of the parties to this Agreement that final distribution of the Estate be accomplished without a formal accounting to the Orphans' Court Division of the Court of Common Pleas of Cumberland County, it being the desire of the parties to avoid the expense, delay and publicity of a formal accounting; and WHEREAS, the parties to this Agreement each acknowledge to have received their advance distribution of the residue of the Estate, and upon execution of this agreement by all parties, will receive the proposed final distribution; 2 NOS, THEREFORE, in consideration of the mutual promises, covenants and agreements recited herein the parties agree as follows: I. Each of the parties to this Agreement does hereby release and forever discharge EDNA R. BREHM, Executrix, from any and all liability which may from time to time arise in connection with her service as Executrix of the Estate of CORINNE K. KELLER, Deceased. The parties do further agree to indemnify and hold harmless EDNA R. BREHM, Executrix, from any and all liability which may arise against the Estate from creditors or other claimants. 2. Each party to this Agreement acknowledges that this Agreement shall be indexed and recorded in the estate proceedings and that the terms hereof shall be binding upon their respective heirs, successors, administrators. and assigns. 3. Brehm, Executrix of the Estate of Corinne K. I{eller. Deceased; Antique Rocking Chair with needlepoint back and seat. Needle point clock and four counter cross stitch pictures. and renuests Your Honorable Court to charge the same to her in the Decree of Distribution to be entered in said F_,state. In consideration of this distribution being made prior to the tiling and audit of a Final Account. Judy Woodling hereby agrees to refund on demand, all or any part of this distribution ~~hich may be determined to have been improperly made. She further acknowledges that the distribution made is in full and complete payment of the entire distribution to which she is entitled under the Will and Codicil of Corinne K. Keller, Deceased; that she by signing this document does hereby release and forever discharge Edna R. Brehm, Executrix, from any and all liability which may from time to time arise in connection with his service as Executrix of the Estate of Corinne K. Keller; and does further agree to indemnify and hold harmless said Edna R. Brehm, Executrix, from any and all liability which may arise against the estate from creditors or other claimants to the extent of the distribution made to her.
