On May 22, 2006,,Karen A. Kenderdine, Director of Trust
' Services, Legacy.Trust Company ("Legacy"), executed anACCeptance
of Office of Trustee. This consent to serve as Trusteewas made
in reliance upon representations that the assets of, the Trust

-included seven separate parcels of real proper4y.
Although this is aquestion yet to be litigated before the
Court--and while Legacy understands that Petitioners assertthe
existence of significant evidence to the contrary--Legacy has
learned that recorded deeds imply that five of these properties
'ore not trust assets.
'Significant discord is apparent between, the life tenant of
the Trust and itsremaindermen; lengthy litigation seems likely.
These facts gave pise~to significant cost benefit concerns
for any prospective trustee. To~tesolve its concerns,, Legacy
proposed aStipulation and Agreement to the parties, butthe
parties declined toenter into pit. '
Petitioners have expressed distrust of Legacy.'
For theforegoinq reasons, Legacy must conclude that the

risks to it of accepting theTrusteeship strongly outweigh the
