TRIMBLE I, CONSTANCE M. TRIMBLE, of 1 Dogwood Drive, Shippensburg, Cumberland County, Pennsylvania, revoke any prior Wills and Codicils and declare this to be my Will. ITEM 1. I give the entirety of my estate to my husband, WILLIAM N. TRIMBLE, SR., if he survives me by thirty days. ITEM 2. If my husband, WILLIAM N. TRIMBLE, SR., is not living on the thirty- first day following my death, I make the following bequests: (a) I give my vacation condo in New York State in equal shares to my children, KAREN T. CONOVER, STEPHANIE T. PALIC, ALISON T. SHIELDS, and WILLIAM N. TRIMBLE, JR., as joint tenants with fight of survivorship, or New York's closest equivalent of Pennsylvania's joint tenancy with fight of survivorship, subject to the survival provisions of Item 3 of this Will. (b) I give my furnishings and other tangible personal possessions, other than cash or securities, in as nearly equal shares as practicable to my children, KAREN T. CONOVER, STEPHANIE T. PALIC, ALISON T. SHIELDS, and WILLIAM N. TRIMBLE, JR., subject to the survival provisions of Item 3 of this Will. It is my wish that the furniture and other tangible personal property subject to this bequest be divided by agreement of my beneficiaries under this Item 2 (b). If my beneficiaries under this Item 2 (b) are unable to agree upon the disposition of any particular item of furniture or Document #: 231162.1 Page I of 8 personal property, then my Executor(trix) shall have the authority to settle all disputes and my Executor(trix)'s decision shall be final. (c) I give the rest residue and remainder of my estate in equal shares to my children, KAREN T. CONOVER, STEPHANIE T. PALIC, ALISON T. SHIELDS, and WILLIAM N. TRIMBLE, JR., subject to the survival provisions of Item 3 of this Will. ITEM 3. Any gift expressly made subject to the survival provisions of this Item 3 shall be made to each beneficiary of that gift only if that beneficiary survives my by thirty days. If a beneficiary of a gift made subject to this survival provision is not living on the thirty-first day following my death, then the gift to that beneficiary shall lapse and I give any gift that would have been made to the deceased beneficiary as follows: (a) If the deceased beneficiary has issue that survive me by thirty days, then I give each gift that would have gone to the deceased beneficiary to the deceased beneficiary's issue, per stirpes. (b) If the deceased beneficiary does not have issue that survive my thirty days, then I give each gift that would have gone to the deceased beneficiary to the deceased beneficiary's spouse, if the spouse survives my thirty days. (c) If the deceased beneficiary does not have issue or a spouse that survive my by thirty days, then I give each gift that would have gone to the deceased beneficiary to the remaining beneficiaries of that gift, in equal shares. ITEM 4. I direct that all my just debts and the expenses of my last illness and disposition of my remains shall be paid from my residuary estate as soon as practicable after my death and as part of the expense of the administration of my estate. In addition to the powers conferred by the common law, by statute, or by any other provisions hereby, my Executor(trix) with respect to my estate and my Trustee with respect to any trust created under this Will are hereby empowered as follows: (a) Subject to the gifts made in ITEM 2 of this Will, to sell at public or private sale, to exchange, to lease, to pledge, to mortgage, to transfer, to convert, or otherwise dispose of, or grant options with respect to, any and all property, real, personal, or mixed, at any time forming a part of my probate or trust estates, in such manner, at such time or times, for such purposes, for such price or prices, and upon such terms, credits, and conditions as shall be deemed advisable or necessary under the circumstances. (b) To assent to, join in, and vote in favor of any merger, reorganization, voting trust, plan, lease, mortgage, consolidation, exchange, foreclosure of any corporation or other investment in which the probate estate or trusts may hold stock, bonds, investments, or an interest; (c) To vote in person or by general or limited proxy with respect to any share of stock or other investment held by the probate estate or trusts; (d) To make distribution in division of the probate estate in cash, in kind, or partly in both; (e) To distribute articles to a minor or to her or his guardian or to any person taking care of the minor to hold for the minor within the limits authorized by statute or rule of law; (f) To compromise any claim or controversy; Document #: 231162.1 Page 3 of 8 t~/~~'' (g) To apportion between principal and income any receipts and disbursements and to ascertain income and principal in accordance with the statutes and roles of law of the Commonwealth of Pennsylvania; (h) To keep property in the name of a nominee with or without disclosure of any fiduciary relationship; (i) To employ attorneys, auditors, depositories and proxies with or without discretionary power. (j) To make, execute, acknowledge, and deliver any and all instruments which may be deemed advisable or necessary to carry out any of the powers herein granted or provided by law; (k) To invest and reinvest the principal of the trusts, together with any accumulated income thereon whenever such accumulation has been permitted by the terms hereof, in all forms of property, real, personal, or mixed, including but not limited to stocks, bonds, common trust funds, mortgage, investment funds, insurance policies, and annuities, without being limited by any statute or role of law conceming investments by fiduciaries; (1) To join with my spouse in filing any federal income tax remms for any year in which such joinder is permitted by law and to pay all or such ratable share of any taxes due thereon as my fiduciaries shall deem proper, and to join or consent to any gifts made by my spouse during my lifetime as having been made one-half by me for the purpose of any federal girl tax law; (m) To carry out the terms of any agreement I may have entered into to sell all or any part of any property or any interest I may own in any business at the time of my death; Document t4:231162.1 Page 4 of 8 ~t~'~ (n) To exercise any law-given option to treat administrative expenses either as income tax or as estate tax deductions, without regard to whether the expenses were paid from principal or income; (o) To disclaim inheritances and interests in property. (p) To apportion tax basis among bequests in accordance with the Intemal Revenue Code, applicable regulations and other state or federal laws. ITEM 6. I direct that if any beneficiary of mine is under twenty-one (21) years of age, my Trustees shall retain whatever share the beneficiary otherwise would have received and apply so much of such share or the income thereof as my Trustees shall consider advisable for the health, maintenance, support and education of my beneficiary, accumulating any income not needed for that purpose. I wish for my beneficiary to have an education beyond high school, and funds may be used for such education if my beneficiary so desires, including vocational and business school, college, graduate, and post-graduate school. When a beneficiary attains the age of twenty-one (21) years, the Trustees shall distribute to the beneficiary the then remaining principal and income of the beneficiary's share, discharged of the trust. ITEM 7. No interest of any beneficiary under this Will or any trust established hereunder or any codicil hereto shall be subjected to anticipation. ITEM 8. No bond shall be required of my Executor(trix) or Trustee, but if bond is nevertheless required, it shall be without surety. ITEM 9. I appoint my husband, WILLIAM N. TRIMBLE, SR., Executor.
