MICHAEL F. BARNES 817 SURREY COURT CAMP HILL, PA 17011 Defendant NO. COMPLAINT 1. The Plaintiff in this matter is Ace Wire & Cable Co., Inc., a New York business corporation with an address at 72-01 51st Avenue, Woodside, New York, 11377. 2. The Defendant is Michael F. Barnes, an individual with a residence at 817 Surrey Court, Camp Hill, Pennsylvania 17011. 3. Defendant is an officer of B&B Commnet-Spectron, Inc., a Pennsylvania business corporation with a principal place of business at 689 Yorktowne Road, Lewisberry, Pennsylvania 17339, and, upon information and belief, is a principal shareholder of B&B Commnet-Spectron, Inc. COUNT I BREACH OF CONTRACT 4. The averments of paragraphs i through 3 above are incorporated by reference as though set forth at length herein. 5. On or about June 3, 2003, the Plaintiff entered into an agreement with B&B Commnet-Spectron, Inc. pursuant to which Plaintiff agreed to sell and deliver to said B&B Commnet-Spectron, Inc. wire and cable products and B&B Commnet-Spectron, Inc. agreed to purchase such goods and to pay Plaintiff for such goods. 6. On June 3, 2003, the Defendant, Michael F. Barnes, executed and delivered to Plaintiff a Personal Guarantee of payment pursuant to which Defendant agreed to guarantee the payment of any and all bills for merchandise sold by Plaintiff to B&B Commnet-Spectron, Inc. A tree and correct copy of the Defendant's Guarantee is attached hereto and incorporated by reference herein as Exhibit "A". 7. But for Defendant's execution and delivery of the personal guarantee, Plaintiff would not have given credit to B&B Commnet-Spectron, Inc. on the same terms and conditions, which favorable terms and conditions were consideration for Defendant's execution and delivery of the personal guarantee. 8. Between June 3, 2003 and January 23, 2004, the Plaintiff sold and delivered to said B&B Commnet-Spectron, Inc. wire and cable products at the agreed price. 9. B&B Commnet-Spectron, Inc. has failed to pay all sums due to Plaintiff so that there is a balance due and owing Plaintiff in the amount of $88,889.42, plus interest in the amount of $2,127.75, making a total of $91,017.17. See Plaintiff's Statement of March 10, 2004, reflecting invoices due and owing as attached hereto and incorporated herein as Exhibit 10. B&B Commnet-Spectron, Inc. has filed for Chapter 1l bankruptcy in the United States Bankruptcy Court for the Middle District of Pennsylvania, at Docket No. 1-04-01370 and, upon information and belief, B&B Commnet-Spectron, Inc. has listed Plaintiff as a creditor. 11. Prior to the bankruptcy filing of B&B Commnet-Spectron, Inc. on December 9, 2003, Plaintiff had demanded that B&B Commnet-Spectron, Inc. pay the balance then due in full, by letter from its New York counsel attached hereto and incorporated by reference herein as Exhibit "C'. 12. B&B Commnet-Spectron, Inc. failed and refused to pay in accordance with Plaintiff's demand, paying only $20,000.00 on a previous statement. 13. At the time that B&B Commnet-Spectron, Inc. filed for bankruptcy, it owed the Plaintiff the sum of $88,889.42, plus interest of $2,127.75 for a total of $91,017.17. Complaint - 2 - 14. Plaintiff has demanded of Defendant Barnes that he honor his personal guarantee and pay Plaintiff the said sum of $88,889.42, plus interest of $2,127.75 for a total of $91,017.75 by letter of its New York counsel attached hereto and incorporated herein by reference herein as Exhibit "D', which demand the Defendant has failed and refused to honor. 15. By refusing to pay the sum demanded, the Defendant, Michael F. Barnes, has breached his contract of guarantee with the Plaintiff. The Defendant's breach is material. The Plaintiff's consequential damages upon the Defendant's material breach total 16. 17. $91,017.17. 18. In addition, under the terms of the personal guarantee, the Defendant is obliged to pay the Plaintiff's attorney's fees in an amount of 25% of the sum due, which amount to an additional $22,754.29. WItEREFORE, the Plaintiff demands judgment in its favor and against Defendant in the amount of $88,889.42 in damages plus $2,127.75 in interest plus $22,554.29 in attorney fees for a total of $111,643.71, reflecting damages and attorney's fees, plus costs of suit and other costs allowed by law. COUNT II BREACH OF CONTRACT 19. The averments of paragraphs 1 through 18 above are incorporated by reference as though set forth at length herein. 20. Within 90 days prior to the institution of bankruptcy proceedings, B&B Commnet-Spectron, Inc. paid to Plaintiff the sum of $20,000.00 on previous invoices. 21. Pursuant to Section 547 of the Bankruptcy Code, the said payments may be deemed preferential transfers by a Trustee in bankruptcy in the B&B Comnet-Spectron, Inc. proceeding. Complaint - 3 - 22. In the event the payments of the said $20,000.00 are deemed preferential transfers, then, in that event, the Defendant, Michael F. Barnes, will owe Plaintiff as damages an additional $20,000.00 pursuant to the personal guarantee. 23. In addition, the Defendant, Michael F. Barnes, will owe the Plaintiff $5,000.00 in attorney's fees as to that $20,000.00. WHEREFORE, Plaintiff demands judgment in its favor and against the Defendant in the amount of $20,000.00 plus attorney fees in the amount of $5,000.00 for a total of $25,000.00, in addition to the $111,643.71 prayed for in Count I for which judgment is demanded in favor of the Plaintiff and against the Defendant, plus costs of suit and other costs allowed by law.
