JEED, LLC d/b/a SCOTT'S GRILLE OLDE TOWNE MEDITERRANEAN and EDWARD TUBBS, Defendants CIVIL ACTION - LAW NO.: 6q- CIVIL ACTION - COMPLAINT IN BREACH OF CONTRACT AND NOW, comes SYSCO Food Services of Central Pennsylvania, LLC ("Plaintiff'), by and through its attorneys, James, Smith, Dietterick & Connelly, LLP, and files this Complaint in Breach of Contract as follows: The Plaintiff is SYSCO Food Services of Central Pennsylvania, LLC, a limited liability corporation authorized to conduct business in the Commonwealth of Pennsylvania and having its principal place of business located at 3905 Corey Road, Harrisburg, Pennsylvania 17109. 2. Defendant Jeed, LLC d/b/a Scott's Grille Olde Towne Mediterranean is a Pennsylvania business entity with an address of 324 Market Street, New Cumberland, Pennsylvania 17070 (hereinafter "Defendant Jeed, LLC"). 3. Defendant Edward Tubbs (hereinafter "Defendant Tubbs") is an adult individual with an address of 100 Shirley Lane, Boiling Springs, Pennsylvania 17007. (Hereinafter, Defendant Jeed, LLC and Defendant Tubbs will be collectively referred to, from time to time, as "Defendants"). 4. On or before August 23, 2006, Defendants entered into a certain agreement, dated of even date ("Agreement"), wherein Plaintiff was to supply certain equipment and materials to Defendants and Defendants were to pay Plaintiff for same as invoiced. Pursuant to said Agreement, Defendant Tubbs individually guaranteed and became surety for the payment performance of Defendants. A true and correct copy of said Agreement is marked as Exhibit "A", attached hereto and made part hereof. 5. Between August 28, 2008 and September 18, 2008, Plaintiff supplied certain equipment and materials to Defendants and Defendants accepted same being invoiced by Plaintiff as shown below. A true and correct listing and copies of the below invoices ("Unpaid Invoices") is marked as Exhibit "B", attached hereto and made a part hereof. Plaintiff has demanded payment of the aforesaid Unpaid Invoices from Defendants, but, to date, Defendants have failed or refused to pay in breach of the Agreement. 7. Any and all conditions precedent to payment to Plaintiff have been satisfied. 8. Notwithstanding Plaintiffs demands for payment, Defendants' obligation to pay for the equipment and materials provided by Plaintiff under the terms of the Agreement remains unsatisfied. 9. Pursuant to said Agreement, Plaintiff is entitled to recover from Defendants interest on the balance of the Unpaid Invoices at the rate of 1'h % per month and Plaintiff's costs of collection, including attorneys' fees and court costs. 10. Due to Defendants' breach, $9,765.48 is due and owing by Defendants to Plaintiff as of January 20, 2009, itemized as follows: Unpaid Invoices (08/28/08 to 09/18/08) $4,917.83 Less Credit 38.19 Total Unpaid Invoices $4,879.64 Returned Check (10/07/08) $2,640.53 Check Charge (10/07/08 $ 25.00 Interest (9/30/08 to 1/20/09 @ 1 %z % per month) $ 267.21 Attorneys' Fees (25% of total due) $1,953.10 TOTAL DUE $9,765.48 with interest on the Unpaid Invoices and Returned Check ($7,520.17) from January 20, 2009, at the rate of 1 %z% per month, plus additional attorneys' fees and costs of suit. The approximate initial amount of credit that Applicant requires per month shall not be binding upon Sysco, not shall Sysco icur liability by granting, reducing, increasing or refusing such amount. Applicant hereby certifies that the information furnished under this Application and any other financial statements furnished in connection herewith, is true and correct and that this inhnmackm is being furnished to Sysco for the purpose of inducing Sysco to extend credit to Applicant, and understands that Sysco intends to rely upon such information.
