I. THE CIRCUMSTANCES leading up to the execution of this Agreement are as
follows:
1. George Robert Freistak (the "Decedent"), an incapacitated person, died intestate
on May 7, 2008, a domiciliary of Cumberland County, Pennsylvania.
2. The Decedent is survived by three siblings, Richard T. Freistak, Alfred P.
Freistak, and Frank J. Freistak. The Decedent's brother and sister, Joseph F. Freistak and Helen
Marie Trepanier predeceased the Decedent. Joseph F. Freistak is survived by a son, Dennis
Freistak. Helen Marie Freistak is survive by a son, Ronald L. Trepanier. Richard T. Freistak,
Alfred P. Freistak, Frank J. Freistak, Dennis Freistak, and Ronald L. Trepanier are, collectively
and individually, referred to herein as the "Beneficiaries."
3. The Decedent resided with his brothers, Richard T. Freistak and Alfred P.
Freistak, who were the Decedent's primary caregivers since the death of their mother.
4. Richard T. Freistak was the Guardian of the Decedent's Estate, and was appointed
the Administrator of the Decedent's Estate.
5. The Administrator advertised his appointment in the Cumberland Law Journal
and The Sentinel. The legal advertisements are attached hereto as Exhibit "A," and are
incorporated herein by reference.

6. The Administrator also notified the Department of Public Welfare of the
Commonwealth of Pennsylvania ("DPW") of the Decedent's death and probate Estate. A true
and correct copy of DPW's response is attached hereto as Exhibit "B," and is incorporated herein
by reference.
7. The Administrator has filed the Pennsylvania Inheritance Tax Return for the
Estate, which has been accepted by the Commonwealth as filed. A true and correct copy of the
Commonwealth's Notice of Inheritance Tax Appraisement, Allowance or Disallowance of
Deductions and Assessment of Tax is attached hereto as Exhibit "C," and is incorporated herein
by reference.
8. At present, the Administrator has not filed the Decedent's final Federal and
Pennsylvania individual income tax returns. The Administrator does note anticipate that any
Federal tax will be owed, but will retain a $300 reserve for the payment of any income tax. Any
retained funds not used for these purposes will be divided and distributed proportionately among
the Beneficiaries after the tax returns have been prepared and filed.
9. The Beneficiaries wish the Administrator to pay the remaining estate
administration expenses set forth as reserves in the Administrator's First and Final Account (the
"Account"), which is attached hereto as Exhibit "D," and is incorporated herein by reference.
10. The Beneficiaries wish the Administrator to distribute the remaining assets of the
Estate in accordance with the Schedule of Proposed Distributions, which is attached hereto as
Exhibit "E," and is incorporated herein by reference, and to forever settle and compromise any
and all claims and rights which they may possess, now or hereafter, in the Decedent's Estate,
without the cost and delay of a court adjudication and confirmation of an accounting.
11. The Administrator is willing to make the above described payments and
distributions and to so terminate the administration of the Decedent's Estate provided the
Beneficiaries give the Administrator satisfactory release, refunding and indemnification
protections.
II. RECEIPT, RELEASE, REFUNDING, AND INDEMNIFICATION
AGREEMENT:
NOW THEREFORE, in consideration of the foregoing, and intending to be legally bound
hereby, the Beneficiaries, for themselves, their heirs, personal representatives, successors, and
assigns, hereby do as follows, to wit:

A. Represent, warrant and agree that they:
(i) Have read and understand this Agreement and confirm the facts set forth
above are true, correct and complete to the best of their knowledge,
information and belief, and hereby approve the same for all purposes and
incorporate them herein by reference.
(ii) Acknowledge that they have sought advice of an attorney, prior to
executing this Agreement or has voluntarily chosen not to consult with an
attorney; and,
(iii) Have entered into this Agreement of their own free will and choice
without any compulsion, duress or undue influence from anyone.
B. Declare that they have had the opportunity to examine the Administrator's
Account (Exhibit "D" hereto), and based upon such examination (or their decision
not to make such an examination), they are satisfied they have sufficient
information to make an informed waiver of their right to a formal court
accounting and do hereby waive the filing and audit of the same.
C. Acknowledge that the Decedent's 2008 Federal, Pennsylvania and Local
Individual Income Taxes have yet to be determined with certainty and that
amounts may be still be owed to the respective government agencies, and agree
that the Administrator should retain a $300 reserve to pay such taxes, with any
balance being proportionately distributed to the Beneficiaries after the tax returns
have been prepared and filed.
D. Approve and direct the Administrator to pay all remaining administration
expenses as set forth as reserves in the Administrator's Account (Exhibit "D"
hereto), and to distribute the remaining assets of the Decedent's Estate in
accordance with Schedule of Proposed Distributions (Exhibit "E" hereto).
E. Agree to refund on demand, all or any part of the above described distributions,
which the Administrator or any court of competent jurisdiction determines to have
been improperly made.
F. To the extent of the above described distributions, absolutely, unconditionally and
irrevocably release, remises and forever discharge Richard T. Freistak,
individually, and in his fiduciary capacity as Administrator of the Estate of George
Robert Freistak, from any and all manner of actions, causes of action, suits, liens,
accounts, reckonings, controversies, agreements, promises, claims, demands,
losses and expenses whatsoever, in any way arising from or concerning the
distributions of the Decedent's Estate.

U. To the extent of the above described distributions, agree to indemnify and hold
harmless Richard T. Freistak, individually, and in the fiduciary capacity set forth
above, with respect to any and all matters or liabilities which he may be subjected
by reason of joining in this Agreement, and in carrying out the provision hereof.
H. Agree this Agreement is intended to compromise and settle disputed claims,
including, without limitations, claims and defenses asserted in connection with the
creation, administration and distribution of the Decedent's Estate.
I. Agree that this Agreement constitutes the entire understanding between the
Administrator and the Beneficiaries (individually and collectively, the "Parties")
concerning the subject matter hereof, and supersedes any and all prior written
agreements and any and all prior or contemporaneous oral agreements or
understanding relating to the subject matter hereof.
Agree that this Agreement may not be amended, modified, superseded, canceled,
renewed or extended, nor may any term or condition hereof be waived, except by
a written instrument or document signed by all the parties hereto or, in the case of
a waiver, signed by the party sought to be charged therewith. No waiver by any
party of the breach of any provision hereof shall be deemed to constitute a waiver
of any continuing or subsequent breach of such provision or any other provision
hereof. Except as otherwise provided herein, the rights and remedies expressly
granted hereunder shall be cumulative with respect to, and shall not be deemed to
exclude, any other rights and remedies to which any party shall be entitled at law
or in equity.
K. Agree that this Agreement shall be binding upon and inure to the benefit of the
Parties and their respective heirs, successors, assigns, personal representatives,
and those who may hereafter claim through any of the Parties.
L. Agree that this Agreement shall be governed by and construed in accordance with
the laws of the Commonwealth of Pennsylvania, without regard to choice-of--law
provisions. The Court shall have exclusive jurisdiction over any action to enforce
or interpret the terms of this Agreement. The Administrator and Beneficiaries
hereby consent to the Court exercising personal jurisdiction over each of them in
any action or suit arising out of the enforcement of this Agreement.
M. Agree that any references to person or things shall be deemed to refer to such
persons or things in the singular or plural and in the masculine, feminine or neuter
gender as the context shall require.

N. Agree that this Agreement shall be deemed to be severable, so that if any
provision hereof shall be determined by a court of competent jurisdiction to be
invalid or unenforceable, the remaining provisions hereof shall continue to remain
valid and enforceable in accordance with their terms.
O. Agree that this Agreement may be executed in multiple counterparts, each of
which may contain-the signatures of one or more of the Parties, all of which, taken
together, shall constitute one and the same document.

24-hour answering service for forms orders: 1-800-362-2050; services for taxpayers with special hearing and/or
speaking needs: 1-600-447-3020 (TT only).
OBJECTIONS: Any party in interest not satisfied with the appraisement, allowance or disallowance of deductions or assessment of tax
(including discount or interest) as shown on this Notice may object within 60 days of the date of receipt of this notice
by filing one of the following:
A) Protest to the PA Department of Revenue, Board of Appeals. You may object by filing a protest online at
www.boardofaopeals.state.pa.us on or before the expiration of the sixty-day appeal period. In order for
an electronic protest to be valid, you must receive a confirmation number and processed date from the
Board of Appeals website. You may also send a written protest to: PA Department of Revenue, Board of Appeals,
P.O. Box 281021, Harrisburg, PA 17128-1021. Petitions may not be faxed.

DISCOUNT: If any tax due is paid within three C3) calendar months after the decedent's death, a five percent (5%) discount of
the tax paid is allowed.
PENALTY: The 15% tax amnesty non-participation penalty is computed on the total of the tax and interest assessed, and not
paid before January 18, 1996, the first day after the end of the tax amnesty period. This non-participation
penalty is appealable in the same manner and in the the same time period as you would appeal the tax and interest
that has beer. assessed as indicated on this notice.
INTEREST: Interest is charged beginning with first day of delinquency, or nine (9) months and one (1) day from the date of
death, to the date of payment. Taxes which became delinquent before January 1. 1982 bear interest at the rate of
six C6%) percent per annum calculated at a daily rate of .000164. All taxes which became delinquent on and after
January 1, 1982 will bear interest at a rate which will vary from calendar year to calendar year with that rate
announced by the PA Department of Revenue. Rates for years 1982 through 1999 can be found in the Pennsylvania
Resident Instruction Booklet, (REV-1501), the Pennsylvania Non-resident Instruction Booklet (REV-1736) or on the
Pennsylvania Dept. of Revenue web site www.revenue.state.pa.us. The applicable interest rates for years 2000 through
2006 are:
