FAMILY SETTLEMENT AGREEMENT AND FINAL :RELEASE
KNOW ALL MEN BY THESE PRESENTS, that whereas Regina M. Kosheba, late of
the Township of Lower Allen,County of Cumberland and Commonwealth of Pennsylvania,
Deceased, died testate on the 7t" day of November, 2007; and
WHEREAS, Edward J. Kosheba petitioned the Register oI~ Wills of Cumberland County
to be appointed as Executor of the Estate of the decedent; and
WHEREAS, on November 14, 2007, the Register of Wills of Cumberland County duly
appointed Edward J. Kosheba Executor of the Estate of Regina M. Kosheba, Deceased, at
No. 21-07-1041 hereinafter referred to as "Personal Representative'"; and
WHEREAS, Letters Testamentary on the Estate of the decedent were issued by the
Register of Wills of Cumberland County, Pennsylvania on the 14t" day of November, 2007, to
the said Edward J. Kosheba, hereinafter called "Personal Representative'"; and
WHEREAS, the said Personal Representative, having gathered the assets of the Estate of
said Decedent and the assets consist of personal property, which is listed on the Inventory filed
April 10, 2008 by the said Personal Representative, which is attached hereto, made part hereof
and marked Exhibit "A"; and

WHEREAS, the parties acknowledge all assets in this estate havE; been or will be
disbursed and distributed according to their satisfaction. The debts. and deductions, including the
payment of the Inheritance Tax, are set forth in the statement of the said Personal representative,
which is attached hereto and marked Exhibit "B"; and
WHEREAS, all applicable inheritance taxes have been paid as is evidenced by a notice
from the Commonwealth evidencing same, attached hereto as Exhibit "C'"
WHEREAS, Edward J. Kosheba, Executor, acknowledges that Letters Testamentary
were properly advertised in The Sentinel and the Cumberland Law Journal. Proofs of
Publication are attached hereto as Exhibits "D"
WHEREAS, under the provisions of PARAGRAPH SECOND of the Decedent's Last
Will and Testament, her entire residuary estate was given to the following beneficiaries in the
fractional share set forth opposite their names:
1. Edward J. Kosheba 50%
2. Joyce A. James 50%
WHEREAS, the said Lois J. Kosheba, single, under the provisions of PARAGRAPH
SECOND of the Decedent's Last Will and Testament, passed away December 8, 2006. Copy of
death certificate is attached hereto as Exhibit "E".
WHEREAS, the Beneficiaries desire to settle the Estate informally in order to avoid the
expense and delay involved with the formal adjudication of a First and Final Account by the
Orphans' Court Division of the Court of Common Pleas of Cumberland County, Pennsylvania.
WITHOUT intending to limit the rights or remedies of the Personal Representative or
his legal representative, the parties further agree to indemnify the Personal Representative and
his legal representative and to save them harmless against all liabilities, losses and expenses,
including but not limited to, costs and counsel fees, which the Personal Representative or his
legal representative may incur as a result of the administration of the Estate;

The parties hereto, and each of them, agree that they will, at all times in the future and
whensoever necessary, appropriate and convenient, make, execute and deliver to said Personal
Representative and/or his attorney, any and all instruments, documents, conveyances, deeds,
releases or other instruments of any kind necessary or convenient to carry out the intentions of
this Agreement and/or to permit, assist and enable the Personal Representative to fulfill his
duties with reference to the said Estate and all of the assets therefrom;
THIS AGREEMENT is a full and final Settlement Agreement b;y and between the
parties, both Fiduciary and Individual, all of the same having been arrived at, concluded and
executed after a full and complete disclosure of the assets of the Estate and the rights of the
parties herein and hereto and all of the parties hereto and each of them abide by the teens of this
Agreement.
The Personal Representative, Edward J. Kosheba, intends to record this Family
Settlement Agreement as part of the Estate proceeds in the Orphans' Court Division of the Court
of Common Pleas of Cumberland County, Pennsylvania.
The beneficiaries authorize the Personal Representative, Edward J. Kosheba, to reserve
from the above-mentioned balance assets having an aggregate value of $].94,874.24, the sum of
$1,285.68 as reflected in the Schedule for Distribution. Following the receipt of any estate tax
deficiency that may be assessed and any other proper expenses or liabilities of the estate of
which the Personal Representative shall receive notice by that time or which may otherwise be
payable, the Personal Representative shall distribute to thF: beneficiaries, in the proportion of
their interests as set forth under the Residuary Clause of the Decedent's Will and without further
accounting, the balance then remaining. Such distribution will also include any funds received
by the Personal Representative subsequent to the date to which the attached account is dated.
Should any proper liabilities of the estate, whether for taxes or otherwise, arise or come to the
attention of the Personal Representative or any of the other parties hereafter, the beneficiaries

agree to be jointly and severally liable therefore.
The parties, and each of them, hereby forever fully release, compromise, settle and
discharge any and all claims, demands, actions or causes of action, legal or equitable, absolute or
contingent, vested or hereafter to accrue, which any of them may have against any other party
hereto or against the Estate of Regina M. Kosheba, Deceased, or the Personal Representative,
Edward J. Kosheba, thereof, by reason of any matter, cause or thing growing out of or relating to
any property or assets of the said estate, or growing out of or relating to any act of the Personal
Representative in his administration of said estate, even if attributable to :negligence, and agree
that any period for the limitation of actions for the collection of amy erroneous distribution or
distributions shall commence only at such time as the Personal Representative shall have
obtained actual knowledge of such erroneous distribution or distributions and that in no event
shall the period for collection of any erroneous distribution or distributions be less than two years
after the actual discovery thereof by the said Personal Representative.
The parties agree to execute such additional releases as the Personal Representative may
submit to them in order to confirm their discharge from any further liability to the parties in
connection with the said Estate. See Exhibit "F" attached herewith.
NOW THEREFORE, KNOW YE, that I, Edward J. Kosheba, ass Executor of the Estate
of Regina M. Kosheba, Deceased; Edward J. Kosheba, individually, and .loyce A. James,
individually, and as beneficiaries of the Estate of Regina M. Kosheba, Deceased, being all of the
beneficiaries of said decedent and being all those persons who are ~entitlecl to take and to inherit
under the Last Will and Testament of the decedent, under the Testate Laws, do hereby for each
of us, acknowledge that we have this day had and received from the aforesaid Personal
Representative, in full satisfaction and payment of all sum or sums of money, legacies, bequests,
to which we are entitled to under the Testate Laws of the Commonwealth of Pennsylvania, the

amounts due us under said Law, which amounts we have received this day, and which amounts
are in the amount set opposite our respective names in the table anti Schedule for distribution in
said statement, attached hereto and marked Exhibit "B ";
AND, each of us do hereby stipulate that in order to avoid the expense and time involved
in the filing of a formal account and Schedule of Distribution, we each agree that no account is
necessary, and we do hereby agree that we do consent to distribution beir-g made without the
filing of an account and Schedule of Distribution, the same to be with the same force and effect
as if they have been filed and confirmed by the Orphans' Court Division of the Court of
Common Pleas of Cumberland County, Pennsylvania.
THEREFORE, we, and each of us, do hereby remise, release quitclaim and forever
discharge the said Personal Representative, his heirs, executors, administrators and assigns, of
and from the said Estate and from all actions, suits, payments, accc-unts, reckonings, claims and
demands whatsoever for or by reason thereof, or for any other use, matter, cause or thing
whatsoever, touching upon the Estate of the said decedent, and each of us do further hereby
covenant and agree that should any liability come due to the Estate of the decedent after the
signing of this Agreement, we and each of us do hereby covenant zind agree with each other and
the aforesaid Personal Representative, that we will contribute, prorate, ou.r share of the Estate to
satisfy any and all claims, demands, suits, or causes of action which may be successfully
prosecuted against the said Estate or the aforesaid Personal Representative after the signing,
sealing and delivery of this Family Settlement Agreement and Final Release.
Personal Jurisdiction. Each party consents to the Court exercising personal
jurisdiction over him/her in any suit or action arising out of enforcc;ment of this Agreement.
Entire Understanding. This Agreement represents th.e entire understanding among
the parties hereto with respect to the subject matter hereof, and this Agreement supersedes all

previous representations, understandings, or agreements, oral or vv~°itten, between the parties with
respect to the subject matter hereof. No promise or inducement that is nat herein expressed has
been made to any of the parties, and those parties do not rely upon any statement of
representation made by any person
Modification. This Agreement may not be modified except by a written
instrument signed by all of the parties and acknowledged by each of the parties before a notary
public or other office qualified to administer oath.
Controlling Law. This Agreement shall be interpreted according to and governed by
the laws of the Commonwealth of Pennsylvania.
Severability. If any term, condition, clause or provision o:f this Agreement shall be
determined or declared to be void or invalid in law or otherwise, then only that term, condition
clause or provisions shall be stricken from this Agreement. In all other rf;spects, this Agreement
shall be valid and continue in full force, effect, and operation.
Recording. Each party consents to the recording and indexing of this Agreement in the
estate proceedings.
Multiple Counterparts. This Agreement may be executed iri multiple counterparts
and, when so executed, shall be binding upon all the parties, and their respective heirs, next-of-
kin, personal representatives and assigns.
Rule WO409. No minor or incapacitated person, whose interest is not represented
by acourt-appointed guardian, has an interest in the decedent's estate. Certification Under Rule
WO 409 attached hereto and marked Exhibit "G".
