Defendant(s) NO. q6 7 C J'J, I ? e r" # I CIVIL ACTION - LAW COMPLAINT The Plaintiff, ADM MILLING COMPANY, by its attorneys, KODAK & IMBLUM, P.C., brings this action of Assumpsit against the Defendant to recover the sum of SIX HUNDRED THIRTY-ONE THOUSAND TWO HUNDRED FIFTY-SEVEN DOLLARS AND NINETY-SEVEN CENTS ($631,257.97), along with interest thereon at the statutory rate from September 15, 2008, upon a cause of action of which the following is a statement: 1. The Plaintiff, ADM MILLING COMPANY, is a corporation organized and existing under the laws of the State of Minnesota, registered and authorized to do business in the Commonwealth of Pennsylvania, having its principal office and place of business at Shiremanstown, Cumberland County, Pennsylvania 17011. 2. The Defendant, GOLD CRUST BAKING COMPANY, INC., is a Virginia corporation having its principal office and place of business at 501 E. Monroe Avenue, Alexandria, Virginia 22301. 3. On or about February 19, 2008, Plaintiff and Defendant contracted for 38,000 cwts of 13.5 Dominator flour to be shipped from Plaintiffs Camp Hill, Cumberland F:\USER\ROBIN\CCP&DJ CMPS\CCP COMPLAINTS\ADM 35278.wpd 2 County, Pennsylvania location to Defendant's specified location. A true and correct copy of the February 19, 2008 Memo Contract, Contract No. 05457, is attached hereto, marked Exhibit "A" and made a part hereof. 4. Thereafter, on or about March 19, 2008, Plaintiff modified the contracted flour blend to 12.0 Top King Flour to decrease Defendant's delivered pricing, which modification was agreed to by Defendant. A true and correct copy of the March 19, 2008 Memo Contract, Contract No. 05526, is attached hereto, marked Exhibit "B" and made a part hereof. 5. The prices charged for said goods, wares and merchandise and/or labor performed and services provided were just and reasonable, were the legal and market prices therefor and were the prices which the Defendant promised and agreed to pay to Plaintiff. 6. Defendant has defaulted under the terms and conditions of the aforesaid contract(s), and, therefore, there is an outstanding balance due and owing to Plaintiff. 7. As of Market Close on September 12, 2008, the contract cancellation balance totaled the sum of Six Hundred Thirty-One Thousand Two Hundred Fifty-Seven Dollars and Ninety-Seven Cents ($631,257.97), as appears by Contract Cancellation calculation hereto attached, marked as Exhibit "C" and made a part hereof. Plaintiff frequently demanded payment from Defendant of said amount due and owing as aforesaid, as more fully set forth on Plaintiff's demands to Defendant dated September 16, 2008 and October 29, 2008, respectively, but Defendant refused and neglected and still refuses and neglects to pay said amount or any part thereof. True and correct copies of Plaintiff's September 16, 2008 and October 29, 2008 letters are attached hereto, collectively marked Exhibit "D" and made a part hereof. 9. The balance due and owing by Defendant to Plaintiff is the sum of Six Hundred Thirty-One Thousand Two Hundred Fifty-Seven Dollars and Ninety-Seven Cents ($631,257.97) as set forth on Plaintiffs September 15, 2008 Invoice/Statement attached hereto, marked Exhibit "E" and made a part hereof. WHEREFORE, Plaintiff brings this suit to recover from Defendant the sum of SIX HUNDRED THIRTY-ONE THOUSAND TWO HUNDRED FIFTY-SEVEN DOLLARS AND NINETY-SEVEN CENTS ($631,257.97), together with interest as set forth herein.
