I, FLORENCE H. GREGOR, now ofAllegheny County, Pennsylvania, do hereby
make, publish and declare this my Last Will and Testament, hereby revoking any and all
Wills and Codicils thereto previously made by me.

FIRST: Household and Personal Effects. I direct that specified items of my
household and personal effects and other tangible personal property be distributed in •~
accordance with the provisions of a signed memorandum which will be found with my Will
or other valuable papers. I give the balance of such property, or all in the event the
memorandum is not found, to my daughter, DEBORAH L. PFANNENSCHMIDT, if she
survives me. If my said daughter fails to survive me, I give the balance of such property,

or all in the event the memorandum is not found, to such children of my daughter,
DEBORAH L. PFANNENSCHMIDT, who survive me, to be distributed among them as they
shall, in turn, select. Any unselected items shall be sold and the proceeds added to the
residue of my estate.

SECOND: Residuary Estate. I give the residue of my estate to my
daughter, DEBORAH L. PFANNENSCHMIDT, if she survives me. If my said daughterfails
to survive me, I give the residue of my estate to the issue of my daughter, DEBORAH L.
PFANNENSCHMIDT, who survive me, per stirpes, subject, however to the provisions of
paragraph THIRD hereinafter.
THIRD: Appointment of Custodian and/or Account Owner. Should a
beneficiary under this Will who is under twenty-five (25) years of age be entitled to receive
a share of principal free of trust, my executor shall, in his or her sole discretion, distribute
such beneficiary's share, in such amounts as determined by my executor, to: (1) a
custodian under the Pennsylvania Uniform Transfers to Minors Act or applicable Uniform
Gifts or Uniform Transfers to Minors Act of the state in which the beneficiary or custodian
lives to be held until said beneficiary reaches age twenty-five (25), and/or (2) the account ~,,
owner of a 529 Plan for the benefit of said beneficiary. My executor shall select such
custodian and/or account owner, each or both of whom may be my executor. Distribution
to such custodian and/or account owner shall terminate all obligations of the executor as
to the amounts so distributed, and the executor shall not be liable to any persons, including
potential beneficiaries, for so distributing said assets.
FOURTH: Appointment of Executor. I appoint my daughter, DEBORAH L.
PFANNENSCHMIDT, as executor of this Will, but if she predeceases me, or, having
survived me, dies, renounces, resigns or for any other reason is unable to undertake or

complete the administration of my estate, then I appoint my son-in-law, DENNIS
PFANNENSCHMIDT, as my executor.
FIFTH: Payment of Debts and Expenses. I direct that all of my debts,
expenses of my last illness, funeral expenses, burial expenses, probate claims, probate
fees and administration expenses be paid out of my Trust Share in THE JOHN E.
GREGOR AND FLORENCE H. GREGOR REVOCABLE LIVING TRUST AGREEMENT
dated December 22, 2005. If said Trust is not then in existence, or if it is in existence and
my Trust Share is insufficient to pay all of such debts and expenses, then the remaining
debts and expenses shall be paid from my estate.

SIXTH: Executor's Powers. In addition to the powers conferred by law, my
executor shall have the following discretionary powers, each of which shall be exercised

duty of diversification, all property owned by me at my death, or to sell all or any part of
such property, upon such terms as my executor shall deem advisable; to invest in all forms
of property; to exchange or lease for any period of time any real or personal property and
to ive o tions for sales, exchan es and leases; to exercise all ri hts of securit holders;

to compromise any claim or controversy without court approval; to disclaim any interest;
to borrow money from any source; to delegate discretionary powers; and to make
distributions in cash or in kind at current values, in undivided interests or non-prorata
shares.

SEVENTH: Executor's Discretionar~Decisions Affecting Taxes. I direct my
executor to claim any expenses of administration of my estate as income tax deductions
upon an income tax return or returns whenever in my executor's sole judgment such action
will achieve an overall reduction in total income and death taxes.
EIGHTH: Payment of Death Taxes. All estate, inheritance and succession
taxes, including interest and penalties, imposed upon my gross estate, including any
property not forming a part of my testamentary estate, shall be paid out of my Trust Share

in THE JOHN E. GREGOR AND FLORENCE H. GREGOR REVOCABLE LIVING TRUST ~~ \l
AGREEMENT dated December 22, 2005. If said Trust is not then in existence, or if it is in
existence and my Trust Share is insufficient to pay all of such taxes, then the remaining
taxes shall be paid from the principal of my residuary estate, at such times and in such
manner as my executor shall deem advisable, without apportionment or right of
reimbursement.

NINTH: Waiver of Bond. No fiduciary appointed in this Will shall be required
to file a bond or post security in any jurisdiction.
