SETTLEMENT AGREEMENT

DMOCHOWSKI-ZEIGLER, Co-Executrices of the
Estate of Helen J. Dmochowski, Deceased, parties of
The first part, hereinafter called "Executrices",
AND
KAREN J. (SIDE) DMOCHOWSKI (hereinafter individually
Called "Karen") and CHERYL M. DMOCHOWSKI-ZEIGLER
(hereinafter individually called "Cheryl"), parties of the second
part, hereinafter collectively called "Beneficiaries":

WITNESSETH:
WHEREAS, Helen J. Dmochowski (hereinafter called "Decedent") died on June 11,
1997, leaving her Last Will and Testament dated March 27, 1981, in which she designated
Executrices to serve as co-executrices in the administration of her estate and directed that her
entire residuary estate be distributed to Beneficiaries equally (Decedent's husband, Lucian F.
Dmochowski, having predeceased Decedent); and
WHEREAS, said Last Will and Testament was duly probated in the Office of the
Register of Wills in and for Cumberland County, Pennsylvania, and Letters Testamentary were
duly issued to Executrices on July 8, 1997; and
WHEREAS, Executrices entered upon their duties and successfully concluded the
administration of the Decedent's estate and have made distribution of the net assets of said
estate, and they desire by these presents to permanently document the conclusion of said
administration;
NOW, THEREFORE, in consideration of these presents and intending to be legally
bound hereby, the parties mutually covenant and agree as follows:
1. The foregoing preamble and paragraphs are incorporated herein by
reference thereto.
2. The parties agree that the net balance of the Decendent's estate for
distribution consists only of the remaining unpaid balance of a Mortgage Bond /Note
dated May 13, 1994, in which Cheryl is the obligor/debtor and Decedent is the
Obligee/creditor, said investment hereinafter called "Bond/Note".
3. The parties agree, confirm and ratify that said "Bond/Note" has been
assigned to Beneficiaries in equal undivided shares, Karen owning one-half and Cheryl
owning one-half, said Beneficiaries hereby being substituted for Decedent as the
obligee/creditor.
4. Beneficiaries hereby jointly and severally release and discharge
Executrices from any and all responsibility for the collection, enforcement or other
administration of said Bond/Note, and hereby accept the shares in said Bond/Note in full
and complete satisfaction of their respective entitlements to the estate of the Decedent.
5. The parties agree that this agreement shall be deemed to be the equivalent
of the court confirmation of an accounting made by the Executrices and a decree of court
awarding distribution as aforesaid, and that an original counterpart of this agreement shall
be filed in the Office of the Register of Wills aforesaid as a public record of the
completion of the administration of the Decedent's estate and final distribution of
Decedent's assets.
IN WITNESS WHEREOF, the parties have caused these presents to be duly signed,
sealed and delivered as of and on the day and year first mentioned above.
