The Trustee shall distribute outright and '+ absolutely, free of all trust, one-half (~2) of one of such shares to the HOP~IEWOOD CHURCH HOMO OF THE EVANGICAL AND REFORMED CHURCH OF THE POTOMAC AidD MERCERSBURG SYNOD, Williamsport, R.D. ~~4, Maryl_and, ~, or its successors, to be held and used by it solely for the building and maintenance costs of the Sadler Home situate along t~,'alnut Bottom Road i.n the Borough of Carlisle, Pennsylvania. The said GLENN E. TODD died July 4, 1973, and to the knowledge of said FARMERS TRUST COMPANY, never published an additional Codicil to his Last Mill and Testament, nor did he publish any other writing in which he designated any charitable institution or institutions to receive the one-half. () share referred to in the foregoing Item. 5. On July 19, 1973, thE~ ':Crust Committee of FARMERS TRUST COMPANY recommended to the Board of Directors that the right of FARMERS TRUST COMPANY as Trustee under the Last Will and Testament of GLENN E. TODD, to designate the foregoing one-half (2) share should be exercised in favor of CUMBERLAND COUNTY HISTORLCAL SOCIETY AND HAMILTON LIBRARY ASSOCIATION, a non-profit corporation having its address at 21 North Pitt Street, Carlisle, Cumberland County, Pennsylvania, 6. Said action of the Trust Committee was approved by action LAW OFFICES MARTSON AND SNELBAKER of the Board of Directors of FARMERS TRUST COMPANY on July 31, 1973 and on August 28, 1973, said Board of Directors adopted the ._2_ following resolution: RESOLVED, that FARMERS TRUST COMPANY, as Trustee under the Last Wi11 and Testament of GLENN F. TODD, having discretion under the terms of said Last Will and Testament to designate one-half (2} of one share as provided in Paragraph B under Section II of Item Seven of said Will, as modified by the First Codicil dated May 26, 1973, does hereby exercise its discretion in favor of, and does hereby designa te, C(JMbERLAND COUNTY HISTORICAL SOCIRTY AND HAMILTON LIBRARY ASSOCIATION, a non-profit corporation, having its address at 21 North Pitt Street, Carlisle, Cumberland County, Pennsylvania, as the recipient of said one-half (2) share in accordance with the following provisions: The said one-half (2) share, or any part thereof, at such time as the same may become available, shall be held in trust by said FARMERS TRUST COMPANY for the use and benefit of said CUMBERLAND COUNTY HISTORICAL SOCIETY AND HAMILTON LIBRARY ASSOCIATION, to pay unto it, quarte ly all income arising from said trust fund, until the principal of said trust fund, in whole ox in part, in the discretion of the Board of Directors of said Association, can be applied for the construction of a new wing or addition, or any other capital improvements, to the building and premises of said Association. The decision to use all or part of the principal of such trust fund for construction or capital improvements shall be at the sole discretion of the Board of Director of said CUMBERLAND COUNTY HISTORICAL SOCIETY AND HAMILTO LIBRARY ASSOCIATION. Any such improvements made with ,i these trust funds shall be suitably marked as a "GLENN E . TODD MEMORIAL" . ~ This designation in accordance with the foregoing terms shall be deemed a distribution to CUMBERLAND COUNTY HISTORICAL SOCIETY AND HAMILTON LIBRARY ASSOCIATION in the foregoing manner at such time or times as the same shall be made. The principal of said trust need only be retained in the trust until the Board of Trustees of the Association shall deem the same necessary for said capital improvements. The proper officers of FARMERS TRUST COMPANY are authorized and directed to execute and file a notice of this designation with the Clerk of the Orphans` Court Division of the Court of Common Pleas of Cumberland County, Pennsylvania. 7. Said CUMBERLAND COUNTY HISTORICAL SOCIETY AND HAMILTON LAW OFFICES ~0 MARTSON AND SNELBAKER II LIBRARY ASSOCIATION amended its charter and name pursuant to proceedings in the Court of Common Pleas of Cumberland County, Pennsylvania, entered to No. 402, September Term, 1962, by virtue of an Order of Court entered therein on August 28, 1962, and being -3- duly recorded in the Office of the Recorder of Deeds in and for Cumberland County, in Miscellaneous Book 159, page 412, Said organization was previously known as HAMILTON LIBRARY ASSOCIATION OF THE BOROUGH OF CARLISLE by virtue of a decree of said Court entered April 17, 1874, to No. 9 April Term, 1874, and recorded in the aforesaid office in Miscellaneous Book 3, page 417. 8. The real estate owned by sa id CUMBERLAND COUNTY HISTORICAL SOCIETY AND HAMILTON LIBRARY ASSOCIATION is situate at 21 North Pitt Street, Carlisle, Cumberland County, Pennsylvania, and is set forth in a deed to Hamilton Library Association of the Borough of Carlisle, dated February 17, 1877, and recorded in the aforesaid recorder's office on December 28, 1906, in Deed "A", Vol. 7, page 481. 9. CUMBERLAND COUNTY HISTORICAL SOCIETY AND HAMILTON LIBRARY ASSOCIATION is a qualified recipient under Section 170 (c) of the Internal Revenue Code in that; 1. It is a foundation organized in the United States; 2. It is organized and operated exclusively for scientific, literary and educational purposes; 3. No part of its net earnings inure the benefit of any private shareholder or individual; and 4. No substantial part of its activities consist of carxying on propoganda, or otherwise attempting to influence legislation and it does not participate in, or intervene in, any political campaigns on behalf of any candidates for public office. A copy of the co-partnership agreement, (if oral, a statement setting forth the nature of the agreement) together with a statement setting forth the character of the business, its location, and such other facts pertaining to the business as may be pertinent to a fair and ,just appraisal of the decedent's interest therein mast be submitted. It should also set forth in itemized form, together with the fair market value thereof, any other property owned or bequeathed by the decedent at the time of death. The Trustee shall make distributions at such times and in such manner as not to subject the Unitrust to tax under Section 4942 of the Code. (f) Except for distributions made from my estate, no person shall be permitted to add assets to the Unitrust, -2- ..~. • (g) The obligation to pay the unitrust amount shall commence with the date of my death, but payment of the unitrust amount may be deferred from the date of my death to the end of the taxable year of. the Unitrust in which occurs the complete funding of the trust, Within a reasonable time after the occurrence of said event, the Trustee shall pay the amount determined under the method described in section 1,664-1 (a) (5) (ii) of the Federal Income Tax Regulations less the sum of any amounts previously distributed and interest thereon computed at six percent (6%) a year, compounded annually, from the date of distribution to the occurrence of said event, (h) Nothing in my Will or this Codicil thereto shal_1 be construed to restrict the Trustee from investing the Unitrust assets in a manner which r~ould result in the annual realization of a reasonable amount of income or gain from the sale or disposition of Unitrust assets. SIXTH I hereby modify the remainder interest as set forth in paragraph B under Section II of ITEM SEVEN of my Will and direct that the same shall provide instead as follows: B. The Trustee shall distribute outright and absolutely, free of all trust, one-half (2) of one of such shares to the HOMEWOOD CHURCH HOME OF THE EVANGICAL AND REFORMED CHURCH OF THE POTOMAC AND MERCERSBURG SYNOD, Williamsport, R,D, ~~4, Maryland, or its successors, to be held and used by it solely for the building and maintenance costs of the Sadler Home situate along Walnut Bottom Road in the Borough of Carlisle, Pennsylvania. The remaining one-half (Z) of one such share I direct shall be distributed or held by my said Trustee to or for the use of such charitable institution or institutions as I may subsequently designate in writing by a Codicil to my said Will, and if not so designated in writing by me, then to be held for the use of and/or distributed to one or mare organizations as may be described in Section 170 (c) of the Internal Revenue Code in such amounts or proportions as my Trustee in its sale discretion may designate.
