PETITION FOR TERMINA TION AND DISTRIBUTION OF IRRE VOCABLE TRUSTS The petitioners, the surviving children of Margaret J. Naumann who are also the remainder beneficiaries of the Creedin S. Fickel Irrevocable Trusts for Margaret J. Naumann, by and through their attorneys, Irwin McKnight & Hughes, respectfully represent: 1. Petitioner, Nancy D. Buffington, is an adult individual, born on November 24, 1950, whose principal residence is 51 Brian Drive, Carlisle, Pennsylvania 17013. 2. Petitioner, Richard E. Coe, is an adult individual, born on October 14, 1951, whose principal residence is 5952 Burlington Drive, Harrisburg, Pennsylvania 17112. 3. Petitioner, Terry L. LaVanture, is an adult individual, born on May 15, 1955, whose principal residence is 200 Faith Circle, Carlisle, Pennsylvania 17013. 4. Petitioner, Charlynne R. Kelso, is an adult individual, born on January 1, 1958, whose principal residence is 271 Wisteria Avenue, St. Augustine, Florida 32086. 5. All Petitioners are the only surviving children of Margaret J. Naumann. 6. On or about December 1, 1964, Creedin S. Fickel, entered into a trust agreement with the then Farmers Trust Company for the establishment of an irrevocable inter vivos trust of which Farmers Trust Company would be the Trustee. A true and correct copy of the trust agreement is attached hereto and incorporated herein by this reference as Exhibit "A." 7. In accordance with Paragraph Four of Exhibit "A," one-third of said trust was to be held for the benefit of Margaret J. Naumann, a daughter of Creedin S. Fickel. 8. Under the terms of Paragraph Four of the trust attached as Exhibit "A," the principal and income of the trust was to be held and invested until the children of Creedin S. Fickel reached the age of thirty-five (35) years, at which time they would receive semi-annual interest payments. 9. Upon the decease of a child with surviving issue, the remaining principal and income would again be held in the trust until each grandchild reached the age of thirty-five (35) years, at which time their principal and interest share of the trust would be distributed to them. 10. Also on or about December 1, 1964, Creedin S. Fickel, entered into a second trust agreement with the then Farmers Trust Company for the establishment of another irrevocable inter vivos trust of which Farmers Trust Company would be the Trustee. A true and correct copy of the second trust agreement is attached hereto and incorporated herein by this reference as Exhibit "B." 11. In accordance with Paragraph Four of Exhibit "B," one-third of said additional trust was also to be held for the benefit of Margaret J. Naumann, a daughter of Creedin S. Fickel. 12. Similar to the payment arrangement provided for in the trust attached as Exhibit "A, Paragraph Four of the trust attached as Exhibit "B" provided for semi-annual interest payments to Margaret J. Naumann, and then upon her decease ultimate distribution of each grandchild's share of the principal and interest at such time as they reach the age of thirty-five (35) years. 13. In 1964 when Creedin S. Fickel established the trusts as described herein and attached hereto, substantial funds were placed into said trusts. 14. Currently, however, the trusts only have a combined present market value of approximately $40,000.00, as indicated on the Market Value Summary of Accounts of the Trustee, true and correct copies of which are attached hereto and incorporated herein by this reference as Exhibit "C." 15. Termination of said trusts is requested under 20 Pa. C. S. A. § 6102(a) because the principal of the trusts produces an insufficient income, and therefore the continued professional management of the trusts is economically unfeasible. 16. Petitioners request that the Court order the termination of the trusts and award the entire principal and any undistributed income to them outright in equal shares under 20 Pa. C. S. A. § 6102(a). 17. Furthermore, the trust agreements attached as Exhibits "A" and "B" do not state the purposes for which they were established. 18. The implied purpose of the trusts is to provide and ensure financial security to Creedin S. Fickel's children through the provision of income from the trusts for their lives, and then ultimately provide and ensure fmancial security for his grandchildren until they reach the age of thirty-five (35) when the remaining principal and interest of the trusts is to be distributed to them. 19. On or about September 1, 2000, Margaret J. Naumann signed a Disclaimer and Renunciation whereby she disclaimed and renounced in whole the remainder of her income and other interests in the irrevocable trusts established by Creedin S. Fickel as described herein and attached hereto. A true and correct copy of said Disclaimer and Renunciation is attached hereto and incorporated herein by this reference as Exhibit "D." 20. Petitioners, the only surviving children of Margaret J. Naumann, are all over the age of thirty-five (35) years. The Petitioners' verifications and consents to the termination of the trusts are attached hereto and incorporated herein by this reference. 21. Petitioners also request that the Court order the termination of the trusts and award the entire principal and any undistributed income to them outright in equal shares on the grounds that the purposes of the trusts have been achieved and therefore the continued professional management of the trusts is not economical. 22. The consent of the Trustee, Keystone Financial Bank, N.A., now by merger Manufacturers and Traders Trust Company ("M & T Bank") as successor in interest to the Farmers Trust Company, to the proposed termination of said trusts is attached hereto and incorporated herein by this reference. 23. Petitioners are the only persons, other than Margaret J. Naumann, who has disclaimed and renounced her income interest, and other than Keystone Financial Bank, N.A., now by merger Manufacturers and Traders Trust Company ("M & T Bank"), as Trustee, with interests in said trusts. WHEREFORE, Petitioners, the only surviving children of Margaret J. Naumann and ultimate beneficiaries of the Creedin S. Fickel Inter Vivos Trusts for Margaret J. Naumann in accordance with Paragraphs Four of the respective trust instruments, respectfully request that this Court enter an Order: 1. That the Creedin S. Fickel Inter Vivos Trusts for Margaret J. Naumann as created by the trust agreements attached hereto as Exhibits "A" and "B" be declared terminated; and 2. That the Trustee be ordered to pay and turn over to Petitioners in equal shares the balance of the principal and undistributed income in accordance with Paragraphs Four of the respective trust agreements. Albright, is an adult individual, born on March 10, 1957, whose principal residence is 135 Clearview Place, Carlisle, Pennsylvania 17013. 2. Petitioner, Mark D. Albright, is an adult individual, born on October 23, 1958, whose principal residence is 468 Amherst Road, Belchertown, Massachusetts 01007-9351. 3. Petitioner, Timothy S. Albright, is an adult individual, born on May 4, 1962, whose principal residence is R. R. # 4, Box 202-A, Sunbury, Pennsylvania 17801. 4. All Petitioners are the only surviving children of Nancy M. Albright. 5. On or about December 1, 1964, Creedin S. Fickel, entered into a trust agreement with the then Farmers Trust Company for the establishment of an irrevocable inter vivos trust of which Farmers Trust Company would be the Trustee. A true and correct copy of the trust agreement is attached hereto and incorporated herein by this reference as Exhibit "A." 6. In accordance with Paragraph Four of Exhibit "A," one-third of said trust was to be held for the benefit of Nancy M. Albright, a daughter of Creedin S. Fickel. 7. Under the terms of Paragraph Four of the trust attached as Exhibit "A," the principal and income of the trust was to be held and invested until the children of Creedin S. Fickel reached the age of thirty-five (35) years, at which time they would receive semi-annual interest payments. 8. Upon the decease of a child with surviving issue, the remaining principal and income would again be held in the trust until each grandchild reached the age of thirty-five (35) years, at which time their principal and interest share of the trust would be distributed to them. 9. Also on or about December 1, 1964, Creedin S. Fickel, entered into a second trust agreement with the then Farmers Trust Company for the establishment of another irrevocable inter vivos trust of which Farmers Trust Company would be the Trustee. A true and correct copy of the second trust agreement is attached hereto and incorporated herein by this reference as Exhibit `B." 10. In accordance with Paragraph Four of Exhibit "B," one-third of said additional trust was also to be held for the benefit of Nancy M. Albright, a daughter of Creedin S. Fickel. 11. Similar to the payment arrangement provided for in the trust attached as Exhibit "A," Paragraph Four of the trust attached as Exhibit "B" provided for semi-annual interest payments to Nancy M. Albright, and then upon her decease ultimate distribution of each grandchild's share of the principal and interest at such time as they reach the age of thirty-five (35) years. I2. Similar to the payment arrangement provided for in the trust attached as Exhibit "A, Paragraph Four of the trust attached as Exhibit "B" provided for semi-annual interest payments to Margaret J. Naumann, and then upon her decease ultimate distribution of each grandchild's share of the principal and interest at such time as they reach the age of thirty-five (35) years. 13. In 1964 when Creedin S. Fickel established the trusts as described herein and attached hereto, substantial funds were placed into said trusts. 14. Currently, however, the trusts only have a combined present market value of approximately $35,000.00, as indicated on the Market Value Summary of Accounts of the Trustee, true and correct copies of which are attached hereto and incorporated herein by this reference as Exhibit "C." 15. Termination of said trusts is requested under 20 Pa. C. S. A. § 6102(a) because the principal of the trusts produces an insufficient income, and therefore the continued professional management of the trusts is economically unfeasible. 16. Petitioners request that the Court order the termination of the trusts and award the entire principal and any undistributed income to them outright in equal shares under 20 Pa. C. S. A. § 6102(a). 17. Furthermore, the trust agreements attached as Exhibits "A" and "B" do not state the purposes for which they were established. 18. The implied purpose of the trusts is to provide and ensure financial security to Creedin S. Fickel's children through the provision of income from the trusts for their lives, and then ultimately provide and ensure financial security for his grandchildren until they reach the age of thirty-five (35) when the remaining principal and interest of the trusts is to be distributed to them. 19. On or about May 8, 2001, Nancy M. Albright signed a Disclaimer and Renunciation whereby she disclaimed and renounced in whole the remainder of her income and other interests in the irrevocable trusts established by Creedin S. Fickel as described herein and attached hereto. A true and correct copy of said Disclaimer and Renunciation is attached hereto and incorporated herein by this reference as Exhibit "D." 20. Petitioners, the only surviving children of Nancy M. Albright, are all over the age of thirty-five (35) years. The Petitioners' verifications and consents to the termination of the trusts are attached hereto and incorporated herein by this reference. 21. Petitioners also request that the Court order the termination of the trusts and award the entire principal and any undistributed income to them outright in equal shares on the grounds that the purposes of the trusts have been achieved and therefore the continued professional management of the trusts is not economical. 22. The consent of the Trustee, Keystone Financial Bank, N.A., now by merger Manufacturers and Traders Trust Company ("M & T Bank") as successor in interest to the Farmers Trust Company, to the proposed termination of said trusts is attached hereto and incorporated herein by this reference. 23. Fickel who are also the remainder beneficiaries of the Creedin S. Fickel Irrevocable Trusts for Richard R. Fickel, by and through their attorneys, Irwin McKnight & Hughes, respectfully represent: 1. Petitioner, Richard Lee Fickel, is an adult individual, born on July 10, 1956, whose principal residence is 88 Dayton Drive, Southington, Connecticut 06489. 2. Petitioner, Beth Ann Welles, is an adult individual, born on May 18, 1967, whose principal residence is 46 Massachusetts Road, Oakdale, Connecticut 06370. 3. Petitioner, Laura Jo VanDyke, is an adult individual, born on January 25, 1954, whose principal residence is 8 Whitney Street, Bangor, Maine 04401. 4. All Petitioners are the only surviving children of Richard R. Fickel. 5. On or about December 1, 1964, Creedin S. Fickel, entered into a trust agreement with the then Farmers Trust Company for the establishment of an irrevocable inter vivos trust of which Farmers Trust Company would be the Trustee. A true and correct copy of the trust agreement is attached hereto and incorporated herein by this reference as Exhibit "A." 6. In accordance with Paragraph Four of Exhibit "A," one-third of said trust was to be held for the benefit of Richard R. Fickel, a son of Creedin S. Fickel. 7. Under the terms of Paragraph Four of the trust attached as Exhibit "A," the principal and income of the trust was to be held and invested until the children of Creedin S. Fickel reached the age of thirty-five (35) years, at which time they would receive semi-annual interest payments. 8. Upon the decease of a child with surviving issue, the remaining principal and income would again be held in the trust until each grandchild reached the age of thirty-five (35) years, at which time their principal and interest share of the trust would be distributed to them. 9. Also on or about December 1, 1964, Creedin S. Fickel, entered into a second trust agreement with the then Farmers Trust Company for the establishment of another irrevocable inter vivos trust of which Farmers Trust Company would be the Trustee. A true and correct copy of the second trust agreement is attached hereto and incorporated herein by this reference as Exhibit `B." 10. In accordance with Paragraph Four of Exhibit "B," one-third of said additional trust was also to be held for the benefit of Richard R. Fickel, a son of Creedin S. Fickel. 11. Similar to the payment arrangement provided for in the trust attached as Exhibit "A," Paragraph Four of the trust attached as Exhibit "B" provided for semi-annual interest payments to Richard R. Fickel, and then upon his decease ultimate distribution of each grandchild's share of the principal and interest at such time as they reach the age of thirty-five (35) years. 12. In 1964 when Creedin S. Fickel established the trusts as described herein and attached hereto, substantial funds were placed into said trusts. 13. Currently, however, the trusts only have a combined market value as of June 30, 2002, of approximately $28,981.49 as indicated on the Market Value Summary of Accounts of the Trustee, true and correct copies. of which are attached hereto and incorporated herein by this reference as Exhibit "C." 14. Termination of said trusts is requested under 20 Pa. C. S. A. § 6102(a) because the principal of the trusts produces an insufficient income, and therefore the continued professional management of the trusts is economically unfeasible. 15. Petitioners request that the Court order the termination of the trusts and award the entire principal and any undistributed income to them outright in equal shares under 20 Pa. C. S. A. § 6102(a). 16. Furthermore, the trust agreements attached as Exhibits "A" and "B" do not state the purposes for which they were established. 17. The implied purpose of the trusts is to provide and ensure financial security to Creedin S. Fickel's children through the provision of income from the trusts for their lives, and then ultimately provide and ensure financial security for his grandchildren until they reach the age of thirty-five (35) when the remaining principal and interest of the trusts is to be distributed to them. 18. On or about October 2, 2002, Richard R. Fickel signed a Disclaimer and Renunciation whereby he disclaimed and renounced in whole the remainder of his income and other interests in the irrevocable trusts established by Creedin S. Fickel as described herein and attached hereto. A true and correct copy of said Disclaimer and Renunciation is attached hereto and incorporated herein by this reference as Exhibit "D." 19. Petitioners, the only surviving children of Richard R. Fickel, are all over the age of thirty-five (35) years. The Petitioners' verifications and consents to the termination of the trusts are attached hereto and incorporated herein by this reference. That the Creedin S. Fickel Inter Vivos Trusts for Richard R. Fickel as created by the trust agreements attached hereto as Exhibits "A" and "B" be declared terminated; and 2. That the Trustee be ordered to pay and turn over to Petitioners in equal shares the balance of the principal and undistributed income in accordance with Paragraphs Four of the respective trust agreements.
