Petitioner, Allfirst Trust Company of Pennsylvania, N.A., is a national banking association with an office located at 213 Market Street, Harrisburg, Pennsylvania. 2. Petitioner is the successor to Dauphin Deposit Trust Company, which was named as Trustee in the Will of Robert P. Bretz (the "Decedent") dated November 22, 1963. A true and correct copy of Decedent's Will is attached hereto as Exhibit "A". 3. Decedent died August 18, 1965, a resident of Cumberland County. 4. In Article SECOND of Decedent's Will, he bequeathed the residue of his estate to Petitioner, in Trust, and provided that one-half of the income from the Trust should be paid to the Zion Lutheran Church of Enola, of Cumberland County, Pennsylvania, and one-half of the income 472599.1 to the First Baptist Church of Enola, provided the First Baptist Church of Enola built a farm on property purchased from the Decedent. 5. If the First Baptist Church of Enola did not build a church on said property within two years of the date of the Will, the Trustee was directed to pay all of the income from the Trust to the other income beneficiary, the Zion Lutheran Church of Enola. 6. The Will further directed the income was to be used "for the needy for Christmas and also generally for the children and aged as the respective boards of the church or churches may select in their discretion." 7. The Petitioner has been distributing the funds as directed to the two churches named in the Will of the Decedent, and has filed two partial accounts of its administration, the second of which was confirmed by this Court on March 2, 1995. 8. The principal value of the Trust is $477, 299.68, as shown in the Third and Partial Account of the Trust filed contemporaneously with this Petition. 9. In recent years, as shown in the Account, each of the Churches has been receiving between $4,000 and $8,000 in income from the Trust each year. 10. During the administration of the Trust, the First Baptist Church of Enola changed its name to the Enola Conservative Baptist Church, and most recently to the East Pennsboro Baptist Church. 11. Until recently, the East Pennsboro Baptist Church continued to have regular Sunday services, despite an average weekly attendance of 10 to 20 individuals. 12. On February 10, 2003, the Treasurer of the East Pennsboro Baptist Church, Barbara J. Long, notified the Petitioner that due to the death of her husband and the Pastor of the Church, -2- the Rev. Clair R. Long, on January 27, 2003, the East Pennsboro Baptist Church had officially disbanded. 13. At the time of its disbandment, the East Pennsboro Baptist Church was completely independent and not a member of any larger conference or organization. 14. Due to the disbandment of the East Pennsboro Baptist Church, the Petitioner is seeking this Court's direction as to the disbursement of its one-half share of the Trust income. 15. The doctrine of cy pres is set forth in 20 Pa. C.S.A. §6110(a), which provides: Except as otherwise provided by the conveyor, if the charitable purpose for which an interest shall be conveyed shall be or become indefinite or impossible or impractical of fulfillment...the court may, on application of the trustee or of any interested person or of the Attorney General, after proof of notice to the Attorney General when he is not the petitioner, order an administration or distribution of the estate for a charitable purpose in a manner as nearly as possible to fulfill the intention of the conveyor, whether his charitable intent be general or specific. 20 Pa. C.S.A. §6110(a). 16. The charitable purpose of benefiting the congregation and members of the East Pennsboro Baptist Church is now impossible to fulfil due to its disbandment. 17. There is no successor to the East Pennsboro Baptist Church that should succeed to its income interest in the Trust. 18. As set forth in the Statement of Proposed Distribution filed with the Third and Partial Account of the Trust, Petitioner proposes to distribute all of the net income of the Trust to the other named beneficiary, the Zion Lutheran Church of Enola. 19. In his Will, the Decedent indicated a specific charitable intent to benefit two churches located in Enola, Cumberland County Pennsylvania. -3- 20. The Decedent further indicated an intent to solely benefit the Zion Lutheran Church of Enola should the Baptist Church not fulfil a specific requirement of the Decedent in building a church on his property. 21. Thus, due to the fact that the East Pennsboro Baptist Church no longer exists, Petitioner proposes that Decedent's intent would be best approximated by distributing all of the income from the Trust to the Zion Lutheran Church of Enola. WHEREFORE, Petitioner respectfully requests that an Order be made to approve Petitioner's application for cy pres to permit the distribution of net income of the Trust under the Will of Robert P.
