Defendant is a corporation having its offices and place of business at 309 S. Tenth Street, Lemoyne, Cumberland County, Pennsylvania 17043. 3. At the special instance and request of Defendant, Plaintiff sold and delivered to Defendant certain goods, wares and merchandise, as is more specifically shown by Plaintiffs invoices, copies of which are attached hereto, marked Exhibit "1" collectively, and made a part hereof. 4. Defendant received and accepted the aforementioned goods, wares and merchandise. 5. The prices charged by Plaintiff were the fair, reasonable, and market prices that prevailed at the times of the transactions. 6. The prices charged by Plaintiff were the prices that Defendant agreed to pay. 7. Plaintiff avers that the balance due amounts to $32, 000.00, as is more specifically shown by Plaintiffs Accounts Receivable Statement of September 29, 2008, a true and correct copy of which is attached hereto, marked Exhibit "2", and made a part hereof. 8. Plaintiff claims legal interest as damages on the liquidated debt from September 30, 2008. 9. Plaintiff avers that legal interest amounts to $824.53 to March 5, 2009. 80551.aoc 3/6/2009 10. Although repeatedly requested to do so by Plaintiff, Defendant has willfully failed and refused to pay the aforesaid balance, legal interest, or any part thereof to Plaintiff. On or about January 15, 2009, Defendant responded to Plaintiff's First Set of Requests for Admissions, Interrogatories and Requests for Production of Documents, a true and correct copy of Defendant's responses are attached hereto, marked Exhibit "5," and made a part hereof. 7. Defendant's responses to Plaintiff's First Set of Requests for Admissions, Interrogatories and Requests for Production of Documents admit that a balance of $26,000.00 is due and owing to Plaintiff from Defendant. Defendant's responses contend that only this balance remains due and owing because the Plaintiff extended a credit to Defendant. However, Defendant fails to recognize that the extension of said credit was in exchange for timely and prompt payments on the outstanding balance. Defendant has made no payment on the account since December 2007. See, Defendant's Responses to Plaintiff's First Set of Requests for Admissions Interrogatories and Requests for Production of Documents, Exhibit "6." 8. In order to make out a cause of action for breach of contract, the plaintiff must plead and prove, 1) the existence of a contract to which the plaintiff and defendant were parties; 2) the essential terms of the contract; 3) a breach of the duty imposed by the contract; and 4) that damages resulted from the breach. Electron Energy Corp. v. Short, 408 Pa. Super. 563, 597 A.2d 175 (Pa. Super. Ct. 1991), aff'd, 533 Pa. 66, 618 A.2d 395 (Pa. 1993). 9. The Defendant has admitted to the existence and terms of the contract between the parties; that Plaintiff has performed by delivering goods pursuant to the contract; that the Defendant has breached its duty of payment under the contract. Wheeler, attached hereto, marked Exhibit "6," and made a part hereof, establishes the damages resulting from the Defendant's breach of contract. 11. MEMORANDUM OF LAW IN SUPPORT OF PLAINTIFF'S MOTION FOR SUMMARY Ji1DGMENT PURSUANT TO Pa.R.C.P 1035 2 AND NOW comes, Plaintiff, Knoll, Inc., by and through counsel, Bernstein Law Firm, P.C., and hereby files its Memorandum of Law in Support of Motion for Summary Judgment, as follows: STATEMENT OF THE CASE On March 16, 2009, Plaintiff filed a Complaint in Civil Action against the Defendant in this Honorable Court for breach of contract resulting from Defendant's failure to pay for goods ordered and delivered on Defendant's commercial credit account with Plaintiff, seeking to recover an unpaid principal amount of $32,000.00, together with legal interest thereon at the rate of six percent (6%) per annum from September 30, 2008 through March 5, bringing the total amount prayed for in the Complaint to $32,824.53 with ongoing contractual interest at the rate of six percent (6%) per annum from March 5, 2009, and costs. A true and correct copy of Plaintiff's Complaint is attached hereto, marked Exhibit "1," and made a part hereof. M On or about Apri17, 2009, Defendant filed an Answer to Plaintiff's Complaint, a true and correct copy of which is attached hereto, marked Exhibit " 2," and made a part hereof, affirmatively admitting the following facts: a. The identity of the parties involved in the transactions that are the subject matter of this litigation. See, Defendant's Answer, 9~9f 1 and 2; b. That at the Defendant's request Plaintiff sold and delivered the goods identified on Plaintiff's Invoices, which were attached as Exhibit "1" to Plaintiff's Complaint, to the Defendant. See, Defendant's Answer, 9f 3; c. That the Defendant received and accepted the goods identified on Plaintiff s Invoices. See, Defendant's Answer, 9f 4; d. That the prices charged by the Plaintiff for the goods were the fair, reasonable and market prices that prevailed at the times of the transactions, and that the prices charged by the Plaintiff were the prices that the Defendant agreed to pay. See, Defendant's Answer, 9f9f 5 and 6; and e. That the Defendant owes money to the Plaintiff. See, Defendant's Answer, 9f9f 7-10. Defendant's Answer disputes the amount due and owing to Plaintiff by simply stating that Defendant has made payments toward the balance. See, Defendant's Answer, 9f9f 7-10. On or about October 8, 2009, Plaintiff filed its Reply to New Matter, a true and correct copy of which is attached hereto, marked Exhibit " 3," and made a part hereof. On or about December 12, 2009, Plaintiff served Defendant with Plaintiff's First Set of Requests for Admissions, Interrogatories and Requests for Production of Documents, a true and correct copy of which is attached hereto, marked Exhibit "4," and made a part hereof. On or about January 15, 2009, Defendant responded to Plaintiff's First Set of Requests for Admissions, Interrogatories and Requests for Production of Documents, a true and correct copy of Defendant's responses are attached hereto, marked Exhibit "5," and made a part hereof. Defendant's responses to Plaintiff's First Set of Requests for Admissions, Interrogatories and Requests for Production of Documents admit that a balance of $26,000.00 is due and owing to Plaintiff from Defendant. Defendant's responses contend that only this balance remains due and owing because the Plaintiff extended a credit to Defendant. However, Defendant fails to recognize that the extension of said credit was in exchange for timely and prompt payments on the outstanding balance. Defendant has made no payment on the account since December 2007. See, Defendant's Responses to Plaintiff's First Set of Requests for Admissions Interro atories and Reauests for Production of Documents Exhibit "6 " The Defendant has admitted to the existence and terms of the contract between the parties; that Plaintiff has performed by delivering goods pursuant to the contract; that the Defendant has breached its duty of payment under the contract. See, Defendant's Answer 9f9f 1- 6. The Affidavit of Ericka J. Wheeler, attached hereto, marked Exhibit "6," and made a part hereof, establishes the damages resulting from the Defendant's breach of contract. Defendants have failed to provide any evidence whatsoever to support any alleged defense or dispute of the resultant damages. Plaintiff now files the present motion for summary judgment. ISSUES PRESENTED Whether Plaintiff is entitled, as a matter of law, to the sum of $37,060.38, with continuing interest at the legal rate of six percent (6%) per annum on the principal balance of $32,000.00 from July 27, 2010, plus costs, as a result of Defendant's breach of contract when the record contains no genuine issue of material fact and the Defendant has failed to produce any evidence of facts to support any alleged defense? BRIEF ANSWER Yes. Summary judgment is proper when the evidentiary record shows either, 1) that the material facts are undisputed, or 2) that there is insufficient evidence of fact to make out a prima facie cause of an action or defense and as a result there is no issue to be submitted to the jury. McCarthy v. Dan Lepore & Sons Co., 724 A.2d 938, 940 (Pa. Super. Ct. 1998). The record indicates that there is no dispute as to the facts surrounding the existence or performance of the parties' contract by which that the Plaintiff sold and delivered goods to the Defendant on a commercial credit account. Furthermore, the Defendant has not produced any evidence of facts that support any asserted defense, which would require submission of the issue to a jury. ARGUMENT The law pertaining to motions for summary judgment is well settled. Pennsylvania Rule of Civil Procedure 1035.2 provides that after the relevant pleadings are closed and within such a time as not to unreasonably delay trial, either party may move for summary judgment. Pa.R.C.P. 1035.2. "A proper grant of summary judgment depends upon an evidentiary record that either 1) shows the material facts are undisputed or 2) contains insufficient evidence of facts to make out a prima facie cause of action or defense and, therefore, there is no issue to be submitted to the jury." McCarthy v. Dan Lenore & Sons Co., 724 A.2d 938, 940 (Pa. Super. Ct. 1998). Summary judgment shall be granted if the pleadings, depositions, answers to interrogatories and admissions on file, show that there is no genuine issue of material fact and the moving party is entitled to judgment as a matter of law. Williams v. Pilgrim Life Insurance Co., 306 Pa. Super. 170, 452 A.2d 269 (Pa. Super. Ct. 1982); Gabovitz v. State Auto Insurance Association, 362 Pa.Super. 17, 523 A.2d 403 (Pa. Super. Ct. 1987); Hedlund Manufacturing Co. v. Weiser, Sta ler & S ivak, 517 Pa. 522, 539 A.2d 357 (Pa. 1988). A material fact is one that directly affects the disposition of the case. Allen v. Colautti, 53 Pa. Commw. 392, 417 A.2d 1303 (Pa. Commw. Ct. 1980). Summary judgment may be entered only in cases that are clear and free from doubt. Dunn v. Teti, 280 Pa. Super. 399, 421 A.2d 782 (Pa. Super. Ct. 1980); Tom Morello Construction Co. v. Bridgeport Federal Savings & Loan Association, 280 Pa. Super. 329, 421 A.2d 747 (Pa. Super. Ct. 1980); Weiss v. Kevstone Mack Sales Inc , 310 Pa. Super. 425, 456 A.2d 1009 (Pa. Super. Ct. 1983). In addition, the Court must examine the record in the light most favorable to the non-moving party and accept as true all well pleaded facts in the non- moving party's pleadings and give the non-mover the benefit of all reasonable inferences to be drawn therefrom. Ferguson v. King, 362 Pa. Super. 543, 524 A.2d 1372 (Pa. Super. Ct. 1987); Metal Bank of America v. Insurance Company of North America, 360 Pa. Super. 350, 520 A.2d 493 (Pa. Super. Ct. 1987). I. There remains no genuine issue of material fact and Plaintiff is entitled to judgment, as a matter of law, in the amount of $37,060.38, plus continuing interest at the legal rate of six percent (6010) per annum on the principal balance of $32,000.00 from July 27, 2010, plus costs, as a result of Defendant's breach of contract. This is an action to recover the balance due on a commercial credit account extended by Plaintiff to Defendant. In order to make out a cause of action for breach of contract, the plaintiff must plead and prove, 1) the existence of a contract to which the plaintiff and defendant were parties; 2) the essential terms of the contract; 3) a breach of the duty imposed by the contract; and 4) that damages resulted from the breach. Electron Energy Corp. v. Short, 408 Pa. Super. 563, 597 A.2d 175 (Pa. Super. Ct. 1991), aff'd, 533 Pa. 66, 618 A.2d 395 (Pa. 1993). In their Answer to the Plaintiff's Complaint, Defendant has admitted to the existence of a contract to which it was a party; the terms of that contract by admitting that Defendant received and accepted the goods sold and delivered by Plaintiff to Defendant on a credit basis; that Plaintiff has performed under the contract by providing Defendant with the goods identified in the Invoices attached to Plaintiff's Complaint; and that the Defendant has breached its duty of payment under the contract by failing to pay Plaintiff the balance due on Defendant's account. See, Defendants' Answer, Exhibit " 2." Accordingly, the record contains no issue of fact as to the 1) the existence of a contract to which the plaintiff and defendant were parties; 2) the essential terms of the contract; and 3) a breach of the duty imposed by the contract. While Defendant denied the amount the due and owing under the commercial credit account, i.e. the Plaintiff's resultant damages, the Defendant admitted that money is owed to the Plaintiff, and has failed to produce any evidence of record to support its calculation of damages, which would require that the issue be submitted to a jury. The Affidavit of Ericka J. Wheeler, attached hereto as Exhibit "6," establishes the principal balance due of $32,000.00 resulting from the Defendant's breach of contract for failure to make payment on the commercial credit account. See, Aff. Erick J. Wheeler, y[ 8. Based upon the Defendant's admissions as set forth in the Defendant's Answer, and the Affidavit of Ericka J. Wheeler, attached as Exhibit "6," there is no question that Defendant owes Plaintiff the sum of $32,000.00, plus continuing legal interest at the rate of six percent (6°Io) per annum from December 7, 2007, and costs. Moreover, the Defendant has presented no evidence that would support any alleged defense regarding the calculation of damages. Where a motion for summary judgment is based upon insufficient evidence of facts, the adverse party must come forward with evidence essential to preserve a cause of action or defense. McCarthy v. Dan Lepore & Sons Co., 724 A.2d 938, 940 (Pa. Super. Ct. 1998). If the non-moving party fails to come forward with sufficient evidence to establish or contest a material issue to the case, the moving party is entitled to judgment as a matter of law. Ertel v. Patriot-News Co., 544 Pa. 93, 674 A.2d 1038 (1996), cert. denied, 519 U.S. 1008, 117 S. Ct. 512, 136 L. Ed. 2d 401 (1996). Again, the Defendant, the non-moving party, has failed to adduce any evidence of fact concerning the alleged dispute regarding the damages to Plaintiff that would require the court to submit the issue to a jury. At best, the Defendant's Answer attempts to dispute the interest accrued on the debt. See, Defendant's Answer, 9f9f 7-10. In contract cases pre judgment interest is awardable as a matter of right. Daset Minim Corp. v. Industrial Fuels Coro., 473 A.2d 584, 595, citing, Eazor Express, Inc. v. International Brotherhood of Teamsters. Chauffeurs. Warehousemen and Helpers of America, 520 F.2d 951 (3rd Cir., 1975); Gold & Co., Inc. v. Northeast Theater Coro., 281 Pa. Super. 69, 421 A.2d 1151 (Pa. Super. Ct. 1980). Interest is calculated under Pennsylvania law from the time that the debt became due or payable. Robert Whooler Co. v. Fidelity Bank, 330 Pa. Super. 523, 479 A.2d 1027 (Pa. Super. Ct. 1984). Moreover, Pennsylvania law provides that a plaintiff is entitled to interest on a judgment for a specific sum of money from the date of the verdict. 42 Pa.C.S.A. ~ 8101, ("Except as otherwise provided by another statute, a judgment for a specific sum of money shall bear interest at the lawful rate from the date of the verdict or award, or from the date of the judgment, if the judgment is not entered upon a verdict or award."). "Thus the general rule is that a plaintiff is entitled to interest on a judgment from the date of the verdict, and for purposes of computing interest, judgment and verdict are synonymous." Osial v. Cook, 2002 PA Super 214, 803 A.2d 209, 215 (Pa. Super. 1994). A plaintiff receives statutory post judgment interest as a matter of right where the damages are ascertainable by computation. Pittsburgh Constr. Co. v. Griffith, 2003 PA Super 374 (Pa. Super. 2003). Currently, the statutory rate of interest in the Commonwealth of Pennsylvania is fixed at six percent (6%) per annum, "but parties to a contract may agree to a higher rate." Id; See, 41 P.S. 202; In re Estate of Braun, 437 Pa. Super. 372, 650 A.2d 73, 78 (Pa. Super. 1994) ("the courts of this Commonwealth have found that the parties may agree to a post judgment interest rate in excess of that provided by statute"); see~e.~., Miller v. City of Reading, 369 Pa. $71, 473- 474, 87 A.2d 223, 226 (1952) (party who illegally fails to pay a debt is liable to pay interest thereon at the statutory rate unless the parties expressly agree otherwise); Smith v. Mitchell, 420 Pa. Super. at 144, 616 A.2d at 21 (Pa. Super. 1992) (quoting Daset Mining_Corp. v. Industrial Fuels Coro., 326 Pa. Super. 14, 36, 473 A.2d 584, 595 (1984) and recognizing that in contracts concerning the payment of the sum of money at a rate higher or lower than the legal rate, they can agree to have the agreed upon interest rate continue after the debt becomes due; in the absence of an agreement, the interest rate fixed by law attaches); Cumberland Valley C Operative Association v. Martin, 11 D.& C. 4'~' 10, 12 (C.C.P. Cumberland County 1991) (specific intent of the parties prevails over the statutory rate; parties' agreement to pay post- judgment interest rate of 15°Io was upheld). Accordingly, the legal interest sought by Plaintiff is proper. CONCLUSION Summary judgment in favor of the Plaintiff in the instant action is proper, as there exists no genuine issue as to any material fact and Plaintiff is entitled to judgment as a matter of law. Moreover, Defendants has failed to produce any evidence of fact to support a valid defense to Plaintiff's breach of contract action. Therefore, judgment should be entered in favor of the Plaintiff as a matter of law.
