SANKEY, of Mechanicsburg, Cumberland County, Pennsylvania, being of sound and disposing mind, memory and understanding, do make, publish and declare this to be my last Will and Testament, hereby revoking and making void all former wills by me at any time made. FIRST: I order and direct that all my just debts and funeral expenses shall be paid as soon as conveniently maybe after my decease. SECOND: I give and bequeath the sum of TWO HUNDRED THOUSAND ($200,000.00) DOLLARS to my Trustees, in Trust for my grandson, WILLIAM K. WHITLOCK, JR, to keep it invested and to distribute the net income therefrom and the principal itself as follows: 1. To pay my said grandson the net income thereon. 2. Upon the death of my grandson, WILLIAM K. WHITLOCK, JR. the Trust shall continue for the benefit of my great-grandson, WILLIAM K. WHITLOCK, III and my great-granddaughter, CATLIN A. WHITLOCK, equally, share and share alike, to keep it invested and to distribute the net income therefrom and the principal itself as follows: A) To pay my said great-grandchildren the net income thereon. B) When my said great-grandchildren, obtain the age of Twenty- }; ~ ', ~ ~~ J~~ five (25) years, their respective Trust shall terminate and the ~.~_~- principal and any income accumulated thereon shall be distributed to my said great-grandchild. C) In the event either my great grandchildren shall die during the term of their respective Trust, the Trust shall continue for their issue, equally, share and share alike, under the same terms and conditions. D) In the event either my great-grandchildren shall die during the term of their respective Trust, leaving no issue to survive, their Trust shall continue for my surviving great-grandchild, under the same term and conditions. THIRD: All the rest, residue and remainder of my estate, real, personal and mixed, of whatsoever kind and wheresoever situate, I give, devise and bequeath to my Trustees, in Trust for my daughter, ELIZABETH S. WHITLOCK, to keep it invested and to distribute the net income therefrom and the principal itself as follows: 1. To pay my said daughter the net income thereon. 2. Upon the death of my said daughter the Trust shall terminate and the principal and any income accumulated thereon shall be distributed as follows: FIFTY (50%) PERCENT to my Trustees, in Trust for my grandson, WILLIAM K. WHITLOCK, JR, Pursuant to the terms set fourth in this Will for the benefit of my " grandson. FIFTY (50%) PERCENT to my grandson, ROBERT H. WHITLOCK; and if deceased then to my great- granddaughter, KARLEE WHITLOCK and my great- grandson, TREVOR WHITLOCK, equally, share and share alike. FOURTH: All Federal Estate, State Inheritance Tax and other death taxes ~i~ payable because of my death, with respect to the property forming my gross estate passing under this will, including any interest or penalty imposed in connection with such tax, shall be paid from my residuary estate, before its division into shares, in the same manner as an administrative expense. FIFTH: I nominate, constitute and appoint my daughter, ELIZABETH S. WHITLUCK and RICHARD J. EMBERY, Executors of this my last Will and Testament and Trustees of the Trusts herein created. In the event either my daughter, ELIZABETH S. WHITLOCK or RICHARD J. EMBERY, shall predecease me, is unable to act or dies during the administration of the estate, or during the term of the Trust, then I nominate, constitute and appoint CHRISTINE EMBERY WALTZ, Executrix and Trustee in their place and stead. I order and direct that my Executors or their successor shall not be required to file bond to qualify or serve as Executors in any jurisdiction.
