LAST WILL AND TESTAMENT
I, EDWARD E. STANSI'IELD, of Upper A11en Township, Cumberland County,
Pennsylvania, being of sound and disposing mind and memory, do hereby make, publish and
declare this to be my Last Will and Testvnent, hereby revolting any and all former Wills or
Codicils made by me.
ITEM ONE
My Executrix shall pay all expenses ofmy last illness and funeral, costs ofadministration
including ancillary, costs of safeguarding and delivering legacies, and other proper charges
against my estate (excluding debts secured by real property or life insurance). MyExecutrix shall
also pay all estate and inheritance taxes assessed by reason ofmy death from the residue ofmy
estate. Interest and penalties concerning any tax shall be paid and charged in the same manner
as the tax. I waive for my estate all rights of apportionment or reimbursement for any payments
made pursuant to this article.
My Executrix's selection of assets to be sold to make the foregoing payments, and the tax
effects thereof, shall not be subject to question by any beneficiary.
My Executrix shall make such elections and allocations under the tax laws as my
Executrix deems advisable, without regard to the relative interests of the beneficiaries and
without liability to any person. No adjustment shall be made between principal and income or
hi the relative interests of the beneficiaries to compensate for the effect of elections or allocations
under the tax laws made by my Executrix or by the Trustee.
The balance ofmy estate which remains after the foregoing payments have been made
or provided for shall be disposed of as hereinafter provided.
ITEM TWO
I give such items of personalty as are itemized in a certain list attached hereto to the
persons named thereon, which list is signed and dated by me at the end thereof. I give al] other
persona] and household effects, automobiles, boats and collections, and any insurancepo]icies
thereon, not disposed of hereinbefore to my spouse, MARIANNE L. STANSFIELD, if my

spouse survives me by sixty (60) days, otherwise to my children who so survive me, without
substitution of issue, to be divided equally among them as they agree. My Executrix shall sell
any property as to which there is no agreement within sixty (60) days after admission of this will
to probate and shall add the proceeds to the residue of my estate.
ITEM THREE
If my said spouse survives me, in order to obtain the portion of the marital deduction
allowed in my estate by the Federal tax laws that will eliminate all Federal estate taxes payable
as a result of my death, my Executrix shall divide my residuary estate info two (2) portions
known as the "Marital Trust" and the "Family Trust". IfI amnot so survived by my said spouse,
I give, devise urd bequeath all of the rest, residue and remainder of my estate unto my Trustee
to be held or distributed by such Trustee under ITEM FIVE, B., hereof. If my said spouse and
I die simultaneously, or under circumstances whichrender it difficult to determine who died first,
my said spouse shall be deemed to have survived me for all proposes of this my Last Wi11 and
Testament.
The Marital Trust, which shall not be reduced by any taxes payable by reason of my
death, shall be the smallest pecuniary amount which, if allowed as a federal estate tax marital
deduction, would result in the least possible federal estate tax payable by reason of my death.
In determining the pecuniary amount, my Executrix shall consider the credit for state death taxes
only to the extent those taxes are not thereby incurred or increased and shall assume that none
of the Family Trust hereinafter established qualifies for a federal estate tax deduction. My
Executrix shall select and allocate the cash, securities and other property, including real estate
and interests therein, which shall constitute the trust, employing for the purpose values cun'ent
at the time or times of allocation. No property shall be selected as to which a marital deduction
would not be allowed if it were distributed outright to my said spouse. My said spouse shall have
the right by written notice to require the conversion of unproductive property in the trust to
productive property within a reasonable time. My Executrix. shall have the power to distribute
assets in cash or in kind to the Marital Trust and to the Family Trust and to select specific
property to be distributed to the Marital Trust or the Family Trust without regard to the income

tax basis on such property. In making these allocations, my Executrix shall use the value of the
assets as of the date or dates of distribution so that each distribution shares proportionately in the
appreciation or depreciation of assets between the date of my death and the date or dates for
distribution. However, no allocation of assets steall be made to the Marital Trust which does not
qualify for the marital deduction. To the extent that other assets which qualify for the marital
deduction are available, there shall not be allocated to the Marital Trust (a) assets with respect
to which an estate tax credit for foreign taxes paid is allowable or (b) any payments under an
employees trust or retirement annuity contract of the type described in Section 2039(c) of the
Internal Revenue Code or subsequent provisions of similar import or (c) United States Treasury
Bonds that are eligible for redemption at par value in payment of the Federal estate tax. In
computing the marital deduction all generation-skipping transferors for which l azn the "deemed
transferor" shall be disregarded.
The Marital Trust shall be held and disposed of as set forth in ITEM FOUR hereof. The
Family Trust shall be held and disposed of as set forth in ITEM FIVE hereof.
ITEM FOUR
MARITAL TRUST
My Trustee shall hold the assets received under ITEM THREE hereof, if any, for the
following purposes:
A. To pay the net income, at (east quarter-annually, to my said spouse, for life.
B. My Trustee may also pay to my said spouse such sums from principal as my
Trustee deems necessary or advisable from time to time for health and maintenance in reasonable
comfort, considering income from all sources larown to the Trustee.
C. Upon the death of my spouse, the principal of the Marital Trust shall be added to
or used to fund the Family Trust, except that, unless my spouse directs otherwise by will or
revocable trust, my Trustee shall first pay from the principal of the Mazital Trust, directly or to
the legal representative of my said spouse's estate as my Trustee deems advisable, the amount
by which the estate and inheritance taxes assessed by reason of the death of my said spouse shall
be increased as a result of the inclusion of the Marital Trust in my spouse's estate for such tax

purposes. My Trustee's selection of assets to be sold to pay that amount, and the tax effects
thereof, shall not be subject to question by any beneficiary.
Notwithstanding any other provision of this Will, my Executrix shall elect to have all of
the Marital Trust treated as qualified terminable interest property for federal estate tax pwposes.
I intend that the Marital Trust shall qualify for the federal estate tax marital deduction in my
estate.
Notwithstandingary other provision of this Wi11, all income ofthe Marital Trust accrued
or m~disil ibuted at the death of my said spouse shall be paid to my spouse's estate.
ITEM FIVE
FAMILY TRUST
My Trustee shall hold the assets received under ITEM THREE hereof, if any, for the
following purposes:
A. To pay the net income, at least quarter-annually, to my said spouse, for life; but
if the income so payable to my said spouse shall at any time or times exceed the amount which
the Trustee deems to be in my spouse's best interests (considering other income and means of
support ]crown to the Trustee, including the income from the Marital Trust, the desirability of
augmenting my spouse's separate estate, and any other circumstances and factors deemed
pertinent), the Trustee may pay any part or all of tke excess income to any one or more of my
descendants from time to time living, in equal or unequal proportions, according to their
respective needs and best interests, or accumulate the same and add it to principal as the Trustee
deems advisable.
B. Upon the death of my said spouse, or upon my death if my said spouse does not
survive me by sixty (60) days, any Trustee shall divide the Family Trust, including any amounts
added thereto from the Marital Trust, into two (2) equal shares, with one such share to be
distributed outright unto my daughter, LYhINE S. BECK, and one such share to be distributed
outright unto my daughter, LAURIE S, C~REENAWALT. In the event either of my said
daughters shall fail to survive me by sixty (60) days or fail to survive to take any distribution

Trustee in trust as follows:
1. I direct that my Trustee shall hold, invest and reinvest the same, collect the
income arising therefrom, and after paying all expenses incident to the management of
the trust, to use and apply as much of the income and principal as may be necessary in
the sole discretion of my Trustee, in equal shares, for the support, well-being and
education of the issue of my deceased daughter.
2. I direct that each of the issue of my deceased slaughter shall have the right
of withdrawal of his or her equal share of the principal of said trust in the following
manner: One-half (1/2) thereof as each attains the age of thirty (30) years; and the
remainder as each attains the age of thirty-five (35) years.
3. The share or undistributed share of either of my said daughters who shall
not be survived by issue shall be distributed by my said Trustee to my remaining daughter
or her issue, per stirpes, in accordance with the terms hereof.
4. Prior to the distribution ofthe principal, my said Trustee shall have the sole
discretion to invade the principal ofsaid trust for the support, maintenance and education
of the issue of such deceased daughter, regardless of age.
5. To the extent that the same is permitted bylaw, none of the beneficiaries
hereunder shall have any power to dispose of or to charge by way of anticipation any
interest given to such beneficiary; and all stuns payable to such beneficiaries hereunder
shall be free and clear of the debts, contracts, alienations and anticipations of the
beneficiaries, and all liabilities for levies and attachments and proceedings of whatsoever
kind, at law or in equity.
ITEM SIX
I nominate, constitute alid appoint my spouse, MARIANNE L. STANSFIELD, as
Execuri'ix of my estate. In The event she shall be unable or unwilling to serve in such capacity,
then 1 appoint my daughters, LYNNE S. BECK and LAURIE S- GREENA~UALT, or the
survivor of them, to act in such capacity.

ITEM SEVEN
I nominate, constitute and appoint my spouse, MARIANNE L. STANSFIELD, as
Trustee under the terms of this Last Will and Testament. In the event she shall be unable or
unwilling to serve in such capacity, then I appoint my daughters, LYNNE S. BECK and
LAURIE S. GREENAWALT, or the survivor of them, Co act in such capacity.
An}~ iudividua] Trustee who wishes to resign may appoint her successor provided the
appointment is of a bank or trust company. In the event all ofthe aforesaid named Trustees shall
be unable or unwilling to serve acid shall not have appointed a successor trustee, then 1 appoint
HERSHEY TRUST COMPANY.
A majority of al] income beneficiaries of the trust or trusts created under this Will may
from time to time remove any corporate trustee then acting for reasonable cause and substitute
another corporate trustee; provided, however, that such successor corporate trustee shall not be
a related or subordinate to any one or more of the beneficiaries hereunder within the meaning
of Internal Revenue Code §672(c) or successor provisions. When the removed corporate trustee
has received written notice of its removal and has been notified in writing by its successor
corporate trustee of the tatter's acceptance, the removed corporate trustee shall surrender all
books, records, and assets in its possession comprising any porti on of the trust or relating to the
trust. In no event shall the removed corporate trustee charge a "termination fee" based on a
percentage of trust assets as a result of such removal but shall be entitled only to charge such fee
as fairly represents the cost of any accowlting required by the beneficiaries or successor
corporate tnustee as part of such removal and substitution. The removed corporate trustee shall
not be relieved of liability until its successor has qualified and the removed trustee's accounting,
if applicable, has been settled or the beneficiaries and successor corporate trustee have otherwise
accepted an account stated in lieu of a for-ma1 accounting. As used in this paragraph, the term
"reasonable cause" includes, but is not linuted to: (1) poor investment performance, (2) the
removal of all current income benef curies from the state in which the corporate trustee is
licensed to conduct business as a corporate trustee, (3) inattention to the reasonable needs of the
beneficiaries, (4) lack of corrununication between trustee and beneficiaries, (5) inaccurate or

unclear transaction statements or statements of account, (6) conflicts between the corporate
trustee and the beneficiaries, (7) merger, acquisition or deteriorating financial condition of the
corporate trustee, or (8) high turnover of account officers assigned to any trust under Phis Wi11.
ITEM EIGHT
I direct that neither my Executrix nor my Trustee shall be repaired to file a bond to secure
the faithful perforn~ance of their duties in any jurisdiction.
ITEM NINE
I authorize and empower my Executrix and Trustee, in their sole and absolute discretion,
to purchase or otherwise acquire and retain any investments of which I die seized or any real or
personal property of any nature; to sell, lease, pledge, mortgage, transfer, exchange; dispose of
or grant options in regard to any or all property of any kind forming a part of my estate for such
terms and such prices as they may deem advisable; to borrow money for any purposes connected
with the protection and preservation of my estate; to mortgage or pledge any real or personal
property forming a part of my estate or to j oin in or secure the partition of same; to compromise
any claims or demands of my estate against others or of others against my estate; to make
distribution in kind and to cause any share to be composed of cash, property or undivided
fractional shares in property different in kind from any other share; to employ agents, attorneys
and proxies and to delegate to them such power as my Executrix and Trustee consider desirable
and to pay reasonable compensation for such services as may be rendered by such agents,
attorneys and proxies; and to execute and deliver such instruments as may be necessary to carry
out any of these powers. In addition, I direct that my Executrix, or her successor, shall have the
power to conduct an inventory of any safe deposit box necessary to the administration of my
estate.
I authorize and empower the Trustee of the trusts for the benefit of my spouse to retain
any residence or residences (houses, condominiums, apartments or cooperative apartments)
(hereinafter called "such residence"), as part of the principal of any or all of such trusts and for
such period or periods as they may deem advisable or proper while such trusts shall continue,
for the benefit of my spouse, and to:

A. Maintain such residence as a home for the benefit of my said spouse and
to pay such charges for maintenance, taxes, water charges, assessments, fuel, insurance,
repairs {including substantial repairs, alterations and additions), mortgage interest and
amortization, and general upkeep, in connection with such residence, fi-om the income
of such trusts (or the principal of the trust governed by the provisions of ITEM FOUR
hereof);
B. Permit my said spouse to occupy such residence without the obligation to
pay any rent or other charge for the occupancy or use thereof.
I direct that my Trustee shall not be tinder any liability or obligation for failing to sell or
otherwise dispose of such residence for the purpose of investing the proceeds of such sale or
disposition, or for failure to repair and maintain the same, or for any loss of, damage to or
depreciation in value thereof.

We acknowledge receipt of your May 13, 2008 letter. The news of Mx. Stansfield's death
on Mazch 16, 2008 came as a complete surprise. Mr. Stansfield's involvement with our
company dated back to the early 1970's and Ed was always held in high regard for his
contributions and loyalty as a tong time shazeholder. Our condolences go out to Ed's family.
To answer your question about the value of Mr. Stansfield's interest in National
Properties, Inc. as of Mazch 16, 2008, you should understand that National Properties, Ina (after
having sold its principal operating assets in January 2007) was dissolved on February 28, 2007
with all remaining corporate assetslliabilities transferred to the NPI Shareholders' Liquidating
Trust.
As confirmed by the 2007 Form 1099-DIV (copy enclosed), the value of Mr. Stansfield's
investment in National Properties, Inc., at the time of dissolution, was estimated to be
$908,664.00. As corporate assets were liquidated by the Trust, cash distributions were made to
Mr. Stansfield on a proportionate basis according to his ownership interest. During calendaz year
2007, Mr. Stansfield received a total of $803,400 in cash distributions (see enclosed Grantor Tax
Information), followed by an additional $24,000 in January 2008.
Therefore, as of the date of death, the remaining value of Mr. Stansfield's investment had
been reduced to:

Whereas, the Corporation has accepted the contribution of Ten Thousand
Dollars and No Cents ($10,000.00) from Mr. Edward E. Stansfield the Corporation
promises and agrees to pay an annual annuity of Nine Hundred Twenty Dollars and
No Cents ($920.00) to Mr. Edward E. Stansfield beneficiary, the first installment of Two
Hundred Thirty Dollars and No Cents ($230.00) to be paid October 10, 2007 and
quarterly thereafter during the life of the said beneficiary, all payments terminafing
with the death of the beneficiary, at which time, Asbury Foundation, Inc. shall be
released from all obligation incurred under this agreement. This annuity is

GIFT ANNUITY AGREEMENT
This Agreement is made between Edward P. Stansfield of 5225 Wilson Lane, Apartment 3144,
Mechanicsburg, Pennsylvania 17055 (hereinafter "the Donor") and The United Methodist
Stewardship Foundation of Central Pennsylvania, a Pennsylvania non-profit corporation and exempt
from federal income taxes as an organization described in Section 501(c)(3) and Section 170(c) of
the Internal Revenue Code of 1486 as amended (hereinafter "The Stewardship Foundation").
1. Transfer of Property by Donor
The Foundation certifies that the Donor, as an evidence of his/her desire to support the work
of China Outreach Ministries, Inc. of Mechanicsburg, Pennsylvania through The Foundation
and to make a charitable gift, on August 29, 2007 contributed the property described in
Supplement A attached hereto, the fair market value of which is $5,000.00.
2. Payment of Annuity
In consideration of and for said gift, The Stewardship Foundation hereby agrees to pay an
annuity of $460.00 per year from the date of this Agreement and to pay such amount to
Edward E. Stansfield (Annuitant) so long as he may live.
3. Payment Dates; First Installment
The annuity shall be paid in quarterly installments of $115.00. The first installment
shall be payable on December 10, 2007 in the amount of $230.00.
4. Birth Date of Donor
The Donor's date of birth is April 23, 1923.
5. Social Security Number of the Donor

6. Irrevocability; Non-assignability; Termination
This annuity is irrevocable and non-assignable, except that it may be assigned to The
Stewardship Foundation or the final chazitable beneficiary. The obligation of The
Stewardship Foundation to make payments under this Agreement shall terminate with the
regulaz payment preceding the death of the above-named Donor.
Uses and Disclosure Statement
All funds paid to The Foundation will be deposited into The Foundation's Gifr Annuity Fund
and will be invested in accordance with The Foundation's Investment Management Policy.
Any realized capital gains or losses in The Foundation's Gift Annuity Fund will be allocated
to The Foundation's Gift Annuity Reserve Fund until the Gift Annuity Reserve Fund equals
ten percent or more of the total outstanding gift annuities and will be separately invested by
the Foundation. The Foundation has established the Gift Annuity Reserve Fund to provide a
reserve to make gift annuity payments for those gift annuities that no longer have an account
balance in The Foundation's Gift Annuity Fund.
8. Uses and Purposes of Gift
At the death of the above-named Donor, the residue of the aforesaid gift shall be paid to
China Outreach Ministries, Inc., PO Box 35, Mechanicsburg, Pennsylvania.
9. If the stated birth date of the Donor should be found to be incorrect at any time, the amount
payable or benefit accruing under this Agreement shall be such as would have been provided
according to the correct birth date. If any underpayment or overpayment has been made on
account of such misstatement, any such underpayment shall promptly be paid to the Donor,
and any such overpayment shall be charged against the current and/or next succeeding
payment(s) to the Donor.
10. Entire Agreement; Governing Law
This Agreement and Supplement "A" constitutes the entire agreement of the parties. This
Agreement shall be governed by the laws of the Commonwealth of Pennsylvania.
The parties to this Agreement understand and acknowledge that:
(A) The donor has received The Stewardship Foundation's Gift Annuity Brochure and
The Stewardship Foundation's most recent Annual Report.
(B) The fair market value of the property to be transferred to The Stewardship Foundation will be
substantially in excess of the fair market value of an annuity and that the difference between
those values constitutes a charitable gift by me.

(C) A charitable gift annuity is not designed primarily as an investment but rather as a charitable
gift.
(D) The Stewardship Foundation's promise to pay an annuity is not insurance under the laws of
the Commonwealth of Pennsylvania, is not subject to regulations by the Pennsylvania
Insurance Department and is not protected by the Pennsylvania Life and Health Insurance
Guaranty Association under Article XVII of the Act of May 17, 1.921 (P.L. 682, No.284),
known as the Insurance Company Law of 1921 or other protective device.
(E) To obtain confirmation that The Stewardship Foundation as a Pennsylvania
qualified charity, is an organization described in Section 170(c) of the Internal
Revenue Code of 1986 (Public Law 99-514,26 U.S.C. Section 170(c) or any
successor provision; or to obtain audited financial statements showing that The
Stewazdship Foundation as a Pennsylvania qualified charity, has unrestricted and
unencumbered assets in the form of cash, cash equivalents or publicly-traded
securities of at least $100,000 plus one-half of the principal value of any annuities issued by
The Stewazdship Foundation and in effect at the time such statements are requested, the

above, The Stewazdship Foundation is a Pennsylvania qualified charity because it is also a
bona fide duly constituted religious corporation which forms an integral part of a bona fide
duly constituted religious institution which is tax exempt pursuant to the Internal Revenue
Code of 1986 (Public Law 49-514,26 U.S.C. Section 1 et seq.); and no part of the income of
which inures to the direct benefit of any individual; and the conduct of which is primarily
supported by funds solicited from its own membership, congregations or previous donors and
by fees charged for services rendered.

days in the initial payment period. Subsequent installments beginning on January 10,
2008 and continuing every quarter thereafter shall be in the full amount of $230.00.

This letter is in response to your request for information regarding, Mr. Edward
Stansfield, deceased, March 16, 2008.
Mr. Stansfield generously established a gifr annuity contract with Lebanon Valley
College on November 28, 2005, a copy of the agreement is enclosed. When Mr.
Stansfield passed away, the College received a severance amount of $9,757.10.
The Estate of Edward Stansfield can declare an additional deduction on the deceased
annuitant's final income tax return in the amount of $3,550.27. This amount is the
undistributed investment in contract. The annuitant's undistributed inveshnent in contract
equals the additional total amount of tax-free income that he would have received had he
lived to receive al] remaining distributions of tax-free income. This deduction should be
reported as a miscellaneous deduction, not a charitable deduction.

2. Charitable Gift Annuity Exemption Act. Pursuant to the Pennsylvania Charitable Gift
Annuity Exemption Act 127 of 1996 (the "Act"):
(a) Donor's Gift. The party hereto acknowledges and agree that, as of the date
hereof, (i) the fair market value of the Property is substantially in excess of the
fair market value of the Annuity, and (ii) the difference between the fair market
value of the Property and the fair market value of the Annuity constitutes a gift
by the Donor to the Co]lege for its charitable purposes;
(b) Principal Purpose. The Donor acknowledges that the College has advised the
Donor that a charitable gifr annuity is not designed primarily as an investment,
but rather as a chazitable gift;
(c) No Insurance. The Donor acknowledges that the promise by the College to pay
the Annuity is not insurance under the laws of Pennsylvania, is not subject to
regulation by the Insurance Department and is not protected by THE
INSURANCE COMPANY LAW OF 1921 (P.L. 682, NO. 284); or other
protective device;
(d) Additional Information. The Donor may obtain a copy of (i) the detem~ination
letter that confirms the status of the College under Section 170 (c) ofthe Internal

Messiah Village has been in existence for more than one hundred years. Donors may
contact Messiah Village's Chief Financial Officer at its main office at 100 Mt. Allen Drive,
Mechanicsburg, Pemrsylvania 17055 to obtain a copy of Messiah Village's organizational
documents showing its status as a charitable organization described in Section 170(c) of the
Internal Revenue Code of 1986 or any successor provisions, and a copy of its most can ent
audited financial statement.
Attached is a copy of certain mathematical calculations supporting this Charitable Gift
Annuity A~-eement. The calculations attached hereto are incorporated by reference and are
made a part of this Charitable Gift Annuity Agreement.

Certain Information Concerning Messiah Village Charitable Gift Annuities
Provided in Accordance with
The Philanthropy Protection Act of 1995
Messiah Village Charitable Gift Annuity payments are genera] obligations of Messiah Village.
Messiah Village has established a segregated Almuity Fund to provide for the payment of such
obligations. As of Jmze 30, 2001, the market value of the invested funds of the Annuity Fund
was in excess of $1,100,000. Monies of the Annuity Fund are invested in accordance with the
nonprofit corporation law of 1988, as vnended, of the Commonwealth of Pennsylvania and in a
manner deemed prudent and appropriate for such purpose. The financial statements of Messiah
Village are audited by independent accountants on an aanua] basis.
The Charitable Gift Amenity Agreement (the "Agreement") sets forth the aniounts and terms of
payments payable by Messiah Village to the na_ned arnmi+,aut (the "P,miuitant"). Tinder the
Agreement, a donor simultaneously makes a charitable gifr to Messiah Village and establishes an
obligation of Messiah Village to make pre-determined payments to the annuitant for life. Because
a charitable gift is involved, the annuity rates offered by Messiah Village are lower than those
available tlrrough cormnercial annuities offered by insurance companies and other financial
institutions. Furthermore, the fact the donor is making a charitable gift may entitle the donor to
income, gift and estate tax deductions.
At the time an Agreement is entered into, certain calculations are provided which identify that
portion of the face an~ount of the Agreement that is considered to be an immediate gift to
Messiah Village and other matters relating to the amtuity pa}nnents to be made including a
calculation of the portion of the am~uity payments that are considered to be a return of principal
and, as such, are considered to be free of tax for a specified period of time. Donors are advised
to consult his or her own advisors regarding the risks, tax treatment and other aspects of the
Agreement.
Common inveshnent funds managed by Messiah Village are exempt from registration
requirements of the federal securities laws, pursuant to the exemption for collective investment
funds and similar funds maintained by charitable organizations under the Philanthropy Protection
Act of 1995 (P.L. 104-62) (the "Act"). Certain information is provided above in accordance with
the requirements of the Act.

GIFT ANNUITY AGREEMENT
One Life -Donor is the Annuitant
Immediate Payments
This Agreement is made between Edward E. Stansfield, of 5225 Wilson Lane, Apt. 3144,
Mechanicsburg, PA 17055 (hereinafter "the Donor"), and The Heritage Foundation, of 214
Massachusetts Avenue, NE, Washington, DC 20002 (hereinafter "Heritage").
Transfer of Property by Donor
Heritage certifies that the Donor, as an evidence of his desire to support the work of Heritage
and to make a charitable gift, on December 1, 2005 contributed to Heritage the property
described in Schedule A attached hereto, the fair market value of which is $10,000.00.
2. Payment of Annuity
In consideration of the property transferred by the Donor, Heritage shall pay an annual annuity
of $880.00 from the date of this Agreement and shall pay such amount to the Donor so long as
he is living.
3. Payment Dates; First Installment
The annuity shall be paid in quarterly installments of $220.00. The first installment shall be
payable on December 31, 2005 in the amount of $74.13, prorated on the basis of the number of
days in the initial payment period. Subsequent installments beginning on March 31, 2006 and
continuing every quarter thereafter shall be in the full amount of $220.00.
4. Birth Date of Donor
The Donor's date of birth is April 23, 1923.
Irrevocability; Non-assignability; Termination
This annuity is irrevocable and non-assignable, except that it may be assigned to Heritage.
Heritage's obligation under this Agreement shall terminate with the regular payment preceding
the Donor's death.
6. Uses and Purposes of Gift
Upon Heritage's satisfaction of its obligation under this Agreement, an amount equal to the
residuum of the gift shall be used by Heritage for its general purposes.
7, Entire Agreement; Governing Law
This Agreement, together with Schedule A and the Notice to Pennsylvania Donors attached
hereto, constitutes the entire agreement of the parties. This Agreement shall be governed by the
laws of the Commonwealth of Pennsylvania.
This Agreement is effective as of December 1, 2005.

The undersigned, LAURIE S. GREENAWALT, being the surviving child of
Edward E. Stansfield, the Trustee of the Stansfield Family Trust and the Stansfield
Marital Trust under the Will of Edward E. Stansfield, and a remainder beneficiary
of both Trusts, do hereby confirm that I shall not, during the lifetime of my mother,
MARIANNE L. STANSFIELD, consent to the distribution of income (principal
invasion not being permitted pursuant to the terms of the Stansfield Family Trust)
to any person other than MARIANNE L. STANSFIELD. She is currently a resident
of Bethany Village, and the income from the Family Trust is needed and will be
used for her benefit, her best interests being served by receipt of that income.
