FINAL AND COMPLETE RELEASE
AND INDEMNIFICATION AGREEMENT
The undersigned (the singular to include the plural) hereby
acknowledges that the undersigned has this day received of and from
HOWARD HOUTZ (herein referred to as the "Personal Representative", the
singular to include the plural, and being the Executor of the Estate
of M. CHRISTINE CROWLEY, also known as MARY C. CROWLEY, deceased) in
cash and/or in kind the items set forth following the name of the
undersigned on the attached Schedule A which, by this reference, is
incorporated herein and made part hereof, all of which appeared in
Statement of Proposed Distribution contained in First and Final
Account, in full and complete settlement and satisfaction of all
claims, distributive shares and property (real and/or personal,
tangible and/or intangible) due the undersigned from such Estate.
IN CONSIDERATION WHEREOF, the undersigned hereby releases, quit-
claims and forever discharges the Personal Representative, together
with the respective heirs,~personal representatives, successors and/or
assigns thereof, and Decedent's Estate, of and from all manner of
actions, cause or causes of action, debts, dues, claims and demands
whatsoever, both at law and in equity, against the Personal Represen-
tative (individually, corporately and/or in a fiduciary capacity) and
against Decedent's Estate (whether as a legatee under the Will and/or
as an heir-at-law of Decedent and/or as a claimant and/or as a credi-
tor and/or in any other capacity which the undersigned has had or now
has or ought to have had) for or by reason of any act, matter, cause
or thing from the beginning of the world to the day of the date of
this document.

AND IN FURTHER CONSIDERATION WHEREOF, the undersigned hereby
promises and agrees to indemnify and hold harmless the Personal Repre-
sentative, together with the respective heirs, personal representa-
tives, successors and/or assigns thereof, and Decedent's Estate
against loss from any and all further claims, demands and actions, in
law or in equity or otherwise, that may hereafter at any time be made
or brought by the Commonwealth of Pennsylvania, or anyone in its
behalf, for any unpaid taxes due it and/or by the Internal Revenue
Service, or anyone in its behalf, for any unpaid taxes due it. The
undersigned waives any and all rights of exemption, both as to real
and personal property, to which the undersigned may be entitled under
the laws of this or any other state as against such claim for
reimbursement or indemnity.
The undersigned hereby directs the Clerk of the Orphans' Court
Division of the Court of Common Pleas of Mifflin County to enter
satisfaction in full of the award thereof upon the records of that
Court and consents to the discharge of the Personal Representative by
that Court without notice to, or necessity of joinder of, the under-
signed.
IN WITNESS WHEREOF, the undersigned has duly executed this
Receipt, Final and Complete Release and Indemnification Agreement,
INTENDING TO BE LEGALLY BOUND HEREBY.
