I direct the payment of all my just debts and funeral expenses as soon as conveniently may be after my decease. WHEREAS, pursuant to the aforesaid retained powers, the GRANTOR is desirous of further amending the aforesaid TRUST AGREEMENT as it relates to the appointment of a TRUSTEE and SUCCESSOR TRUSTEES; and WHEREAS, the aforesaid TRUST AGREEMENT originally appointed TRUSTEE, a corporate fiduciary with perpetual life and existence and therefore contained no specific or particular provisions as to the appointment of SUCCESSOR TRUSTEES; and WHEREAS, TRUSTEE is desirous of accommodating GRANTOR and cooperating with her with regard to her current desires; GRANTOR here amends the said TRUST AGREEMENT by the insertion and addition of the following Paragraph EIGHTH, as follows: EIGHTH: WITHDRAWAL OF TRUSTEE AND APPOINTMENT OF SUCCESSOR TRUSTEES Upon the formal withdrawal in writing of my TRUSTEE, which I do here and now direct to be done, and immediately effective upon such withdrawal by my said TRUSTEE, I hereby appoint my son, VANCE T. NAILOR, JR., as FIRST SUCCESSOR TRUSTEE, he to assume such powers and duties immediately and in full. In the event he is unable or unwilling to serve or to continue to serve in such capacity, then I appoint my daughter-in-law, E. PATRICIA NAILOR, as SECOND SUCCESSOR TRUSTEE. In the event she is unable or unwilling to serve or to continue to serve in such capacity, then I appoint my daughter, JUNE NAILOR SHANAHAN, as THIRD SUCCESSOR TRUSTEE. In the event she is also unable or unwilling to serve or to continue to serve in such capacity, I appoint my current TRUSTEE, PNC BANK, N.A., to serve in her place and stead.
