ORDER OF COURT
AND NOW, this 19th day of December, 2003, upon consideration of the
Objections to the Schedule of Proposed Distribution and First and Final Account of
Manufacturers and Traders Trust Company, Co-Trustee, with respect to the First and
Final Account of Manufacturers and Traders Trust Company, and Joseph D. Brenner, Jr.,
Co-Trustees for the Jane W. Brenner Trust UWO "C", and upon relation of Taylor P.
Andrews, Esq., that he might have a conflict if he were to act as auditor in this matter
because of his acquaintance with one or more of the interested parties, the appointment of
Taylor P. Andrews as auditor by order of court dated November 25, 2003, is vacated and
James D. Bogar, Esq. is appointed auditor in his place·

AT AN ORPHANS' COURT, Began on the 23ra day of December A.D. 2003, and holden at Carlisle,
in and for Cumberland County, before the Honorable George E. Hoffer, President and Sole Judge
the following proceedings were held to wit:
THE PETITION
IN RE: NANCY B. BLAKELY TRUST
AMENDED ORDER OF COURT
AND NOW, this 23ra day of December, 2003, the prior order of court dated December 19, 2003, is
hereby amended to read as follows: "Upon consideration of the Objections to the Schedule of Proposed
Distribution and First and Partial Account of Manufacturers and Traders Trust Company, Co-Trustee, with
respect to the First and Partial Account of Manufacturers and Traders Trust Company and Joseph D.
Brenner, Jr., Co-Trustees for the Nancy B. Blakely Trust, and upon relation of Taylor P. Andrews, Esq.,
that he might have a conflict if he were to act as auditor in this matter because of his acquaintance with one
or more of the interested parties, the appointment of Taylor P. Andrews as auditor by order of court dated
November 25, 2003, is vacated and James D. Bogar, Esq. is appointed auditor in his place."
