Atticks (hereinafter referred to as the "Recipient"), during the Recipient's life, an annuity amount equal to six percent (6%) of the net fair market value of the assets passing in trust as finally determined for federal tax purposes; provided, however, that the payout percentage (as adjusted to reflect the timing and frequency of the annuity payments) shall not exceed the percentage that would result in a 5 percent probability that the Trust corpus will be exhausted before the death of the Recipient determined as of the ddte of my death (or the alternate valuation date, if applicable). The annuity ambunFShalf be paid in equal quarterly amounts, at the end of each quarter, from income and, fo the'-extent that income is not sufficient, from principal. Any income of the Trust for a taxable year in excess of the annuity amount shall be added to principal. If the net fair tnark~t value of the Trust assets is incorrectly determined, then within a reasonable p,erjod after the value is finally determined for ?, federal tax purposes, the Tfustp~~; shallpp~y<~:~o the Recipient (in the case of an ,,• undervaluation) or receive from the Reciperati(i~ the case of an overvaluation) an amount equal to the difference between the annuity amount(s) properly payable and the annuity amount(s) actually paid. 2. Deferral Provision The obligation to pay the annuity amount shall commence with the date of my death,-but payment of the annuity amount may be deferred from such date until the end of the taxable year of the Trust in which occurs the complete funding of the Trust. Within a reasonable time after the end of the taxable year in which the complete funding of the Trust occurs, the Trustee must pay to the Recipient (in the case of an underpayment) or receive from the Recipient (in the case of an overpayment) the difference between:. (1) any annuity amounts actually paid, plus interest, compounded annually, computed;fgn,a.ny period at the rate of interest that the federal income lax regulations. under sectlom E64 of the Code prescribe for the Trust for ',, : p ~' , ~ ;~;~ d, ,,1'~ is r y;; ', ; ;, such computation for such period; and (2) the annuity amounts payable, plus interest, compounded annually, computed for any period at the rate of interest that the federal income tax regulations under section 664 prescribe for the Trust for such computation for such period. 3. Proration of the Annuity Amount In determining the annuity amount, the Trustee shall prorate the same on a daily basis for a short taxable year and for the taxable year ending with the Recipient's death. 4. Di ribu[ion to Charity Upon the death of the Recipient, the Trustee shall distribute all of the then principal and income of the Trust (other than any amount due the Recipient or the Recipient's estate under provisions above) to the J. r', Nedra Schilling Foundation ("Foundation")':~' If the Foundation is not an organization i' t~;JCI described in sections 170(c) and 2055(a) of,the.Code at the time when any principal or income of the Trust is to be distributed td it, then the Trustee shall distribute such principal or income to such one or more orgahizations described in sections 170(c) and 2055(a) as the Trustee shall select in its sole discretion. i; 5. The initial contribution, however, shall be deemed to consist of all property passing to the Trust by reason of my death. Prohibited Transactions The Trusteeshallmak.edistributions at such limo and in such manner as not to subject the Trust to tax under section 4942 of the Code. Except for the payment of the annuity amount to the Recipient, the Trustee shall not engage in any act ofself-dealing, as defined in section 4941(d) of the Code, and shall not make any taxable expenditures, as defined in section 4945(d) of the Code. The Trustee shall not make any investments that jeopardize the charitable purpose of the Trust, within the meaning of section 4944,of the Code and the regulations thereunder, or retain any excess business holdings, within ihe.meaning of section 4943(c) of the Code. 7. Taxable Year• The` taxable year of the Trust shall be the calendar year. ~ ,i j 8. Powers of Trustee' In addition to the powers, authorities and discretion granted to it by common law,. statu(g or under any rule of court, I hereby expressly authorize and empdwerihe~Trusf~ptgiexercise the powers set forth below. All ~> 3 powers granted to the Trustee, whether by law or by this Will, are subject to such limitations as are set forth elsewhere in this Will and are subject to the provisions of section 664 of the Code and the regulations and Treasury determinations thereunder, and all such powers shall be exercised only in a manner consistent with the qualification of this Trust as a charitable remainder annuity trust under section 664(d)(1) of the Code. (a) To invest and reinvest in real or leasehold property, tangible or intangible personal property, common trust funds, mutual funds, common ~.:.~, .: stocks, preferred stocks, bonds, and deberitilres, all as the Trustee may consider advisable or proper, without application to, or'th~'approval of, any court and without being restricted as to the character of any investrhent' of Trust funds. Provisions Regarding TfLcta (a) Any,Trustee: may;resign at any time. Such resignation shall be effective upon thirty (30) days written ~tptice delivered or mailed to the then current adult beneficiary of the Trust. If the portion of the annual fee payable to the Trustee is less than .the minimum annual commission then charged by the Trustee for administering similar trusts, the Trustee shall be entitled to receive from the principal of the Trust a fee equal to the difference between said minimum annual commission and the annual foe payable to the Trustee from the Trust. (d) Trustee compensation, taxes, and other reasonable Trust expenses shall be charged against the principal of the Trust, and no part thereof shall be apportioned against the amounts payable under paragraph B.1 of Item Fifth of this Will. Q1 10. Governin Law The operation of the Trust shall be governed ~~, by the laws of Pennsylvania. Subject to the exercise of reasonable care and diligence, to sell, convert, exchange or otherwise dispose of any stocks, bonds, securities, or other Trust property, to retain, invest and reinvest in real or leasehold property and tangible or intangible personal property, including commons trust funds, mutual funds, common stocks, preferred stocks, bonds, and debentures, all as the Trustee may consider advisable or proper, without application to, or the approval of, any court and without being restricted as to the character of any investment by any statute or rule of law or court governing the investment of trust funds. K. The Trustee may resign at any time, without stating cause, by petitioning a court of competent jurisdiction to designate and appoint a successor Corporate Trustee. In case of the merger or consolidation of the Trustee, the resultant company shall become successor Trustee hereunder without notice to any party. Any successor Corporate Trustee shall have absolutely no duty or responsibility to inquire into, review, or audit the 8 actions or accounts of any predecessor Trustee. Further, any successor Corporate Trustee is relieved of any liability with respect to the prior management and administration of any trust. L. The Trustee shall be entitled to receive annual compensation for its services hereunder in accordanre with its schedule in effect when the services are performed. In no event shall any Trustee who has made a contribution to this Trust ever receive any compensation thereafter. Nothing in this Agreement shall be construed to restrict the Corporate Trustee from investing the trust assets in a manner which could result in the annual realization of a reasonable amount of income or gain from the sale or disposition of trust assets. The Corporate Trustee shall not retain or invest in shares of its own stock or that of any corporation having control over it. 9 BOARD OF TRUSTEES Utilization and distribution of Trust assets shall be under the direction and control of the Board of Trustees acting in the manner prescribed by, and within the parameters of the intent of, the Trust. The Board of Trustees shall consist of no fewer than three (3) individuals and no more than seven (7) individuals and the initial Board of Trustees shall include the following individuals: A. Reverend Kathlyn Joy Kaufmann, the Settlor's Pastor, and a Pastor of Market Square Presbyterian Church B. Gary A. Of the initial Board of Trustees, two (2} Individual Trustees shall serve for an initial term of three (3) years, two (2) Individual Trustees shall serve for an initial term of two (2) years, and two (2) shall serve for one year. At the first meeting of the initial Individual Trustees, they shall by majority vote determine the term of each Individual initial Trustee. After the aforementioned terms, the Individual Trustees shall each serve three (3) years and this way the terms of the Individual Trustee shall be staggered with two of the Individual Trustees' positions coming up for election each year. 10 Elections of Individual Trustees shall be held at the annual meeting in order to fill the positions becoming vacant. Individual Trustees shall be elected by a majority of the Trustees. Terms shall begin and end at noon on the day after the annual meeting. Except for Individual Trustees appointed by the Settlor, no Individual Trustee may serve more than four (4) consecutive terms. Should an Individual Trustee be unable to complete his or her term for any reason, a new Individual Trustee shall be elected by the majority of the Board, to serve the remainder of the term. ORGANIZATION OF BOARD OF TRUSTEES The Board of Trustees shall be presided over by a Chairman, who shall be a member of the Board of -T-rustees; :by election -A#-#he majority of the Board at the annual meeting. The Chairman- shall si~rue a o~e_:(:ij=year-term begirihing at noon on the day after the day of his/her election.. A Secretary/Treasurer shalt be a member-of the Board of Trustees and shall be _. elected by a majority of the Board at the annual meeting. The SecretarylTreasurer shall be official record keeper for the Trust and to whom, and from whom, all official communications will be directed. MEETINGS OF BOARD OF TRUSTEES An annual meeting shall be held on the third Monday of February of each year, at such time and place as shall be provided for in the Trust Committee Rules. Additional meetings shall be held as are provided for in the Trust Committee Rules. Meetings shall be attended by the Individual Trustees and a representative of the Corporate Trustee. 11 BOARD ACTION The primary duty and function of the Board of Trustees shall be to determine how, and how much of the Trust assets (income and/or principal) shall be distributed for the Trust's charitable and religious purposes. Should all of the Trust's income not be distributed at the end of the annual accounting period, said funds shall become a part of and be added to the principal. Examples of appropriate recipients of Trust income and/or principal include the entities stated in the section entitled PURPOSE of this Declaration. These rules, which shall not be incorporated into, or in any way become a part of, this Declaration, are solely for the convenience and internal use of the Board of Trustees and shall not be inconsistent with, or attempt to amend or revise, any provision of this Declaration. The Trust Committee Rules may be changed only by affirmative vote of a majority of the individual Trustees. 12 VOTING BY BOARD OF TRUSTEES All Individual Trustees shall have equal power to participate in meetings and to vote. The Board of Trustees shall act by a vote of the majority of their number. Every act or decision of the Majority of the Board of Trustees shall be deemed an Act of the Board of Trustees. All action by the Board shall be taken by resolution at a meeting or by written agreement without a meeting duly attested to by the SecretarylTreasurer. In the absence of a resolution or a written agreement, no Individual Trustee shall have the power or authority to bind Trust property, to enter any contract, to pledge Trust assets, or otherwise to render the Trust pecuniarily liable. Every resolution shall be reduced to a written document attested by the Secretary/Treasurer. Notwithstanding the foregoing, the Settlor may, at her sole discretion, remove any director from the Board. 13 COMPENSATION OF BOARD OF TRUSTEES Individual Trustees shall serve without compensation. Notwithstanding the foregoing, the Chairman and/or Secretary/Treasurer may receive such compensation as the Board may, form time to time, deem reasonable and appropriate for their time spent on Tn~st duties. However, in no event shall any Trustee who has made a contribution to this Trust ever receive any compensation thereafter. Further, no amounts paid to the Chairman and/or Secretary shall reduce the compensation paid to the corporate Trustee pursuant to its schedule of fees.
