disposing mind, memory and understanding, do make, publish and declare this to be my
Last Will and Testament, hereby revoking and making void any and all Wills or
testamentary writings by me at any time heretofore made.
FIRST: I direct that all my debts, funeral expenses and inheritance taxes be
paid by my personal representatives, hereinafter named, as soon after my death as may
be practicable.
SECOND: In the event my friend, Elizabeth G. Atticks, who presently resides at
1124 Columbus Avenue, Lemoyne, Pennsylvania, is'llving on the 31st day following my
death, I give, devise and bequeath my borne, situate at 53 Circle Drive, Camp Hill,
Pennsylvania 17011, or any other home which 'may be my principal place of abode
together with all policies of insurance on said,r@,~lZy, to my friend, Elizabeth G. Atticks for
and during the term of her natural life so ,lpng as she pays all costs of maintenance
thereof, including taxes, assessments, dnsurarlp.e and ordinary repairs, said property to
be insured in a reasonable amount insuring the inyerest of the remaindermen as wall as
herself. Upon the death of Elizv;bejtS ~. Attiq J '~gct my Executor, hereinafter named,

to transfer said realty to the J. Nedra Schilling Fpundation.
THIRD: I give and bequeath my personal effects, my clothing, jewelry, silver
and China, to Elizabeth G. Atticks if she is living on the 31st day following my death.
FOURTH: I give, devise and bequeath all the rest, residue and remainder of my
Estate, be it real, personal and mixed,, of whatever nature and wheresoever the same
may be situate, as follows:
A. If Elizabath G. Atticks does not survive me, all thereof outright to the
J. Nedra Schilling Foundation.
B. If Elizabeth G. Atticks survives me, three-Fifths (3/5) thereof outright
to the J. Nedra Schilling Foundation and two-fifths (2/5) thereof to Dauphin Deposit Bank

664(d)(1) of the Internal Revenue Code (hereinafter referred to as "the Code").

Trust, the Trustee shall pay to Elizabeth G. Atticks (hereinafter referred to as the
"Recipient"), during the Recipient's life, an annuity amount equal to six percent (6%) of
the net fair market value of the assets passing in trust as finally determined for federal
tax purposes; provided, however, that the payout percentage (as adjusted to reflect the
timing and frequency of the annuity payments) shall not exceed the percentage that
would result in a 5 percent probability that the Trust corpus will be exhausted before the
death of the Recipient determined as of the ddte of my death (or the alternate valuation
date, if applicable). The annuity ambunFShalf be paid in equal quarterly amounts, at the
end of each quarter, from income and, fo the'-extent that income is not sufficient, from
principal. Any income of the Trust for a taxable year in excess of the annuity amount
shall be added to principal. If the net fair tnark~t value of the Trust assets is incorrectly
determined, then within a reasonable p,erjod after the value is finally determined for

federal tax purposes, the Tfustp~~; shallpp~y<~:~o the Recipient (in the case of an

undervaluation) or receive from the Reciperati(i~ the case of an overvaluation) an amount
equal to the difference between the annuity amount(s) properly payable and the annuity
amount(s) actually paid.
2. Deferral Provision The obligation to pay the annuity amount
shall commence with the date of my death,-but payment of the annuity amount may be
deferred from such date until the end of the taxable year of the Trust in which occurs the
complete funding of the Trust. Within a reasonable time after the end of the taxable year
in which the complete funding of the Trust occurs, the Trustee must pay to the Recipient
(in the case of an underpayment) or receive from the Recipient (in the case of an
overpayment) the difference between:. (1) any annuity amounts actually paid, plus
interest, compounded annually, computed;fgn,a.ny period at the rate of interest that the
federal income lax regulations. under sectlom E64 of the Code prescribe for the Trust for

such computation for such period; and (2) the annuity amounts payable, plus interest,
compounded annually, computed for any period at the rate of interest that the federal
income tax regulations under section 664 prescribe for the Trust for such computation for
such period.
3. Proration of the Annuity Amount In determining the annuity
amount, the Trustee shall prorate the same on a daily basis for a short taxable year and
for the taxable year ending with the Recipient's death.

Trustee shall distribute all of the then principal and income of the Trust (other than any
amount due the Recipient or the Recipient's estate under provisions above) to the J.

described in sections 170(c) and 2055(a) of,the.Code at the time when any principal or
income of the Trust is to be distributed td it, then the Trustee shall distribute such
principal or income to such one or more orgahizations described in sections 170(c) and
2055(a) as the Trustee shall select in its sole discretion.

made to the Trust after the initial contribution:. The initial contribution, however, shall be
deemed to consist of all property passing to the Trust by reason of my death.
Prohibited Transactions The Trusteeshallmak.edistributions
at such limo and in such manner as not to subject the Trust to tax under section 4942
of the Code. Except for the payment of the annuity amount to the Recipient, the Trustee
shall not engage in any act ofself-dealing, as defined in section 4941(d) of the Code, and
shall not make any taxable expenditures, as defined in section 4945(d) of the Code. The
Trustee shall not make any investments that jeopardize the charitable purpose of the
Trust, within the meaning of section 4944,of the Code and the regulations thereunder, or
retain any excess business holdings, within ihe.meaning of section 4943(c) of the Code.
7. Taxable Year• The` taxable year of the Trust shall be the

8. Powers of Trustee' In addition to the powers, authorities and
discretion granted to it by common law,. statu(g or under any rule of court, I hereby
expressly authorize and empdwerihe~Trusf~ptgiexercise the powers set forth below. All

powers granted to the Trustee, whether by law or by this Will, are subject to such
limitations as are set forth elsewhere in this Will and are subject to the provisions of
section 664 of the Code and the regulations and Treasury determinations thereunder, and
all such powers shall be exercised only in a manner consistent with the qualification of
this Trust as a charitable remainder annuity trust under section 664(d)(1) of the Code.
(a) To invest and reinvest in real or leasehold property,
tangible or intangible personal property, common trust funds, mutual funds, common

stocks, preferred stocks, bonds, and deberitilres, all as the Trustee may consider
advisable or proper, without application to, or'th~'approval of, any court and without being
restricted as to the character of any investrhent' of Trust funds.

(b) To sell, leas, improve, partition, mortgage, or exchange
any and all property at any time forming ~~ ar~,of the trust, in such manner, for such

(c) To vote in person or by proxy with respect to any shares
of stock or other securities held by it, for any purpose, and to talcs any action which the

trust, merger or reorganization and to hold investments in the name of a nominee.
(d) To borrow; or advance money for purposes connected with
the protection, preservation or improvement of any trust, and create one or more
mortgages on, or pledges of, any part or all of the property included in such trust,
wherever the Trustee shall deem the same in its judgment advisable.
(e) To pay, compromise, compound, extend, modify, renew,
adjust, submit to arbitration, sell qr release. any; claims or demands of the trust against
others or of others against such trust as ;the; Trustee shall deem advisable and to make
any payments in connection therewith. ,;~'(~.,,,,';

instruments in writing which the Trustee may; deem advisable to carry out any of the

jurisdiction where any such property may be Igcated. No party to any such instrument
in writing signed by the Trustee shall be boundto see the application by the Trustee of

any money or other property paid and delivered to it pursuant to the terms of such
instrument.
9. Provisions Regarding TfLcta
(a) Any,Trustee: may;resign at any time. Such resignation
shall be effective upon thirty (30) days written ~tptice delivered or mailed to the then
current adult beneficiary of the Trust.
(b) The Trustee of;;t?tlsr;Trust shall serve as such at all times
without bond. The Trustee shall not.be required Qo;file an inventory or annual report with
any court.

(c) i)Th~,~[rustp,~~p~hybe entitled to compensation as
calculated under its schedule of fees published ftom time to time. If the portion of the
annual fee payable to the Trustee is less than .the minimum annual commission then
charged by the Trustee for administering similar trusts, the Trustee shall be entitled to
receive from the principal of the Trust a fee equal to the difference between said
minimum annual commission and the annual foe payable to the Trustee from the Trust.
(d) Trustee compensation, taxes, and other reasonable Trust
expenses shall be charged against the principal of the Trust, and no part thereof shall be
apportioned against the amounts payable under paragraph B.1 of Item Fifth of this Will.

This Declaration of Trust is made on the ~ $" day of ~A.D., 1998,
by and between J. Nedra Schilling of Camp Hill, Cumberland County, Pennsylvania,
hereinafter referred to as "Settlor" and Dauphin Deposit Bank and Trust Company of
Harrisburg, Dauphin County, Pennsylvania, hereinafter referred to as "Corporate Trustee",
and individuals hereinafter named and their successors, hereinafter referred td as
Individual Trustees" and collectively as "Board of Trustees", to establish a Charitable
Trust under the terms and conditions stated below.

This Trust is Established exclusively to provide financial support to various
"charitable organizations" within the meaning of that term as described in the PURPOSE
provisions below. The Corporate -Trustee may receive and accept property, whether real,
personal, or mixed, by way of gift, bequest, or devise, from any person, firm, trust, or
corporation; to be held, administered, and disposed of in accordance with and pursuant
to the provisions of this Trust; but no gift, bequest, or devise of any such property shall
be received and accepted if it is conditioned or limited in such manner as to require the
disposition of the income or its principal to any person or organization other than a
"charitable organization" or for other than "charitable purposes" within the meaning of
such terms as defined in the PURPOSE provisions below, or as shall, in the opinion of
the Trustees, jeopardize the federal income tax exemption of this Trust pursuant to
section 501(c)(3) of the Internal. Revenue Code ("the Code") or the deductibility of
contributions to this Trust under sections 170(c), 2005, and 2522 of the Code. (Any
reference herein to a section of the Gode shall be deemed to include the corresponding
section of any future federal tax code.) The property transferred to this Trust shall be
sometimes referred to as the "Trust Property" or the "Trust Fund".
The Trust shall continue forever unless the Board of Trustees shall terminate it and
distribute all of the principal and income, which action may be taken by the Board of
Trustees in their discretion at any time; provided, however, that if and to the extent that

The Board of Trustees are authorized to form and organize anon-profit corporation
limited to the uses and purposes provided for in this Trust Agreement, such corporation
to be organized under the laws of any state or under the laws of the United States as
may be determined by the Board of Trustees. Such corporation when organized shall
have power to administer and control the affairs and property and to carry out the uses,
objects, and purposes of this Trust. Upon the creation and organization of such
corporation, if any, the Corporate Trustee is authorized and empowered to convey,
transfer, and deliver to such corporation all the property and assets to which this Trust

may be or become entitled. The charter, Bylaws, and other provisions for the
organization and management of such corporation, if any, and its affairs and property
shall be such as the Board of Trustees and the Corporate Trustee shall determine,
consistent with the provisions of this paragraph.
.PURPOSE
This Trust is created exclusively to advance charitable and religious purposes.
These purposes shall be effected by utilizing Trust assets to encourage and sponsor
various charitable and religious organizations. In particular, subject to the limitations
herein set forth, the Corporate Trustee may make payments or distributions from income

organizations as the Board of Trustees shall from time to time. select and determine. The
manner of making such paymehts or distribiafions 'shall -be in accordance with the
provisions under the BOARD ACTION and VOTING BY BOP;f~D OF TRUSTEES sections
below. Any payments or distributions hereunder shall be made only to or for the use of
"charitable organizations", within the meaning of that term as defined herein, and shall
be distributed by the Corporate Trustee for use solely within the United States or its
possessions.
To provide guidance to the Board of Trustees and the Corporate Trustee, the
Settlor identifies below the organizations to which she has contributed during her lifetime
and which to date have fulfilled the charitable and religious purposes the Settlor wishes
to support and promote through this Trust. Although the Board of Trustees is not bound

to select any one or more of the organizations referred to herein, the settlor hopes that
the Board of Trustees will give preference to these organizations as they make their
selection. The Settlor intends that priority shall be given to the first grouping of
organizations (the first eight organizations listed) over the second grouping. If
distributions are made to these organizations, they need not be equal drpro-rata, and can
be made to any one or more of such organizations, to the exclusion of the others, all in
the sole and absolute discretion of the Trustee.

In this Trust and in any amendments to it, references to "charitable organizations"
or "charitable organization" mean corporations, trusts, funds, foundations, or community
chests created or organized in the United States or in any of its possessions, whether
under the laws of the United States, any state or territory, the District of Columbia, or any
possession of the United States, organized and operated exclusively for charitable
purposes, no part of the net earnings of which inures or is payable to or for the benefit
of any private shareholder or individual, and no substantial part of the activities of which
is carrying on propaganda, or otherwise attempting, to influence legislation, and which do
not participate in or intervene in (including the publishing or distributing of statements),

any political campaign on behalf of any candidate for public office. It is intended and
directed that the organizations described in this paragraph shall be those which qualify
for exemption from federal income tax under section 501(c)(3) of the Code and
contributions to which are deductible under sections 170(c), 2055, and 2522 of the Code.
In this Trust and in any amendments to it, the term "charitable purposes" shall be
limited to and shall include only religious, charitable, scientific, literary, or educational
purposes within the meaning of those terms as used in section 501(c)(3) of the Code, but
only such purposes as also constitute public charitable purposes under the law of trusts
of Pennsylvania.
The Trust shall not engage in any activities which are unlawful under the laws of

ever be made to the Settlor of the Trust or to any member of her family or to any
Individual Trustee or member of the family of any Individual Trustee, except as fair
recompense for professional services such as legal, accounting, or investment services
actually rendered, it being the intention and direction of the Settlor that no part of the trust
fund or the net earnings thereof shall ever inure to the benefit of any private individual

within the meaning of the Code or the laws of Pennsylvania, or of any other state, district,
territory, or possession of the United States.
CORPORATE TRUSTEE
The Corporate Trustee shall be solely responsible for the custody and investment
of the Trust Property, which shall be deemed to include responsibility for the filing of
federal and state tax returns and forms in connection with this Trust. All other duties and
obligations of the Trustee hereunder, including the determihation of the recipient
charitable organization(s) and the distributions of income and/or principal to such
organization(s), shall be the responsibility of the Individual Trustees (collectively referred

POWERS AND DUTIES OF THE CORPORATE TRUSTEE
The Corporate Trustee shall have the following powers and shall fulfill the following
duties:
A. To receive income, profits, rents and proceeds of Trust property.
B. To accept property and funds, whether by gift, will or otherwise, as

additions to the principal of this Trust, so long as such property and funds
are not given contingent upon any condition adverse to the interests or
stated purposes and ideals of this Trust.
C. To hold the property of this Trust so long as is reasonable and
practicable and in the best interests of the Trust.
D. Subject to the exercise of reasonable care and diligence, to sell,
convert, exchange or otherwise dispose of any stocks, bonds, securities, or
other Trust property, to retain, invest and reinvest in real or leasehold
property and tangible or intangible personal property, including commons
trust funds, mutual funds, common stocks, preferred stocks, bonds, and
debentures, all as the Trustee may consider advisable or proper, without
application to, or the approval of, any court and without being restricted as
to the character of any investment by any statute or rule of law or court
governing the investment of trust funds.
E. To vote in person or by proxy all shares and securities held by the
Trust in accordance, with the rules and bylaws of the issuing corporation.

G. To file such forms or papers as may be required by any governmental _

H. -To render accorinting of its actions to the Board of Trustees and

I. To make, execute and deliver all instruments which may be
necessary and proper in carrying out the above-mentioned duties and
powers of the Corporate Trustee.
J. To pay income and/or principal at least annually to such one or more
organizations described in sections 170(c), 2055 and 2522 of the Internal
Revenue Code, in such amounts, at such times, and to such charitable
organizations as the Board of Trustees shall select."
K. The Trustee may resign at any time, without stating cause, by
petitioning a court of competent jurisdiction to designate and appoint a
successor Corporate Trustee. In case of the merger or consolidation of the
Trustee, the resultant company shall become successor Trustee hereunder
without notice to any party. Any successor Corporate Trustee shall have
absolutely no duty or responsibility to inquire into, review, or audit the

actions or accounts of any predecessor Trustee. Further, any successor
Corporate Trustee is relieved of any liability with respect to the prior
management and administration of any trust.
L. The Trustee shall be entitled to receive annual compensation for its
services hereunder in accordanre with its schedule in effect when the
services are performed. In no event shall any Trustee who has made a
contribution to this Trust ever receive any compensation thereafter.
OTHER RESTRICTIONS
Any other provisions of this instrument notwithstanding, the CorporateTrustee shall
distribute its income for each taxable year at such time and in such manner as not to
become subject to the tax on undistributed income imposed by section 4942 of the
Internal Revenue Code of 1954, or corresponding provisions of any subsequent Federal
tax laws. - - _ ~ '"'
Any other provisions of this iristrurrienYriotwithstarsdirrg; tfie Corporate Trustee shall
not engage in any act of self-dealing as defined in section 4941(d) of the Code or
corresponding provisions of any siibsequerrf Federai? tax laM+s; nor retain any excess
business holdings as defined in section 4943(c) of the Code or corresponding provisions
of any subsequent Federal tax laws; nor make any investments in such manner as to
incur tax liability under section 4944 of the Code, or corresponding provisions of any
subsequent Federal tax laws; nor make any taxable expenditures as defined in section
4945(d) of the Code, or corresponding provisions of any subsequent Federal tax laws.
Nothing in this Agreement shall be construed to restrict the Corporate Trustee from
investing the trust assets in a manner which could result in the annual realization of a
reasonable amount of income or gain from the sale or disposition of trust assets. The
Corporate Trustee shall not retain or invest in shares of its own stock or that of any
corporation having control over it.

BOARD OF TRUSTEES
Utilization and distribution of Trust assets shall be under the direction and control
of the Board of Trustees acting in the manner prescribed by, and within the parameters
of the intent of, the Trust.
The Board of Trustees shall consist of no fewer than three (3) individuals and no
more than seven (7) individuals and the initial Board of Trustees shall include the
following individuals:
A. Reverend Kathlyn Joy Kaufmann, the Settlor's Pastor, and a Pastor
of Market Square Presbyterian Church
B. Gary A. Stock, a friend of the Settlor and an experienced life

Of the initial Board of Trustees, two (2} Individual Trustees shall serve for an initial
term of three (3) years, two (2) Individual Trustees shall serve for an initial term of two
(2) years, and two (2) shall serve for one year. At the first meeting of the initial Individual
Trustees, they shall by majority vote determine the term of each Individual initial Trustee.
After the aforementioned terms, the Individual Trustees shall each serve three (3)
years and this way the terms of the Individual Trustee shall be staggered with two of the
Individual Trustees' positions coming up for election each year.

Elections of Individual Trustees shall be held at the annual meeting in order to fill
the positions becoming vacant. Individual Trustees shall be elected by a majority of the
Trustees. Terms shall begin and end at noon on the day after the annual meeting.
Except for Individual Trustees appointed by the Settlor, no Individual Trustee may serve
more than four (4) consecutive terms.
Should an Individual Trustee be unable to complete his or her term for any reason,
a new Individual Trustee shall be elected by the majority of the Board, to serve the
remainder of the term.
ORGANIZATION OF BOARD OF TRUSTEES
The Board of Trustees shall be presided over by a Chairman, who shall be a
member of the Board of -T-rustees; :by election -A#-#he majority of the Board at the annual
meeting. The Chairman- shall si~rue a o~e_:(:ij=year-term begirihing at noon on the day
after the day of his/her election..
A Secretary/Treasurer shalt be a member-of the Board of Trustees and shall be

elected by a majority of the Board at the annual meeting. The Secretary/Treasurer shall
serve a one (1) year term beginning at noon on the day after the day of his/her election.
The SecretarylTreasurer shall be official record keeper for the Trust and to whom, and
from whom, all official communications will be directed.
MEETINGS OF BOARD OF TRUSTEES
An annual meeting shall be held on the third Monday of February of each year, at
such time and place as shall be provided for in the Trust Committee Rules. Additional
meetings shall be held as are provided for in the Trust Committee Rules. Meetings shall
be attended by the Individual Trustees and a representative of the Corporate Trustee.

BOARD ACTION
The primary duty and function of the Board of Trustees shall be to determine how,
and how much of the Trust assets (income and/or principal) shall be distributed for the
Trust's charitable and religious purposes. Should all of the Trust's income not be
distributed at the end of the annual accounting period, said funds shall become a part of
and be added to the principal. Examples of appropriate recipients of Trust income and/or
principal include the entities stated in the section entitled PURPOSE of this Declaration.
From time to time, the Individual Trustees acting as the Board of Directors may delete as
recipients any of the specific charities mentioned if in their judgment said charity or
charities should be deleted andf additionally, may substitute other recipients if in their
judgment the substituted recipients_~te.,in~eBd„~o~th~;to receive funding so long,
however, as any additional or substituted ;recipi8nt- is- aaa4~;rgar~aation described in
sections 170(c), 2055 and 2522 of the Internal Revenue Code.

The Settlor may create, by a separate written; instrument-; te-t~~nown as the Trust
Committee Rules, internal rules for the Board of Trustees that adiirESS the ministerial and
administrative aspects of the Board's meetings, such as the role of the Chairman at
meetings, meeting agendas, procedure and protocol at meetings, and like subjects.
These rules, which shall not be incorporated into, or in any way become a part of, this
Declaration, are solely for the convenience and internal use of the Board of Trustees and
shall not be inconsistent with, or attempt to amend or revise, any provision of this
Declaration. The Trust Committee Rules may be changed only by affirmative vote of a
majority of the individual Trustees.

VOTING BY BOARD OF TRUSTEES
All Individual Trustees shall have equal power to participate in meetings and to
vote. The Board of Trustees shall act by a vote of the majority of their number. Every
act or decision of the Majority of the Board of Trustees shall be deemed an Act of the
Board of Trustees. All action by the Board shall be taken by resolution at a meeting or
by written agreement without a meeting duly attested to by the SecretarylTreasurer. In
the absence of a resolution or a written agreement, no Individual Trustee shall have the
power or authority to bind Trust property, to enter any contract, to pledge Trust assets,
or otherwise to render the Trust pecuniarily liable. Every resolution shall be reduced to
a written document attested by the Secretary/Treasurer. Such writing may be relied upon

by the Board.
DISCHARGEABILITY OF BOARD OF TRUSTEES
Any Individual Trustee shall be discharged from the Board upon delivery of his or
her written resignation. Otherwise, an Individual Trustee may only be discharged for legal
cause, as adjudicated by the appropriate Court or Courts. Notwithstanding the foregoing,
the Settlor may, at her sole discretion, remove any director from the Board.

COMPENSATION OF BOARD OF TRUSTEES
Individual Trustees shall serve without compensation. Notwithstanding the
foregoing, the Chairman and/or Secretary/Treasurer may receive such compensation as
the Board may, form time to time, deem reasonable and appropriate for their time spent
on Tn~st duties. However, in no event shall any Trustee who has made a contribution to
this Trust ever receive any compensation thereafter. Further, no amounts paid to the
Chairman and/or Secretary shall reduce the compensation paid to the corporate Trustee
pursuant to its schedule of fees.
PERSONAL LIABILITY

BOND
No Individual or Corporate Trustee shall be required to post any bond or surety for
the faithful performance of his or her duties under this Trust.
MISCELLANEOUS
This Trust shall be irrevocable. However, this Trust may be amended at any time
or times by written instrument or instruments signed and acknowledged by the Board of
Trustees, provided that no amendment shall authorize or allow the Board of Trustees to
conduct the affairs of this Trust in any manner or for, any purpose contrary to the

provisions of Section 501(c}(3) of the Code or inconsistent with the deductibility of
contributions to this Trust under Sections 170(c), 2055, and 2522 of the Code. An
amendment of the provisions of this paragraph (or any amendment to it) shall be valid
only if and to the extent that such amendment further restricts the Trustee's amending
power. All instruments amending this Trust shall be noted upon or kept attached to the
executed original of this Trust Agreement held by the Corporate Trustee.
The Board of Trustee's powers and the Corporate Trustee's powers, whether
granted by law or by this Trust Agreement, are exercisable in connection with this Trust
solely in the fiduciary capacity consistent with and in furtherance of the charitable
purposes of this Trust as herein specified an not otherwise.
