COMPLAINT
1. The plaintiff, Cumberland Valley Rental, is a business located at 111 W. King Street,
Shippensburg, Cumberland County, Pennsylvania, 17257.
2. The defendant, Harrisburg Taxi Cab & Baggage Co., Inc., is a corporation with a place of
business located at 50 Market Street, Lemoyne, Cumberland County, Pennsylvania,
17043.
3. On May 2, 2001, the parties entered into a written contract with an effective date of May
15, 2002, for the rental and cleaning of uniforms for the employees of the defendant,
Harrisburg Taxi Cab and Baggage Co., Inc., in Lemoyne, Pennsylvania. A copy of the
contract is attached hereto as Exhibit A.
4. The defendant, Harrisburg Taxi Cab and Baggage Co., Inc., breached the contract by
refusing to submit payment for services provided. A copy of the last statement submitted
to the defendant is attached hereto as Exhibit B.
5. As a result of the breach of contract y the defendant, Harrisburg Taxi Cab & Baggage
Co., Inc., the plaintiff, Cumberland Valley Rental, has sustained a loss for total damages in
the amount of$9,833.41, plus costs.
WHEREFORE, the plaintiff claims of the defendant the sum of $9,463.10, plus costs, an amount
requiring compulsory referral to arbitration under the local rules of court.

ANSWER WITH NEW MATTER
AND NOW, this 9th day of June, 2004, come Defendants, Harrisburg Taxicab &
Baggage Company, a Pennsylvania corporation, by and through its attorneys, Killian &
Gephart, to file this Answer With New Matter, and in furtherance thereof hereby avers the
following:
1. Admitted.
2. Admitted in part, denied in part. It is admitted that Harrisburg Taxicab &
Baggage Company is a corporation organized under the laws of the Commonwealth of
Pennsylvania and was located at 50 Market Street, Lemoyne, Cumberland County,
Pennsylvania, until it ceased operations in March of2003. By way of further answer, the
contract in question was assigned to West Shore Regional Transportation, Inc., a
Pennsylvania corporation, which operated at the same location until it ceased operations
on March 31, 2004.
3. Admitted.
4. This averment poses a question oflaw to which no responsive pleading is
required, and therefore is deemed denied pursuant to Pa.R.C.P. 1029(d). By way of
further answer, it is admitted that a copy of the last billing statement, dated April 23,
2004, which was submitted to West Shore Regional Transportation, Inc. is attached to the
complaint as Exhibit "B".
5. This averment poses a question oflaw to which no responsive pleading is
required, and therefore is deemed denied pursuant to Pa.R.C.P. 1029(d).
NEW MATTER
6. Timely billing for monies owed is a material obligation under the contract.
7. The liquidated damages provision of Paragraph 7 of the contract (40% of
the "total regular weekly rental" for any remaining term, in addition to the current
replacement value of any gannent not returned to the company) is not rationally related to
the losses Cumberland Valley Rentals would suffer upon breach of the contract, and
therefore is an unlawful penalty rather than a lawfulliquidlllted damages provision.
8. The $5,872.51 charge dated March 22, 2004, as shown on Exhibit B of the
Cornplaint, is not a timely charge, nor does it accurately represent charges for services
rendered by Cumberland Valley Rentals to West Shore Regional Transportation, Inc.
9. The $429.00 charge dated April 20, 2004, as shown on Exhibit B of the
Complaint, is not a timely charge, nor does it accurately represent charges for services
rendered by Cumberland Valley Rentals to West Shore Regional Transportation, Inc.
10. The Defendants raise the affirmative defense of consent.

11. The Defendants raise the affirmative defense of estoppel.
12. The Defendants raise the affirmative defense of justification.
13. The Defendants raise the affirmative defense of waiver.
WHEREFORE, Defendants respectfully request this Honorable Court to dismiss
Plaintiffs Complaint for all of the above-stated reasons.

but has since declined to do so.
5. Post & Schell has not entered its appearance in this matter.
6. The case presently stands where the Plaintiffs won an Arbitration Award in
the amount of $9,585.41 on October 25,2004. Defendant did not appeal this decision.
A Praecipe for entry of Judgment has not been filed in this matter, so it this matter
remains open,
7, Given that this matter is nearly concluded, withdraw of our appearances
will not delay this proceeding.

1. On June, 7, 2005, The Law Firm of Killian & Gephart, LLP, and Steven K.
