ITEM I: I direct that my funeral be conducted in a manner corresponding with my estate and situation in life, and that all my just debts and funeral expenses be fully paid as soon as conveniently may be done after my decease. I further direct that my burial be in the Mt. Zion Cemetery in Monroe Township, Pennsvia, and that my funeral be under the direction of the Hollinger Funeral Home, Mount Holly Springs, Pennsylvania. ITEM II: All the rest, residue and remainder of my estate, whether real, personal or otherwise, and wheresoever situate I give, devise and bequeath to my beloved wife, Jane Irene Murphy Myers, providing she survives me by ninety (90) days. In the event that my wife predeceases me or does not survive me by ninety (90) days, then I give, devise and bequeath all the rest, residue and remainder of my estate in every nature and wheresoever situate in equal shares to my children, Judith E. Wagner, Bpnita F. Meyer and Michael E. Garland, Sr., who survive me, to share and share alike. Should any of my children predecease me, I devise and bequeath the share of such child to my surviving issue, per stirpes. ITEM III: I appoint my Executrix and her successors guardian of any property which passes, either under this will or otherwise, to a minor and with respect to which I am authorized to appoint a guardian and have not otherwise specifically done so, provided that this appointment of a Page 1 of 4 Pages guardian shall not supersede the right of any fiduciary in its discretion to distribute a share where possible to the minor or to another for the minor's benefit. Such guardian shall have the power to use principal as well as income from time to time for the minor's support and education (including college education, both graduate and undergraduate) without regard to this or her parent's ability to provide for such support and education, or to make payment for these purposes, without further responsibility, to the minor or to the minor's parent or to any person taking care of the minor. ITEM IV: I direct that my Executrix retain William T. Smith, Esquire, to aid in the administration of my estate. ITEM V: I nominate, constitute and appoint my beloved wife, Jane Irene Murphy Myers, to be and act as Executrix of my estate. In the event my wife cannot serve for any reason, then and in that event I nominate, constitute and appoint my children, Judith E. Wagner, Bonita F. Meyer and Michael E. Garland, Sr., to be and act as Co-Executors. I further direct that my Executor shall not be required to post a bond in this or any other jurisdiction. ITEM VI: In addition to powers given them by law, all fiduciaries acting under this Will, whether or not named herein, shall have the following powers applicable to all property held by them, effective without court order and until actual distribution. A. To retain any or all of the assets of my estate, real or personal, without regard to any principle of diversification or risk; B. To sell at public or private sale, to exchange, or to lease for any period of time, any real or personal property, and to give options for sales, exchanges, or leases, for such prices and upon such terms or conditions as they deem proper; C. To invest in all forms of property (including stock, common trust funds and mortgage investments funds whether maintained by my corporate fiduciary or others), without restriction to investments authorized for Pennsylvania fiduciaries, as they deem proper without regard to any principle of diversification or risk; D. To make distribution in cash or kind, or partly in cash and partly in kind, and in such manner as they determine, and at valuations finally to be fixed by them; Page 2 of 4 Pages E. To allocate receipts and expenses to principal or income or partly to each as they from time to time deem proper in their sole discretion; F. To compromise any claim or controversy; G. To borrow money from any person or institution, and to mortgage or pledge any or all real or personal property as they in their sole discretion shall choose, without regard for the dispositive provisions of this instrument; H. To carry on any business owned or controlled by me at my death for whatever period of time they shall deem proper, and to do any and all things they deem necessary or appropriate, including the power to incorporate the business, the power to borrow and to pledge assets contained in my estate as security for such borrowing, and the power to close out, liquidate, or sell the business at such time and upon such terms as to my personal representatives shall seem best; I. To choose the alternate valuation date for federal estate tax purposes, without regard to whether the size of any marital deduction share will be increased or decreased thereby, and without requiring reimbursement. ITEM VII: I direct that all of my estate, inheritance and other taxes of the nature thereof, together with any interest and penalties thereon becoming payable because of my death with respect to the property constituting my gross estate, for death tax purposes, whether or not such property passes under this Will, shall be paid from the principal of my residuary estate. No person receiving or having any beneficial interest in any property, whether under this Will or otherwise, shall at any time be required to contribute to or refund any part thereof.
