Plaintiff CitiFinancial Services, Inc. (hereinafter "Plaintiff' or "Lender") is a consumer lender with an office located at 208 S. Conestoga Drive, Shippensburg, Pennsylvania 17257. 2. Defendant Mona Pensinger (hereinafter "Defendant" or "Borrower") is an individual who resides at 32 Airport Road, Shippensburg, Pennsylvania 17257. 3. On February 5, 2009, Plaintiff and Defendant entered a written loan agreement, the Disclosure Statement, Note and Security Agreement attached as Exhibit A (hereinafter "the Loan Agreement"). 4. The account number of the Loan Agreement entered between Plaintiff and Defendant on February 5, 2009, is 364919. DM EAST #11785934 v1 5. Pursuant to the terms of the Loan Agreement, Plaintiff extended a loan in the original principal amount of $6,073.10 to Defendant. Defendant agreed to repay the loan with interest over a term of sixty (60) months at a rate of $138.15 per month. 6. The Loan Agreement stipulates that "[i]f Borrower defaults, Lender may require Borrower to repay the entire unpaid Principal balance and any accrued interest at once." 7. The Loan Agreement defines "default" as, among other things, "Borrower does not make any scheduled payment on time." 8. Defendant has made no payments on the loan since March 13, 2009, despite the fact that she agreed to make monthly loan payments in the amount of $138.15 9. Defendant is in default under the terms of the Loan Agreement, as she is in arrears at least 5 payments. 10. The Loan Agreement further provides that upon default "[borrower] may also be required to pay reasonable attorneys' fees, court costs ...." WHEREFORE, Plaintiff demands judgment in the amount of $6270.71, plus interest, costs and reasonable attorney's fees against Defendant Mona Pensinger, and any other relief the Court deems appropriate. Byway of further answer, the loan agreement of November 17, 2007, resulting in loan no. 354043, provided for $2,700.65 in finance charges for a total amount to be paid of $8,550.70. Of the total amount financed by the February 5, 20091oan agreement, $5,813.03 was paid toward the remaining balance of loan no. 354043. The remaining amount financed by the February 5, 2009 loan agreement was DMEAST #12287775 v1 3 $259.92, and consisted of $94.97 cash to Pensinger, and $164.95 for a life insurance policy. Pensinger acknowledged in the agreement of February 5, 2009 that "[t]he overall cost of refinancing an existing loan balance maybe greater than the cost of keeping the existing loan and obtaining a second loan for any additional funds borrower wishes to borrow." A true and correct copy of the February 5, 2009 Disclosure Statement, Note and Security Agreement is attached as Exhibit A. 17. CitiFinancial is without information or knowledge as to the truth of the averments of Paragraph 17, and therefore denies them. 18. Denied as a conclusion of law to which no response is required. ("CitiFinancial"), b? end' Xj through its undersigned counsel, and files this Motion for Summary Judgment pursuant to Pennsylvania Rule of Civil Procedure 1035.2. In support thereof, CitiFinancial avers as follows: I. PRELIMINARY STATEMENT 1. On February 5, 2009, Mona Pensinger ("Defendant") entered into a written loan agreement ("2009 Loan Agreement") with CitiFinancial for the amount of $6,073.10. (See 2009 Loan Agreement, Ex. B to the Reply.)' A true and correct copy of the 2009 Loan Agreement is furthermore attached hereto as Exhibit 1. Defendant used the proceeds of this loan ("2009 Loan") to pay off the balance of a previous loan ("2007 Loan") which she Defendant filed a pleading on October 7, 2009, subsequent to CitiFinancial's complaint of September 9, 2009 ("Complaint"), titled simply "Reply." Said pleading did not respond directly to any of the averments of the Complaint but rather appeared to assert new matter and counterclaims. For the purposes of this motion for summaryjudgment, CitiFinancial shall refer to this October 7, 2009 pleading as the "Reply." A true and correct copy of the Reply is attached hereto as Exhibit 4. DMEAST #12446860 v6 had also obtained from CitiFinancial, pursuant to a written agreement dated November 19, 2007 ("2007 Loan Agreement"). (See Reply, 119-15. See also 2007 Loan Agreement, Ex. D to the Reply.) The 2009 Loan Agreement provided Defendant with a lower monthly payment than that provided by the 2007 Loan Agreement. (Compare, 2009 Loan Agreement, Ex. B to the Reply with 2007 Loan Agreement, Ex. D to the Reply.) Nevertheless, Defendant subsequently made only one payment toward the 2009 Loan, (Reply, ¶ 5) and thereafter defaulted an the 2009 Loan Agreement with CitiFinancial. (See Complaint, ¶ 9.) CitiFinancial consequentially began the present action to recoup the money it lent to Defendant. 2. Defendant, proceeding pro se, filed a Reply on October 7, 2009 which, although not responsive to the allegations of CitiFinancial's complaint, avers the existence of the 2009 Loan Agreement and admits that Defendant made only a single payment toward the 2009 Loan. (Reply, 113, 5.) The Reply identifies no legal claim or defense against CitiFinancial, other than an allegation of "extortion and lying. ,2 (Reply, 118 ("Defendant claims extortion and lying as per Webster's Dictionary.')) However, it does contend that Defendant made periodic payments toward her 2007 Loan (Reply, 112,) and that despite these payments, the remaining balance on her 2007 Loan was $223.05 greater than the amount she originally borrowed. (Reply, 116.) The Reply fiuther contends that Defendant had requested an accounting of her payments made on the 2007 Loan, but that CitiFinancial did not comply with her request.! (See Reply, 17.) 3. In truth, Defendant's pleadings express nothing more than confusion over how the payments on her 2007 Loan were applied, and baseless suspicion that they might have been applied incorrectly. Notwithstanding Defendant's suspicion, CitiFinanciall applied 2 Defendant's Reply is hand-written in cursive script, and CitiFinancial is unable to determine with a degree of certainty whether the pertinent part of paragraph 18 reads "extortion and lying" or "extraction and lying." Giving Defendant the benefit of the doubt, CitiFinancial has assumed that Defendant has alleged "extortion," as an allegation of "extraction" would not seem to imply any wrongful conduct. DMEAST #12446860 v6 2 Defendant's payments toward her 2007 Loan balance in accordance with the 2007 Loan Agreement, and in any event it is undisputed that: (1) she has since entered into the 2009 Loan Agreement; (2) she does not deny her obligations under said agreement; and, (3) according to said agreement, she has been in default for over a year. II. STATEMENT OF UNDISPUTED FACTS 4. On November 19, 2007, Defendant entered into the 2007 Loan Agreement with Ciffinancial, which agreement was assigned the account number 354043. (See Reply, 19. See also 2007 Loan Agreement, Ex. D to the Reply.) 5. Pursuant to the terms of the 2007 Loan Agreement, CitiFinancial extended a loan in the original principal amount of $5,850.05 to Defendant, at an interest rate of 15.99 percent. (2007 Loan Agreement, Ex. D to the Reply.) Defendant agreed to replay the 2007 Loan with interest over a term of sixty (60) months at a rate of $142.23 per month. (7d.) The 2007 Loan Agreement provided for a total finance charge of $2,700.65 and indicated that the total amount of all payments would be $8,550.70. (7d.) 6. Between November 19, 2007 and February 5, 2009, Defendant made a number of payments toward repaying the $8,550.70 owed on the 2007 Loan. (See All Checks Made To Citi, Ex. C3 to the Reply: (reflecting one payment of $159.13 on January 15, 2008 and three payments of $150.00 made on March 7, March 28, and April 7 of 2008).) 4 3 There are two exhibits marked "C" attached to Defendant's Reply, the first titled "All checks are payments made to Citi on M&J account # 691511" ("All Checks Made To Citi") and the second titled "Pre-Close Loan Offer Summary" ("Pre-Close Summary") Ciffinancial will refer to each Exhibit C of Defendant's Reply by its title to avoid confusion. All Checks Made To Citi is a handwritten list of check numbers, dates and sums that purports to represent check payments made to CitiFinancial by defendant. 4 All Checks Made To Citi lists only four payments made toward the 2007 Loan between November 19, 2007 and February 5, 2009. However, the exhibit also includes the caveat that Defendant has only listed payments made by check, and that any cash payments made are not included. (See All Checks Made To Citi, Ex. C to the Reply.) DMEAST #12446860 v6 3 7. On February 5, 2009, Defendant entered into the 2009 Loan Agreement with CitiFinancial, which agreement was assigned the account number 364919. (See 2009 Loan Agreement, Ex. B to the Reply.) 8. Pursuant to the terms of the 2009 Loan Agreement, CitiFinancial extended a loan in the original principal amount of $6,073.10 to Defendant, at an interest rate of 12.99 percent. (Id.) Defendant agreed to repay the 2009 Loan with interest over a term of sixty (60) months at a rate of $138.15 per month. (Id.) 9. Defendant used most of the proceeds from the 2009 Loan to pay off the existing balance of the 2007 Loan, which balance had decreased from $8,550.70 to $5,813.03 at the time that Defendant entered the 2009 Loan Agreement. (See Reply, 119-15. See also Pre- Close Summary, Ex. C5 to the Reply.) Defendant applied an additional $164.95 of said proceeds toward the premium of a life insurance policy that Defendant elected to obtain pursuant to the 2009 Loan Agreement. (See 2009 Loan Agreement, Ex. B to the Reply. See also Pre-Close Summary, Ex. C to the Reply.) The remainder of said proceeds, in the amount of $94.97, was provided to Defendant as cash. (Pre-Close Summary, Ex. C to the Reply.) 10. The 2009 Loan Agreement provided for a lower monthly payment than the 2007 Loan Agreement. (Compare, 2009 Loan Agreement, Ex. B to the Reply with 2007 Loan Agreement, Ex. D to the Reply.) Nonetheless, Defendant made only a single payment toward her obligation under the 2009 Loan Agreement. (Complaint ¶ 8.6 Accord Reply, 15.) 5 The Pre-Close Summary, the second of two documents marked as Exhibit C to Defendant's reply, is a document summarizing the terms of the 2009 Loan Agreement on which Defendant's signature appears, acknowledging her review of said terms. 6 Because Defendant never filed an answer to CitiFinancial's Complaint admitting or denying the allegations therein, CitiFinancial deems the averments of its Complaint, and the authenticity of the documents attached as exhibits thereto, as admitted and, consequentially, undisputed. See Pa.R.C.P. No. 1029(b) ("Averments in a pleading to which a responsive pleading is required are admitted when not denied specifically or by (continued...) DMEAST #12446860 v6 4 11. By signing the 2009 Loan Agreement, Defendant promised to make monthly payments on her loan obligation to CitiFinancial. (2009 Loan Agreement, Ex. B to the Reply.) 12. The 2009 Loan Agreement defines CitiFinancial as the "Lender" and Ms. Pensinger as the "Borrower," and provides that "[i]f Borrower defaults, Lender !may require Borrower to repay the entire unpaid principal balance and any accrued interest at once." (2009 Loan Agreement, Ex. A to the Complaint.) 13. The 2009 Loan Agreement defines "default" as, among other things, "[b]orrower does not make any scheduled payments on time," and "[b]orrower' fails to fulfill any promise made under this agreement." (Id.) 14. Defendant has made no payments on the loan since March 13, 2009 and is consequentially in default under the terms of the 2009 Loan Agreement. (Complaint, ¶ 8; Reply, 15 (conceding that only one payment was made, on March 13, 2009).) (..continued) necessary implication."). See also Shields v. Hoffman, 204 A.2d 436, 4?7-38 (Pa. 1964) (holding that where appellant's answer contained new matter but did not specifically or by necessary implication deny the averments of the complaint, said averments are deemed admitted.); 3 Goodrich Amram 2d § 1029(b):2 ("Where a party does not respond to an opponent's pleading, the assertions in that pleading must be deemed admitted."). 7 Although both Defendant and Plaintiff cite to the 2009 Loan Agreement in their pleadings and attach it as an exhibit, the copy attached to Defendant's Reply as Exhibit B consists of the life insurance policy issued pursuant to the 2009 Loan Agreement and only the first of the three pages comprising the actual 2009 Loan Agreement, titled "Disclosure Statement, Note and Security Agreement." Consequentially, Exhibit B of Defendant's Reply does not include the cited language, which appears on the second page of the complete document. The copy of the 2009 Loan Agreement attached to the Complaint as Exhibit A and attached hereto as Exhibit 1 is the complete document. DMEAST #12446860 v6 5 III. PROCEDURAL BACKGROUND 15. CitiFinancial filed a civil complaint with the Magisterial District Court of Cumberland County on June 16, 2009 ("District Court Complaint"), averring that Defendant was more than 30 days past due on the 2009 Loan and seeking a judgment of $6,270.71. A true and correct copy of the District Court Complaint is attached hereto as Exhibit 2. The Magisterial District Court granted a default judgment on July 22, 2009. Defendant took an appeal to this Court on August 12, 2009. 16. In response to the appeal from the Magisterial District Court, CitiFinancial filed a Complaint with this Court on September 9, 2009. A true and correct copy of the Complaint is attached hereto as Exhibit 3. 17. Defendant filed a Reply on October 7, 2009 that neither 'responds to the averments of the Complaint with admissions or denials, nor states any preliminary objections to CitiFinancial's claims. Instead, the Reply appears to assert new matter and counterclaims. (See, generally, Reply.) A true and correct copy of the Reply is attached hereto as Exhibit 4. IV. ARGUMENT A. Summary Judgment Standard. 18. Pennsylvania Rule of Civil Procedure 1035.2 "provides that any party may move for summary judgment whenever there is no genuine issue of any material fact as to a necessary element of the cause of action, or concerning any defense which could be established by any additional discovery or expert report." Cunningham v. McWilliams, 714 A.2d 1054, 1056 (Pa. Super. 1998). 19. A court may properly grant a motion for summary judgment only where "there is no genuine issue of any material fact as to a necessary element of the cause of action or defense and it is clear that the moving party is entitled to judgment as a matter of law." Jones v. SEPTA, 772 A.2d 435,438 (Pa. 2001). DMEAST #12446860 v6 6 20. Summary judgment is also appropriate where the facts pled by the non- moving party do not state a cause of action upon which it might recover. See Burnside v. Abbott Laboratories, 505 A.2d 973, 980 (Pa. Super. Ct. 1985) (granting summary judgment where plaintiff's had failed to properly aver claims in their complaint); Ack v. Carroll gip. Authority, 661 A.2d 514,516-17 (Pa. Cmwlth. Ct.1995) (holding that the initial determination'in a motion for summary judgment is whether the opposing party has "alleged facts sufficient to establish a prima facie case," and that "as a matter of law, summary judgment is proper" where the opposing party has failed to do so). 21. In considering a motion for summary judgment, the court reviews the record "in the light most favorable to the non-moving party," and resolves all doubts as to the existence of a genuine issue of material fact in favor of the non-moving party. Manzetti, 776 A.2d at 945. However, summary judgment is warranted where the non-moving party "who will bear the burden of proof at trial has failed to produce evidence of facts essential to a cause of action or defense in which a jury trial would require the issues be submitted to a jury." Jones, 772 A.2d at 438 (citing Pa.R.C.P. No. 1035.2(2)) (citations and internal quotations omitted). B. Citiftancial Is Entitled To Summary Judgment On Its Casp-In-Chief, As No Genuine Issue Of Material Fact Exists As To Any Neces"ry Element Of Its Claim. (1) CitiFinancial Has Established That It Is Entitled To Relief. 22. To succeed on its breach of contract claim, CitiFinancial must establish: (1) the existence of a contract; (2) a duty imposed by the contract; (3) breach of that duty; and, (4) resultant damages. E.g., Corestates Bank v. Cutillo, 723 A.2d 1053, 1058 (Pa. Super. Ct. 1999). 23. It is undisputed that CitiFinancial and Defendant entered into a contract - the 2009 Loan Agreement - on or about February 5, 2009. (Reply, 13. Accord Complaint, 13.) DMEAST #12446860 v6 7 24. It is similarly undisputed that Defendant had a duty to repay the loan with interest over a term of sixty (60) months with an initial payment of $143.89 and fifty nine (59) subsequent payments of $138.15 per month. (2009 Loan Agreement, Ex B to the Reply. Accord Complaint's 5.) 25. Defendant breached her duty to repay when she ceased making payments after March 13, 2009. (Complaint, ¶ 8; Reply, 15 (conceding that Defendant made only one payment, on March 13, 2009).) 26. CitiFinancial was harmed by Defendant's breach in the amount of the unpaid balance of the loan plus interest accrued. (2) None Of The Factual Averments Of Defendannfs Reply Raise Genuine Issues Of Material Fact As To CitiF *aneiars Claims. 27. Defendant has not filed an answer to CitiFinancial's Complaint admitting or denying any of the averments therein.8 See Pa.R.C.P. No. 1029(a). As such; said averments are deemed admitted. See Pa.R.C.P. No. 1029(b) ("Averments in a pleading to which a responsive pleading is required are admitted when not denied specifically or by necessary implication."). See also Shields v. Hoffman, 204 A.2d 436, 437-38 (Pa. 1964) (holding that where appellant's answer contained new matter but did not specifically or by necessary implication deny the averments of the complaint, said averments are deemed admitted); 3 Goodrich Amram 2d § 1029(b):2 ("Where a party does not respond to an opponent's pleading, the assertions in that pleading must be deemed admitted."). 8 Although Defendant has filed a Reply to Ciffinancial's Complaint, the averments therein are more appropriately considered new matter rather than answers, as they allege facts without admitting or denying the averments of the Complaint. See Pa.R.C.P. No. 1030 ("A party may set forth as new matter any other material facts which are not merely denials of the averments of the preceding pleading."). DMEAST #12446660 v6 8 28. As a result of Defendant's failure to deny any of the averments of CitiFinancial's Complaint, no genuine issue of material fact remains as to CitiFinancial's claims and CitiFinancial is entitled to relief. See Cunningham, 714 A.2d at 1057 (finding the grant of summary judgment proper where the averments of the complaint were admitted' and as a result there remained no issue of material fact); City of Philadelphia v. Kenny, 369 A.2d 1343, 1349 (Pa. Cmwlth. Ct.1977) (finding that non-moving party's failure to specifically or by necessary implication deny the averments of the complaint "leaves no unresolved questions of fact which would render... summary judgment inappropriate"). 29. Setting aside Defendant's failure to directly respond to CitiFinancial's Complaint in accordance with Pennsylvania Rule of Civil Procedure No. 1029(a), none of the averments of Defendant's Reply deny by necessary implication the allegations of said Complaint, nor do they create any genuine issues of material fact as to CitiFinancial's claims. To the contrary, Defendant's averments regarding the 2009 Loan Agreement support CitiFinancial's contention that it is entitled to relief for Defendant's breach of contract. 30. Defendant's Reply admits the pertinent facts alleged by CitiFinancial's complaint. Defendant avers the existence of the 2009 Loan Agreement and the'; fact that she made only a single payment toward her obligation under that agreement. (See Reply, 13-5.) 31. Defendant's Reply makes several averments regarding the 2009 Loan Agreement not responsive to CitiFinancial's complaint. Defendant avers that: (1) the 2009 Loan Agreement provided for a lower interest rate than the 2007 Loan Agreement; and, (2) $6,073.10 of the proceeds from the 2009 Loan Agreement were used to pay off the balance of her obligation under the 2007 Loan Agreement. (Reply, 11 14-15.) These averments create no genuine issue of material fact as to CitiFinancial's claim that Defendant is in default pursuant to the 2009 Loan Agreement. DMEAST #12446860 v6 9 32. Defendant's Reply further alleges the following in regard to her 2007 Loan Agreement with CitiFinancial: (1) that said agreement was entered into on November 19, 2007; (2) that the amount financed was $5,850.05; (3) that Defendant made periodic payments toward the 2007 Loan; and, (4) that the $6,073.10 in proceeds that she received 'from the 2009 Loan Agreement to pay off the 2007 Loan was $223.05 greater than the original amount financed under the 2007 Loan Agreement. (Reply 116, 9-13, 16, 19.) None of these averments deny, expressly or by necessary implication, Defendant's obligation under the 2009 Loan Agreement, nor are they even relevant to same. As such, none can be said to raise a genuine issue of material fact as to CitiFinancial's claims. C. CitiFinanciai Is Entitled To Summary Judgment On Defend is Purported Counterclaims, As None Of The Averments Of Defendant's reply, Even When Read Liberally To Imply Allegations Not Expressly Made, Constitute Claims Upon Which Defendant Is Entitled To Judgment As A Matter Of Law, Nor Do They Raise Genuine Issues Of Material Fact. 33. The averments of paragraphs 7-8 and 16-18 of Defendant's Reply, when read in the context of the Reply as a whole, would seem to assert claims against CitiFinancial, though not ones which identify a legal basis under which Defendant is entitled to any relief. (1) Defendant's Averment That Site Has Request d Her Loan History On Three Occasions, And That Citi uncial Has Not Granted Her Response Is Not A Cognizable C, aim Upon Which Defendant Is Entitled To Judgment As', A Matter Of Law. 34. Defendant avers in paragraph 7 of her Reply that "Defendant has requested 3 times of past history of all loans and payments" and that her request has not been granted by "Citi." (Reply, 17.) 35. Paragraph 8 of Defendant's Reply "demands history of 41 accounts original and renewed accounts" including "all monies bankable to defendant and all monies paid by defendant, bankable by Citi." (Reply, 18.) DMEAST #12446860 v6 10 36. Defendant does not allege that CitiFinancial violated any law by failing to provide her loan history. Rather, Defendant appears to merely request said history, a request that CitiFinancial has already granted by attaching the loan history for the 2009 Loan to the June 16, 2009 District Court Complaint. (See, generally, District Court Complaint.) 37. Defendant identifies no authority obliging CitiFinancial to produce the loan history for the 2007 Loan, and said loan history is not material or relevant to the issue of whether Defendant is in default on her 2009 Loan. Nevertheless, CitiFinancial again provides as a courtesy to Defendant a true and correct copy of the loan history for the 2007' Loan ("Loan History"), attached hereto as Exhibit 5. 38. Defendant's request for her loan histories and claim that CitiFinancial has not provided said histories create no genuine issue of material fact as to either CitiFinancial's claim or Defendant's purported counterclaims and does not entitle her to reliefpursuant to any said counterclaim. See Burnside,, 505 A.2d at 980 (holding summary judgment proper where non-moving party has not alleged a claim upon which relief may be granted). (2) Defendant's Claim That, Despite Making Periodic Payments Toward Her 2007 Loan, She Still Had To Borrow A Greater Sum Than The Original Principal In Order Tp Pay It Off Is Not A Cognizable Claim Entitling Defendant to Judgment As A Matter Of Law. 39. Paragraphs 9-16 of Defendant's Reply avers that the amount she needed to borrow in 2009 in order to pay off the balance of her 2007 Loan was greater than the original amount financed by the 2007 Loan Agreement, despite the fact that she had been making periodic payments toward the 2007 Loan for fifteen months. (See Reply, ¶ ¶ 9.16.) 40. Defendant alleges no violation of law on the part of CitiFinancial in regard to the apparent increase in the amount she owed on the 2007 Loan despite her periodic payments. In fact, Defendant's Reply seems merely to seek an explanation. (See Reply, 116-8.) By way of explanation, CitiFinancial avers that it applied Defendant's payments, finance charges, late DMEAST #12446860 v6 11 charges and defer fees to the balance of the 2007 Loan in accordance with the terms of the 2007 Loan Agreement-9 41. If Defendant means to allege that she entered into the 2007 Loan Agreement based on some misrepresentation by CitiFinancial that balance of her 2007 Loan 9 CitiFinancial furthermore directs Defendant to the Loan History for the 2007 Loan, attached as Exhibit 5. Said Loan History is divided into two sections: a'chronological table of transactions occupying the bottom half of the page ("Transaction Table"), and a series of fields organized into four columns occupying the top half of the page ("Columns"). Under the 2007 Loan Agreement, Defendant was obliged to repay an amount financed of $5,850.05 plus a finance charge of $2,700.65 for a total amount of $8,550.70. (See 2007 Loan Agreement, Ex. D to the Reply.) Defendant made nine payments toward this obligation between November 19, 2007 and February 5, 2009, for a total amount paid of $1,123.13. See Loan History, Transaction Table Nos. 003, 006, 007, 009, 014, 016, 017, 018, 021. However, as a result of Defendant making her payments late in January, February, March, April, August, and October of 2008, a portion of these payments went toward late charges assessed in accordance with the terms of the 2007 Loan Agreement. See id., Transaction Table Nos. 003, 006, 007, 009, 016, 018. Late charges totaled $11.77, and consequentially only $1111.36 of the $1121.13 which Defendant paid went toward her obligation of $8,550.70. This reduced the amount owed on her loan to $7,439.34. However, Defendant was credited $2.13 toward her late charges in November of 2007, bringing the balance of her loan to $7,43'7.21. See id., second Column, first highlighted item, ("late charge 2.13"). See also id., Transaction Nos. 018-021 (indicating a $2.13 decrease in the balance between October 27, 2008 and November 26, 2008, and reflecting a final balance amount of $7,437.21 on November 26, 2008). Defendant deferred payments on her loan obligation in June and November of 2008. See id., Transaction Table Nos. 012-013, 019-020. Consequentially, and in accordance with the 2007 Loan Agreement, she was charged a defer feed of $175.76. See id., third Column, second highlighted item ("defer fee 175.76"). This increased the amount she owed to $7,612.97. She was also charged a final late fee of $3.52 for making no payments after November of 2008, see id., Transaction Table No. 024, which increased the amount she owed to $7,616.49. However, because Defendant used the proceeds of the 2009 Loan to pay off the balance of her 2007 Loan prior to the expiration of the sixty month term, she was refunded a portion of her finance charge equal to $1,707.41, see id., second Column, second highlighted item ("interest refund 1707.41 and a portion of her life insurance premium equal to $96.05, see id., third Column, first highlighted item ("life ins ref amt 96.05"), reducing the amount she owned to $5,813.03. Defendant received $6,073.10 in proceeds from the 2009 Loan Agreement, $5,813.03 of which was applied to the remaining balance on her 2007 Loan, $164.95 of which went toward the premium on a new life insurance policy, and the remainder of which was paid to Defendant as cash. (See Pre-Close Summary, Ex. C to the Reply.) DMEAST #12446860 v6 12 could never increase over time, such allegation cannot support a claim for relief 10 The uncontested terms of the 2007 Loan Agreement provide that the finance charges on a loan of $5,850.05 would be $2,700.65, and that the total of all payments, including said finance charges, would be $8,550.70. Indeed, as these terms make clear, the amount defendant would owe on the $5,850.05 that she financed would increase by a finance charge of $2,700.65. Based on these uncontested terms, it is no surprise that the balance of Defendant's 2007 loan was still $5,813.03 after fifteen months of irregular payments. (See Pre-Close Summary, Ex. C to the Reply.) To the degree that the merit of any alleged "advice" from CitiFinancial to refinance was contradicted by the undisputed terms of the loan agreements, Defendant cannot claim to have reasonably relied upon it. See HCB Contractors v. Liberty Plaza Hotel Assocs., 539 Pa. 395, 398-99 (1995) (holding that claims, including fraud claims, are barred by the parol evidence rule where the underlying allegations are contradicted by the express terms of contract.) 42. Even if Defendant were to claim that some or all of her voluntary payments on the 2007 Loan were wrongfully made, and that she was not legally obliged to make said payments under the 2007 Loan Agreement, such claim for relief would be barred by the voluntary payment doctrine. That doctrine provides that "[w]here under a mistake of law, one voluntarily and without fraud or duress pays money to another with full knowledge of the facts, the money paid cannot be recovered." Acme Markets, Inc. v. Valley View Shopping Or., Inc., 342 Pa. Super. 567, 569, 493 A.2d 736, 737 (1985); Kirk v. Allegheny Towing, Inc., 620 F. Supp. 458, 461 (W.D. Pa. 1985). Here, any payment on the 2007 Loan was made voluntarily, and no fraud or duress has been properly alleged. Accordingly, the voluntary payment doctrine bars any claim for recovery of previously made loan payments. 10 CitiFinancial does not concede that such a fraud claim was alleged in Defendant's Reply. To the contrary, Defendant's Reply states no such claim. However, due to the ambiguity of Defendant's pro se pleading, CitiFinancial addresses this potential, albeit unstated, claim out of an abundance of caution. DMEAST #12446860 v6 13 (3) Even If Defendant's Averments That She "Trusted" Plaintiff Coupled With Her Allegations Of "Extortion And Lying" Constitute A Claim Of Fraud, There Is No Geese Issue Of Material Fact As To Said Fraud Claim, And Cancial Is Entitled To Judgment As A Matter Of Law. 43. Defendant avers that she "trusted members of Citi staff' and claims "extortion and lying," seeking "2,500 in extorted" monies over full extent of said loans plus interest, court costs and other relief the court deems appropriate." (Reply, 11 17-18, 20.) This allegation of "extortion and lying" is the only explicit claim within Defendant's Reply. 44. Although "extortion and lying" does not constitute a claim under Pennsylvania common law, and the Reply cites no statute providing for such a cause of action, reading this allegation in conjunction with Defendant's averment that she trusted Citi staff suggests that she is attempting to assert a claim of fraud. 45. However, to the degree that Defendant can be said to allege a claim of fraud, she has not plead, let alone proven, the necessary elements. 46. Specifically, a claim of fraud requires proof of the following five elements: 1) a misrepresentation, 2) a fraudulent utterance of that misrepresentation, 3) an intention by the maker to induce the recipient thereby, 4) a justifiable reliance by the recipient, and 5) damages to the recipient as a proximate result of the misrepresentation. Rivello v. New Jersey Auto. Full Ins. Underwriting Assn, 638 A.2d 253, 257 (Pa. Super. Ct. 1994). 47. Defendant has not alleged, and cannot prove, a misrepresentation. The Reply makes no claim that CitiFinancial made any misrepresentation. The only averment within the Reply even implying any representation by CitiFinancial, outside of the loan documents 11 Defendant's Reply is hand-written in cursive script, and CitiFinancial is unable to determine with a degree of certainty whether this word reads "extorted" or "extracted." Per the reasoning in note 2, supra, CitiFinancial assumes that Defendant is seeking the return of extorted monies. DMEAST #12446860 v6 14 themselves, is found in paragraph 14, which alleges that Defendant "was offered a lower interest rate resulting in loan #364919." Setting aside the fact that Defendant's Reply does not identify who exactly made this representation, 12 Defendant does not allege that said statement is a misrepresentation. To the contrary, by the very loan documents incorporated by reference into her Reply, she pleads that the 2009 Loan Agreement did in fact offer a lower interest rate than the 2007 Loan Agreement. (Compare, 2009 Loan Agreement, Ex. B to the Reply with 2007 Loan Agreement, Ex. D to the Reply.) It is axiomatic that a fraud claim must be premised on a representation that is actually false. See Hexter v. Bast, 17 A. 252, 253 (Pa. 1889) (recognizing that in order to support a claim of fraud, the representation in question must be untrue). Thus, to the degree that Defendant has alleged or can prove that CitiFinancial made any representation to her, she has not and cannot prove that the representation was false where her oven pleadings aver the truth of said representation. Consequentially, she cannot prove the first two elements of fraud: that there was a misrepresentation, and that it was falsely uttered. 48. Furthermore, if Defendant is generally alleging that CitiFinancial made any kind of promise that her financial situation would be improved by a refinance, then she is not alleging a misrepresentation upon which a claim of fraud may be premised. "[A] cause of action for fraud must allege a misrepresentation of a past or present material fact." Great Lakes Holdings, Inc. v. Penn Pocahontas Coal Co., 563 A.2d 1182, 1187 (pa. Super. Ct. 1989). Thus fraud cannot be premised on a representation of what will or will not occur in the future. Id. See also Coleman v. Sears, Robuck & Co., 319 F.Supp.2d 544, 551 (W.D.Pa.2003) ("Statements as to future or contingent events, to expectations or probabilities, or as to what will or will not be done in the future, do not constitute misrepresentations, even though the statements may turn out to be wrong.") 12 Defendant has since alleged, in her Reply to Preliminary Objections, that it was "Citi staff' who made these representations. DMEAST #12446860 v6 15 49. Notwithstanding Defendant's failure to aver reliance in her Reply, Defendant's Reply to Preliminary Objections alleges that she refinanced her 2007 Loan "at the advice and suggestion of Citi staffers." (Reply to Preliminary Objections 115.) To the extent that this averment implies, or even proves, a reliance upon the representations of CitiFinancial, Defendant still does not, and cannot, establish that such reliance was to her detriment where she admits that the 2009 Loan Agreement did in fact provide her with a lower interest rate. (Compare, 2009 Loan Agreement, Ex. B to the Reply with 2007 Loan Agreement, Ex. D to the Reply.) As such, she cannot establish that any damages she suffered were a proximate result of the misrepresentation. 50. Defendant has not plead, and cannot prove, that any damages she may have suffered were caused by her reliance upon CitiFinancial's representation that the 2009 Loan Agreement would provide for a lower interest rate. Defendant's execution of the 2009 Loan Agreement resulted in a loan that had both a lower interest rate and a lower monthly payment in comparison to the 2007 Loan. (Compare, 2009 Loan Agreement, Ex. B to the Reply with 2007 Loan Agreement, Ex. D to the Reply.) Her failure to make these lower payments, and any resulting damage to her credit resulting from her subsequent default, cannot be attributed to CitiFinancial's representation that her interest rate would be reduced, the veracity of which is uncontested. The proximate cause of Defendant's default was her failure to make payments, not CitiFinancial's offer of a lower interest rate. Pursuant to the terms of the Loan Agreement, Plaintiff extended a loan in the original principal amount of $6,073.10 to Defendant. Defendant agreed to repay the loan with interest over a term of sixty (60) months at a rate of $138.15 per month. 6. The Loan Agreement stipulates that "[i]f Borrower defaults, Leader may require Borrower to repay the entire unpaid Principal balance and any accrued interest at once." 7. The Loan Agreement defines "default" as, among other things, "Borrower does not make any scheduled payment on time." 8. Defendant has made no payments on the loan since March 13, 2009, despite the fact that she agreed to make monthly loan payments in the amount of $138.15 9. Defendant is in default under the terms of the Loan Agreement, as she is in arrears at least 5 payments. 10. The Loan Agreement further provides that upon default "[borrower] may also be required to pay reasonable attorneys' fees, court costs ...." Plaintiff sought judgment in the amount of $6,270.71. On July 22, 2009, a judgment was entered against Defendant in the amount of $6,432.21 which reflected a judgment amount of $6,260.71 plus judgment costs of $161.50. On August 12, 2009, Defendant filed a Notice of Appeal from District Justice Judgment. On September 9, 2009, Plaintiff filed a Complaint against Defendant alleging that Defendant was in default on her loan of $6,073.10 and was in arrears at least five payments. On October 7, 2009, Defendant filed a Counterclaim. On October 28, 2009, Plaintiff filed Preliminary Objections to Defendant's Counterclaim. On March 3, 2010, Defendant filed a Reply to Preliminary Objections to the Counterclaim. On March 19, 2010, Plaintiff filed a Reply to New Matter and Counterclaim. On August 13, 2010, Plaintiff filed a Motion for Summary Judgment. On August 30, 2010, Defendant filed a Request for Dismissal of Plaintiffs Motion for Summary Judgment. 1 Statement of Facts Plaintiff is CitiFinancial Services, Inc., a consumer lender with an office located at 208 S. Conestoga Drive, Shippensburg, Pennsylvania. Defendant is Mona Pensinger, an adult individual residing at 32 Airport Road, Shippensburg, Pennsylvania. Defendant entered into a Loan Agreement with Plaintiff on November 19, 2007, in the amount of $5,850.05. Defendant entered into a second Loan Agreement with Plaintiff on February 5, 2009, for the principal amount of $6,073.10. Defendant used most of the proceeds of the 2009 loan to pay off the existing balance of the 2007 loan. The remainder of the proceeds of the 2009 loan were used for an optional life insurance policy and disbursed to Defendant as cash. Defendant made one payment on the 2009 loan on March 13, 2009, but as of the time of the complaint had made no other payments and was in default on the loan. Discussion Pursuant to Pa. C.S.A. 1035.2, after the relevant pleadings are closed, a party may move for summary judgment in two instances: (1) Whenever there is no genuine issue of any material fact as to a necessary element of the cause of action or defense which could be established by additional discovery or expert report, or (2) If, after the completion of discovery relevant to the motion, including the production of expert reports, an adverse party who will bear the burden of proof at trial has failed to produce evidence of facts essential to the cause of action or defense which in a jury trial would require the issues to be submitted to a jury. Pa. C.S.A. 1035.2. The court may grant summary judgment only when the right to such judgment is clear and free from doubt. Sebast v. Kakouras, 915 A.2d 1147, 1153 (Pa. 2007). A 2 court shall enter judgment whenever there is no genuine issue of any material fact as to a necessary element of cause of action that could be established by additional discovery. Swords v. Harleysville Ins. Co., 883 A.2d 562, 566 (Pa. 2005). Summary judgment is meant to eliminate the waste of time and resources of both litigants and the court in cases where a trial would simply be a useless formality. Liles v. Balmer, 567 A.2d 691, 692 (Pa. Super. 1989). In considering the merits of a motion for summary judgment, a court views the record in the light most favorable to the non-moving party, and all doubts as to the existence of a genuine issue of material fact must be resolved against the moving party. Fine v. Checcio, 870 A.2d 850, 857 (Pa. 2005) (citing Jones v. SEPTA, 772 A.2d 435, 438 (Pa. 2001)). We find that summary judgment is appropriate because there are no genuine issues of material fact concerning Defendant's responsibility for her loans, and it is clear that she is in default on the loan in question. Defendant raised no issues of material fact in any of her responses to Plaintiff. She appears to claim that she would not have signed the 2009 Loan Agreement if she had known the balance of the 2007 Loan Agreement, but it is clear that she did voluntarily enter into the 2007 Loan Agreement and, as such, is responsible for understanding the terms of that agreement. If Defendant attempts to allege fraud for any part of either agreement, she fails to do so with any specificity or legal basis. Defendant claims that Plaintiff failed to provide her with a full history of her account but provides no evidence of the requests nor does she state any legal claim related to this alleged refusal or any relationship between this allegation and the default status on her loan. Regardless of the allegations raised in Defendant's counterclaim, Defendant 3 never disputes that she took out the 2009 loan and does not dispute that she is in default. Defendant instead admits that she made only one payment on the 2009 loan. Defendant presents no legal defense to the allegations in Plaintiff's complaint and raises no issues disputing Plaintiffs allegations. There is no issue of fact related to Plaintiff's complaint that Defendant is in default. Therefore, summary judgment is appropriate in this case.
