I, KENNETH E. QUICKEL, of the Borough of Camp Hill, Cumberland
County, Pennsylvania, declare this to be my Last Will and Testa-
ment, hereby revoking any will previously made by me.
I - I direct the payment of all my just debts and funeral
penses out of my estate as soon as may be practical after my
ath.
II - I devise and bequeath all of my automobiles and all other

articles of personal or household use, including household goods,

should my said wife predecease me, then I devise and bequeath said

he children of my deceased child, as he deems appropriate.
III - I make the following bequests:
A. The sum of $3,000 or 30 of my estate, whichever is
.ess, to Johns Hopkins School of Medicine, as a memorial in my name
.o be used by said school as they deem appropriate.
B. $2,000 or 2% of my estate, whichever is less, to

IV - I devise and bequeath ail the rest, residue and remainder
of my estate of whatever nature and wherever situate unto Dauphin
Deposit Bank and Trust Company, Harrisburg, Pennsylvania for the
following uses and purposes:
A. My trustee shall have, hold, manage, invest and
reinvest the assets governed by such trust, collect the income and,
beginning at my death, pay over the net income of such trust to my
wife, Carolyn C. Quickel, during her lifetime, in installments no
less frequently than quarterly.
B. Upon the death of my said wife, the trust shall

terminate and the trustee shall:
1. Pay to each of my living grandchildren (not
including step-grandchildren) the sum of $5,000, said bequests to
be held by the trustee at interest until my grandchildren respec-
tively attain the age of 21 years. My trustee is authorized to
place the bequests in an interest-bearing account subject to the
foregoing condition. Should the total of the bequests exceed 500
of my net estate, they shall be reduced proportionately so that the
total of the bequests equals 50% of my net estate.
2. Distribute the balance of the trust fund to my
children, the share of a deceased child or children to be paid to
his o-r her issue per stirpes . In making distribution, I direct
that my trustee deduct from the shares of the residue of my estate
payable to my children the balance of any loan or loans which I
made to them during my lifetime and that said balance or balances
be treated as advancement of part of his or her share of my estate.
3. Should any child be deceased so that his or her
children are entitled to a share of the residue of the trust, the
share of any of my grandchildren who are under the age of 21 years
shall be held at interest until they respectively attain the age of
21 years.

Harrisburg, Pennsylvania, guardian of any property which passes

under this Will or otherwise to a minor or an incompetent and with ',
(respect to which I am authorized to appoint a guardian. and have not
otherwise specifically done so. Such guardian shall have the power
to use principal as well as income from time to time for the
minor's education and support or to make payment for those purposes
without further responsibility to the minor or to any person taking
scare of the minor. The said guardianship shall terminate as to
beach beneficiary when he or she reaches the age of 21 years, if a
minor, or when declared competent, if an incompetent.

A. To retain any or all of the assets of this trust,
real or personal, including its own stock, without regard to any
principal of diversification or risk.
B. To invest in all forms of property, including stock,
common trust funds and mortgage investment funds whether operated
by it or others, without restriction to investments authorized for
Pennsylvania fiduciaries, as it deems proper, without regard to any
principle of diversification or risk.
C. To sell at public or private sale, to exchange, or to
lease for any period of time, any real or personal property and to
give options for sales, exchanges or leases, for such prices and
upon such terms or conditions as it deems proper.
D. To allocate receipts and expenses to principal or
income or partly to each as it from time to time thinks proper in
its sole discretion.
E. To make payment to the parents or guardians of any
minor or incompetent beneficiary.
F. To hold property in my name or in its name, or in the
name of a nominee or unregistered.

G. To lend to, or purchase from, my executor even though '',

H. Should the income payable to any of the beneficiaries
in the trusts created under this Will be, in the sole discretion of
the Trustee, insufficient to pay for the support, maintenance and
education of any of the beneficiaries in the manner to which they
have become accustomed, then my trustee is authorized to invade the
principal from time to time and make payment for these purposes.
VII - I appoint my son, Stephen W. Quickel, Executor of this,
my Last Will and Testament. Should my said son fail to qualify or
cease' to act as such, then I appoint my son, Kenneth E. Quickel,
Jr., to act in this capacity. Should he fail to qualify or cease
to act as such, then I appoint my daughter, Carolyn Gouse, to act
in this capacity. None of my personal representatives shall be
required to post bond in this or any jurisdiction.

The statute does not exempt a transfer to a surviving spouse from tax, and the statutory requirements for disclosure of assets and filing a tax return are still applicable even if
the surviving spouse is the only beneficiary

The tax rate imposed on the net value of transfers to or for the use of the decedent's siblings is 12% (72 P.S, S 9116(a)(1.3)] A sibling is defined, under Section 9102, as an

IV - I devise and bequeath all the rest, residue and remainder
of my estate of whatever nature and wherever situate unto Dauphin
Deposit Bank and Trust Company, Harrisburg, Pennsylvania for the
following uses and purposes:
A. My trustee shall have, hold, manage, invest and
reinvest the assets governed by such trust, collect the income and,
beginning at my death, pay over the net income of such trust to my
wife. Carolyn C. Quickel, during her lifetime, in installments no
'less frequently than quarterly.
B. Upon the death of my said wife, the trust shall
terminate and the trustee shall:
1. Pay to each of my living grandchildren (not
including step-grandchildren) the sum of $5,000, said bequests to
[be held by the trustee at interest until my grandchildren respec-
!itively attain the age of 21 years. My trustee is authorized to
I![place the bequests in an interest-bearing account subject to the
1foregoing condition. Should the total of the bequests exceed 50%
of my net estate, they shall be reduced proportionately so that the
total of the bequests equals 50% of my net estate.
2. Distribute the balance of the trust fund to my
children, the share of a deceased child or children to be paid to
<his or her issue per stirpes. In making distribution, I direct
:that my trustee deduct from the shares of the residue of my estate
,!payable to my children the balance of any loan or loans which I
!made to them during my lifetime and that said balance or balances
ilbe treated as advancement of part of his or her share of my estate.
'i 3. Should any child be deceased so that his or her
';children are entitled to a share of the residue of the trust, the
,'share of any of my grandchildren who are under the age of 21 years
shall be held at interest until they respectively attain the age of

THE CIRCUMSTANCES leading up to the execution of this Agreement are as
follows:
1. Kenneth E. Quickel (the "Decedent"), a widower, died testate on October 31,
2002, and Stephen W. Quickel (the "Executor") duly qualified as Executor of his
probate estate (the "Estate").
2. The Decedent's Last Will and Testament (the "Will") dated February 17,
1998, provides that the remainder of his estate be divided equally between his three
children, Stephen W. Quickel, Kenneth E. Quickel, Jr., and Carolyn Gouse (the
"Beneficiaries").
4. The Executor is in a position to make a distribution of cash to the Beneficia-
ries, in partial satisfaction of their rights in the Estate under the Will, and the Beneficia-
ries desire the Executor to do so.
5. In consideration of the indemnifications hereinafter provided, the Executor is
willing to make a distribution of cash. Such partial distribution is made pending either
the approval of the Executor's First and Final Account by the Orphans' Court Division of
the Court of Common Pleas of Cumberland County, Pennsylvania (the "Court"), or a

duly executed agreement of the Beneficiaries to waive a formal accounting by the Court
and settle the Estate by agreement.
NOW THEREFORE, in consideration of the foregoing, and intending to be
legally bound, jointly and severally, the Beneficiaries, for themselves, their heirs,
successors and assigns hereby agree as follows:
A. The Beneficiaries each acknowledge receipt of the sum of One Hundred
Fifty Thousand Dollars ($150,000).
B. To the extent of the aforesaid partial distribution, the Beneficiaries hereby
absolutely and irrevocably remise, release, quitclaim and forever dis-
charge the Executor, his agents, successors and assigns, of and from any
and all actions, payments, accounts, reckonings, liabilities, claims and
demands relating in any way to the Will or the Estate.
C. The Beneficiaries agree to refund on demand all or any part of the afore-
said partial distribution which has been determined by the Executor, or by
the Court, or by any other court of competent jurisdiction, to have been
improperly made.
D. To the extent of the aforesaid partial distribution, the Beneficiaries hereby
agree to indemnify and hold harmless the Executor, his agents, succes-
sors, and assigns, from and against any and all claims, loss, liability or
damage (whether or not related to the negligence of the Executor) which
the Executor may suffer, or to which he may be subjected, by reason of
his administration of the Estate, including the partial distribution described
above.
E. The Beneficiaries consent to the Court exercising personal jurisdiction
over each of them in any suit or action arising out of the enforcement of
this Agreement.

FAMILY SETTLEMENT AGREEMENT
THIS AGREEMENT, made this ~ ~.4', day of ~ ,2004,
WITNESSETH:
THE CIRCUMSTANCES leading up to the execution of this Agreement are as follows
1. Kenneth E. Quickel (the "Decedent"), a widower, died testate on October 31, 2002,
and Stephen W. Quickel duly qualified as Executor (the "Executor") of his probate estate (the
"Estate").
2. Article IV of'the Decedent's Last Will and Testament (the "Will") provides in pertin, nt
part as follows:
IV - I devise and bequeath all the rest, residue and remainder of my estate
of whatever nature and wherever situate unto Dauphin Deposit Bank and Trust
Company, Harrisburg, Pennsylvania for the following uses and purposes:...
B. Upon the death of my said wife, the trust shall terminate-and
the trustee shall: ...
2. Distribute the balance of the trust to my children, the
share ora deceased child or children to be paid to his or her issue per stirpes. In
making distribution, I direct that my trustee deduct from the shares of the residue
of my estate payable to my children the balance of any loan or loans which I made
to them during my lifetime and that said balance or balances be treated as
advancement of part of his or her share of my estate.
3. The Decedent was survived by three children, namely, Stephen W. Quickel, Kennetl
E. Quickel, Jr., and Carolyn Q. Gouse (the "Bcneficiaries").
4. The Beneficiaries desire the Executor to settle the Estate informally in order to avoi~
the expense and delay involved ;vith the formal adjudication of a First and Final Account by th
Orphans' Court Division of the Court of Common Pleas of Cumberland County, Pennsylvania
(the "Court").
5. The Beneficiaries desire to forever settle and compromise any and all claims and rig hts
which they may possess, now or hereafter, in the Estate and to confirm their acceptance of the
informal Account (the "Account"), attached hereto as Exhibit "A" and incorporated herein by t his
reference, which includes the Proposed Distribution to Beneficiaries. The Beneficiaries desire
that the distributions to them, as set forth in the Account be in full satisfaction of their rights ir
the Estate.
6. The Beneficiaries wish to release the Executor and to indemnify him against any an,
all claims that may be asserted against the Estate or the Executor after the date hereof.
7. The Executor is willing to settle the Estate informally in consideration of the
indemnifications hereinafter provided by the Beneficiaries.
NOW THEREFORE, in consideration of the foregoing and intending to be legally bou~ d,
the Beneficiaries, for themselves, their heirs, personal representatives, successors and assigns:
A. Represent and warrant that they have read and understand this Agreement
and confirm that the facts set forth above are true and correct, to the best
of their knowledge, information and belief.
B. Declare that they have sufficient information to make an informed waiver
of their right to a formal accounting with the Court, and do hereby waive
the filing and auditing of the same.
C. Acknowledge that the distributive share or amount set forth in the Account
shall be in full satisfaction of their entitlements under the Will.
D. Release, remise, quitclaim and lbrever discharge the Executor, his heirs,
personal representatives, successors and assigns, from and against all
claims that they, as beneficiaries of the Estate, and in connection with the
Estate, had, now have or may in the future have in connection with the
Estate.
E. Agree to refund, on demand, all or any part of any aforesaid distribution,
which has been determined by the Executor or by the Court, or by any
court of competent jurisdiction, to have been improperly made.
F. Agree to indemnify and hold harmless the Executor, his heirs, personal
representatives, successors and assigns, from and against any and all
claims, loss, liability or damage (whether or not related to the negligence
of the Executor) that may hereafter be asserted against the Estate or against
the Executor.
G. Agree to execute such other or additional documents as may be necessary
to effectuate the agreements set forth herein.
H. Acknowledge that this Agreement shall be governed by and construed in
accordance ~vith the laws of the Commonwealth of Pennsylvania.
I. Agree to waive the provisions of Permsylvania Rules of Civil Procedure
Rule 229.1 (relating to sanctions for failure to receive settlement funds
within twenty days after receipt of an executed release).
J. Consent to the Court exercising personal jurisdiction over them in any suit
or action arising out of the enforcement of this Agreement.
