FIRST I give all my tangible personal property not specifically bequeathed elsewhere in this will, including but not limited to, any and all automobiles, furnishings, jewelry, and wearing apparel, but excluding cash on hand, together with any insurance thereon, to my wife, JUANITA L. CALAMAN, if she survives me by thirty days, or if she does not so survive me, to be divided equally among my children, JENNIFER, HEIDI and KARRIANN CALAMAN, as they may agree, or in the absence of agreement, or if any of them is a minor, as my Executor in my Executor's sole discretion, may think appropriate. Should any of my children fail to survive my death by thirty days, I give the share of such deceased child to his or her issue, and should any of my children predecease me leaving no issue surviving me, I give his or her share to be divided among my surviving issue as set forth above. If none of the above beneficiaries survive me by thirty days, this bequest shall lapse and be distributed as part of my residuary estate. SECOND I give the residue of my estate to my wife, JUANITA L. CALAMAN, provided that she survives me by sixty days. If my wife should fail to survive me by sixty days, then I give the residue of my estate to my children, JENNIFER, HEIDI and KARRIANN CALAMAN, in equal shares. Should any of my children fail to survive my death by sixty days, I give the share of such deceased child to his or her issue; and should any of my children predecease me leaving no issue surviving me, I give his or her share to be divided among my surviving issue as set forth above. ~HIRD If my wife should fail to survive me and any children under the age of 21 at the time of my death shall be held in separate trust by VERNON E. CALAMAN, as Trustee, for the following uses and purposes: (1) My Trustee shall apply the net income and principal as follows: (a) So much of the net income and principal as my Trustee, in my Trustee's beneficiary,s health, support, maintenance, and education shall be paid to his or her guardian or applied directly for the benefit of said beneficiary. (b) My Trustee shall take any income or other resources ~vailable.to the beneficiary from sources outside the Trust into consideration in exercising his or her discretionary authority with respect to the payment of income or principal to such beneficiary. My Trustee may accept as final and conclusive the written statement of the beneficiary or his or her guardian as to other available income or resources. My Trustee's decision to make any payment, whether from income or principal, shall be conclusive as to all persons. (c) Any undistributed income shall be added to and made a part of the principal of said Trust. (d) In the event the beneficiary dies prior to the termination of this Trust, his or her interest shall be held for the benefit of his or her issue and distributed by my Trustee in the same manner as set forth above for the benefit of said issue. In the event said beneficiary dies without issue then this gift shall be distributed as though the beneficiary had died intestate. (2) This Trust shall terminate and my Trustee shall distribute the balance of the Trust estate to the beneficiary when the beneficiary attains the age of 21. .FOURTH In the event that the Trustee named above fails to qualify or is unable or unwilling to act, I appoint JOHN N. BARRICK, substitute Trustee of the trust. 2 FIFTH If my wife does not survive me, then I appoint JENNIFER R. CALAMAN as the Guardian of the Person of each of my minor children. In the event that she fails to qualify or is unable or unwilling to act, then I appoint JOHN A. BARRICK as alternate Guardian. SIXTH No interest of any beneficiary under this Will or any Codicil hereto shall be subject to anticipation or voluntary or involuntary alienation. SEVENTH I appoint my wife, JUANITA L. EIGHTH My Executrix shall not be required to file a bond in this or any other jurisdiction. NINTH My Trustee shall not be required to file a bond in this or any other jurisdiction. TENTH In addition to powers given them by law, my Executrix and Trustee and any successor Executors and Trustees shall have the following powers, applicable to all property held by them, effective without court order and until actual distribution: (a) To retain any property received by them, including the stock of any corporate fiduciary acting hereunder; (b) To sell real estate for any purpose, publicly or privately, for such prices and on such terms as they deem proper, without liability to the purchasers to see to application of the purchase monies; (c) To compromise controversies; (d) To distribute in cash or kind or both at such valuations as they may fix; (e) To distribute property passing to a minor under this will either to the minor or to any person to hold for a minor; (f) To sell articles passing to a minor under this will if the Executrix, in her sole discretion considers such articles unsuitable for a minor and to use the proceeds of such sale to equalize the shares of the other beneficiaries of this will; and (g) To hold investments in the name of a nominee.
