COMPLAINT
The Plaintiff, POLAR ELECTRO, INC., by its attorneys, KNUPP, KODAK & IMBLUM, P.C., brings this action
of Assumpsit against the Defendant to recover the sum of EIGHTY FIVE THOUSAND, ONE HUNDRED NINETEEN
DOLLARS AND EIGHTY-TWO CENTS ($85,] 19.82), along with interest thereon from May 10,2002 upon a cause of
action of which the following is a statement:
I. The Plaintiff, POLAR ELECTRO, INC., is a corporation organized and existing under the laws ofthe State
of New York, having its principal office and place of business at 370 Crossways Park Drive, Woodbury, New York] 1797,
now located at 1111 Marcus A venue, Lake Success, New York] J 042.
2. The Defendanst, VENA TOR GROUP CORPORA TE SERVICES, INC. AND VENA TOR GROUP, INC.
, trading and doing business as CHAMPS SPORTS I FOOTLOCKERhas an office and place of business at 3543 Simpson
Ferry Road, Camp Hill, Cumberland County, Pennsylvania 1701 I.
3. Plaintiff, at the special instance and oral request of the Defendant, sold and delivered goods, wares and
merchandise to the Defendant.
4 Plaintiff's Invoices are not attached to this pleading due to the voluminous nature of same. Said Invoices will
Je made available to Defendant or Defendant's Connsel for inspection and copying in Plaintiff's attorney's offices upon
vritten request by Defendant or Defendant's Counsel to Plaintiff's Counsel.

5. The prices charged for said goods, wares and merchandise were just and reasonable, were the legal and
market prices therefor and were the prices which the Defendant orally promised and agreed to pay to Plaintiff.
6. The balance due and owing by Defendant to Plaintiff is the sum of Eighty Five Thousand, One Hundred
Nineteen Dollars and Eighty-Two Cents ($85, 119.82), as appears by Plaintiff's Statement of Account hereto attached, marked
as Exhibit "A" and made a part hereof.
7. Plaintiff frequently demanded payment from Defendant of said amount due and owing as aforesaid, but
Defendant refused and neglected and still refuses and neglects to pay said amount of any part thereof.
WHEREFORE, Plaintiff brings this suit to recover from Defendant the sum of EIGHTY FIVE THOUSAND, ONE
HUNDRED NINETEEN DOLLARS AND EIGHTY-TWO CENTS ($85.1 ] 9.82), along with interest thereon from May 10,
2002.

NOW COMES Polar Electro, Inc. ("Polar Electro"), by and through its attorneys, Knupp,
Kodak & Imblum, P.C., and Foot Locker, Inc., formerly known as Venator Group, Inc., and Foot
Locker Corporate Services, Inc., formerly known as Venator Group Corporate Services, Inc.
(collectively, "Foot Locker"), by and through their attorneys, Duane Morris LLP, and file this
Joint Petition for Discontinuance of Complaint and Counterclaim and in support thereof state as
follows:
I. On or about June 9, 2004, Polar Electro filed a Complaint In the Court of
Common Pleas of Cumberland County, Pennsylvania (the "Complaint").
2. On November 30, 2004, Foot Locker filed an Answer, New Matter, and
Counterclaim in response to the Complaint (the "Counterclaim").
3. On March 3, 2005, Polar Electro and Foot Locker entered into a Settlement
Agreement (the "Settlement Agreement") which resolved all issues pending between them,
including the Complaint and Counterclaim.
4. Pursuant to the Settlement Agreement, Polar Electro agreed to withdraw the
Complaint with prejudice and Foot Locker agreed to withdraw the Counterclaim with prejudice.

5. In accordance with Rule 229 of the Pennsylvania Rules of Civil Procedure, Polar
Electro seeks to discontinue the Complaint with prejudice and Foot Locker seeks to discontinue
the Counterclaim with prejudice.
WHEREFORE, for the reasons set forth above, Polar Electro and Foot Locker jointly and
respectfully request that this Honorable Court enter an Order granting the Joint Petition to
Discontinue the Complaint and Counterclaim and grant such further relief as may be necessary
or appropriate.
