Introductory Clause. I, MARY JANE P. COLLENS, a resident of and domiciled in the
Township of Hampden, County of Cumberland and Commonwealth of Pennsylvania, do hereby
make, publish and declare this to be my Last Will and Testament, hereby revoking all Wills and
Codicils at any time heretofore made by me.
ITEM I
Direction to Pay Debts. I direct that all my legally enforceable debts, secured and
unsecured, be paid as soon as practicable after my death.
ITEM II
Direction to Pay All Taxes from Residuary Estate. I direct that all estate, inheritance,
succession, death or similar taxes (except generation-skipping transfer taxes) assessed with
respect to my estate herein disposed of, or any part thereof, or on any bequest or devise contained
in this my Last Will (which term wherever used herein shall include any Codicil hereto), or on
any insurance upon my life or on any property held jointly by me with another or on any transfer
made by me during my lifetime or on any other property or interests in property included in my
estate for such tax purposes be paid out of my residuary estate and shall not be charged to or
against any recipient, beneficiary, transferee or owner of any such property or interests in
property included in my estate for such tax purposes.
ITEM III
General Bequest of Personal and Household Effects With a Precatory
Memorandum. I give and bequeath all my personal and household effects of every kind
including but not limited to furniture, appliances, furnishings, pictures, silverware, china, glass,
books, jewelry, wearing apparel, boats, automobiles, and other vehicles, and all policies of fire,
burglary, property damage, and other insurance on or in connection with the use of this property,
to ANNE D. GALLAHER, LISA D. DYMSKI, EDMUND M. DEETER, III, PHILIP E.
DEETER, and ANNE BARTHOLOMEW MUNK HANSEN, of Vaerlose, Denmark, equally, to
the extent practicable. However, I request that my beneficiaries and my Executor abide by any
memorandum by me directing the disposition of this property or any part thereof. This request is
precatory and not mandatory. If any beneficiary hereunder is a minor, my Executor may
distribute such minor's share to such minor or for such minor's use to any person with whom such
minor is residing or who has the care or control of such minor without further responsibility and
the receipt of the person to whom it is distributed shall be a complete discharge of my Executor.

The cost of packing and shipping such property shall be charged against my estate as an expense
of administration.
ITEM IV
Outright Gift of All Property. I give, devise and bequeath all the rest, residue and
remainder of my property of every kind and description (including lapsed legacies and
devises) wherever situate and whether acquired before or after the execution of this Will,
absolutely in fee simple to ANNE D. GALLAHER, LISA D. DYMSKI, EDMUND M.
DEETER, III, PHILIP E. DEETER, and ANNE BARTHOLOMEW MUNK HANSEN, of
Vaeflose, Denmark, in equal shares, provided, however, the then living issue of a deceased
niece or nephew of mine shall take per stirpes the share their parent would have taken had he
or she survived me.
ITEM V
Naming the Executor, Executor Succession, Executor's Fees and Other Matters.
The provisions for naming the Executor, Executor succession, Executor's fees and other matters
are set forth below:
(1) Naming Individuals as Executor. I hereby nominate, constitute and appoint as
Executors of this my Last Will and Testament EDMUND DEETER, IH and PHILIP E.
DEETER, or the survivor of them, and direct that they shall serve without bond.
(2) Fee Schedule for Individual Executor. For its services as Executor, the
individual Executor shall receive reasonable compensation for the services rendered and
reimbursement for reasonable expenses.
ITEM VI
Definition of Executor. Whenever the word "Executor" or any modifying or substituted
pronoun therefor is used in this my Will, such words and respective pronouns shall include both
the singular and the plural, the masculine, feminine and neuter gender thereof, and shall apply
equally to the Executor named herein and to any successor or substitute Executor acting
hereunder, and such successor or substitute Executor shall possess all the rights, powers and
duties, authority and responsibility conferred upon the Executor originally named herein.
ITEM VII
Powers for Executor. By way of illustration and not of limitation and in addition to any
inherent, implied or statutory powers granted to Executors generally, my Executor is specifically
authorized and empowered with respect to any property, real or personal, at any time held under
any provision of this my Will: to allot, allocate between principal and income, assign, borrow,

buy, care for, collect, compromise claims, contract with respect to, continue any business of
mine, convey, convert, deal with, dispose of, enter into, exchange, hold, improve, incorporate any
business of mine, invest, lease, manage, mortgage, grant and exercise options with respect to,
take possession of, pledge, receive, release, repair, sell, sue for, to make distributions or divisions
in cash or in kind or partly in each without regard to the income tax basis of such asset, and in
general, to exercise all the powers in the management of my Estate which any individual could
exercise in the management of similar property owned in his or her own right, upon such terms
and conditions as to my Executor may seem best, and to execute and deliver any and all
instruments and to do all acts which my Executor may deem proper or necessary to carry out the
purposes of this my Will, without being limited in any way by the specific grants of power made,
and without the necessity of a court order.
ITEM VIII
Provision for Executor to Act as Trustee for Beneficiary Under Age Twenty-One. If
any share or property hereunder becomes distributable to a beneficiary who has not attained the
age of Twenty-one (21) years or if any real property shall be devised to a person who has not
attained the age of Twenty-one (21) years at the date of my death, then such share or property
shall immediately vest in the beneficiary, but notwithstanding the provisions herein, my Executor
acting as Trustee shall retain possession of the share or property in trust for the beneficiary until
the beneficiary attains the age of Twenty-one (21), using so much of the net income and principal
of the share or property as my Executor deems necessary to provide for the medical care,
education, support and maintenance in reasonable comfort of the beneficiary, taking into
consideration to the extent my Executor deems advisable any other income or resources of the
beneficiary or his or her parents known to my Executor. Any income not so paid or applied shall
be accumulated and added to principal. The beneficiary's share or property shall be paid over,
distributed and conveyed to the beneficiary upon attaining age Twenty-one (21), or if he or she
shall sooner die, to his or her executors or administrators. Whenever my Executor determines it
appropriate to pay any money for the benefit of a beneficiary for whom a trust is created
hereunder, then the amounts shall be paid out by my Executor in such of the following ways as
my Executor deems best: (1) directly to the beneficiary; (2) to the legally appointed guardian of
the beneficiary; (3) to some relative or friend for the care, support and education of the
beneficiary; (4) by my Executor using such amounts directly for the beneficiary's care, support
and education; (5) to a custodian for the beneficiary under the Uniform Gifts or Transfers to
Minors Act. My Executor as trustee shall have with respect to each share or property so retained
all the powers and discretions conferred upon it as Executor.
ITEM IX
Discretion Granted to Executor in Reference to Tax Matters. My Executor as the
fiduciary of my estate shall have the discretion, but shall not be required when allocating receipts
of my estate between income and principal, to make adjustments in the rights of any
beneficiaries, or among the principal and income accounts to compensate for the consequences of
any tax decision or election, or of any investment or administrative decision, that my Executor

believes has had the effect, directly or indirectly, of preferring one beneficiary or group of
beneficiaries over others; provided, however, my Executor shall not exercise its discretion in a
manner which would cause the loss or reduction of the marital deduction as may be herein
provided. In determining the state or federal estate and income tax liabilities of my estate, my
Executor shall have discretion to select the valuation date and to determine whether any or all of
the allowable administration expenses in my estate shall be used as state or federal estate tax
deductions or as state or federal income tax deductions.

undersigned authority that the Testatrix signed and executed the instrument as her Last Will and
that she had signed willingly (or willingly directed another to sign for her), and that she executed
it as her free and voluntary act for the purposes therein expressed, and that each of the witnesses,
in the presence and hearing of the Testatrix, and in the presence of each other, signed the Will as
witness and to the best of our knowledge the Testatrix was at that time eighteen years of age or
older, of sound mind, and under no constraint or undue influence.

Township of Hampden, County of Cumberland and Commonwealth of Pennsylvania, do her by

OutrightGift of All Property. I give, devise and bequeath all the rest, residue and
remainder of my property of every kind and description (including lapsed legacies and
devises) wherever situate and whether acquired before or after the execution of this Will,
absolutely in fee simple to ANNE D. GALLAHER, LISA D. DYMSKl, EDMUND M.
DEETER, III, PHILIP E. DEETER, and ANNE BARTHOLOMEW MUNK HANSEN, of
Vaerlose, Denmark, in equal shares, provided, however, the then living issue ofa deceased
niece or nephew of mine shall take per stirpes the share their parent would have taken had e
or she survived me.
ITEM V
Naming the Executor, Executor Succession, Executor's Fees and Other Matters.
The provisions for naming the Executor, Executor succession, Executor's fees and other matt rs
are set forth below:
(1) Naming Individuals as Executor. I hereby nominate, constitute and appoint s
Executors of this my Last Will and Testament EDft/lUND DEETER, III and PHILIP E.
DEETER, or the survivor of them, and direct that they shall serve without bond.
(2) Fee Schedule for Individual Executor. For its services as Executor, the
individual Executor shall receive reasonable compensation for the services rendered and
reimbursement for reasonable expenses.
ITEM VI
Definition of Executor. Whenever the word "Executor" or any modifying or substit ted
pronoun therefor is used in this my Will, such words and respective pronouns shall include b th
the singular and the plural, the masculine, feminine and neuter gender thereof, and shall appl
equally to the Executor named herein and to any successor or substitute Executor acting
hereunder, and such successor or substitute Executor shall possess all the rights, powers and
duties, authority and responsibility conferred upon the Executor originally named herein.
ITEM VII
Powers for Executor. By way of illustration and not of limitation and in addition to y
inherent, implied or statutory powers granted to Executors generally, my Executor is specific lly
authorized and empowered with respect to any property, real or personal, at any time held un er

buy, care for, collect, compromise claims, contract with respect to, continue any business of
mine, convey, convert, deal with, dispose of. enter into, exchange, hold, improve, incorporate any
business of mine, invest, lease, manage, mortgage, grant and exercise options with respect to,
take possession of, pledge, receive, release, repair, sell, sue for, to make distributions or divis ons
in cash or in kind or partly in each without regard to the income tax basis of such asset, and in
general, to exercise all the powers in the management of my Estate which any individual coul:!
exercise in the management of similar property owned in his or her own right, upon such tem s
and conditions as to my Executor may seem best, and to execute and deliver any and all
instruments and to do all acts which my Executor may deem proper or necessary to carry out Ihe
purposes of this my Will, without being limited in any way by the specific grants of power m, de,
and without the necessity of a court order.
ITEM VIII
Provision for Executor to Act as Trustee for Beneficiary Under Age Twenty-One If
any share or property hereunder becomes distributable to a beneficiary who has not attained tl e
age of Twenty-one (21) years or if any real property shall be devised to a person who has not
attained the age of Twenty-one (21) years at the date of my death, then such share or property
shall immediately vest in the beneficiary, but notwithstanding the provisions herein, my Exec~tor
acting as Trustee shall retain possession of the share or property in trust for the beneficiary un il
the beneficiary attains the age of Twenty-one (21), using so much of the net income and prine pal
of the share or property as my Executor deems necessary to provide for the medical care,
education, support and maintenance in reasonable comfort of the beneficiary, taking into
consideration to the extent my Executor deems advisable any other income or resources ofth(
beneficiary or his or her parents known to my Executor. Any income not so paid or applied s all
be accumulated and added to principal. The beneficiary's share or property shall be paid over
distributed and conveyed to the beneficiary upon attaining age Twenty-one (21), or if he or sh~
shall sooner die, to his or her executors or administrators. Whenever my Executor determines it
appropriate to pay any money for the benefit of a beneficiary for whom a trust is created
hereunder, then the amounts shall be paid out by my Executor in such of the following ways <: s
my Executor deems best: (1) directly to the beneficiary; (2) to the legally appointed guardian of
the beneficiary; (3) to some relative or friend for the care, support and education of the
beneficiary; (4) by my Executor using such amounts directly for the beneficiary's care, suppor
and education; (5) to a custodian for the beneficiary under the Uniform Gifts or Transfers.to
Minors Act. My Executor as trustee shall have with respect to each share or property so retai ed
all the powers and discretions conferred upon it as Executor.
ITEM IX
Discretion Granted to Executor in Reference to Tax Matters. My Executor as the
fiduciary of my estate shall have the discretion, but shall not be required when allocating rece pts
of my estate between income and principal, to make adjustments in the rights of any
beneficiaries, or among the principal and income accounts to compensate for the consequenc( s of
any tax decision or election, or of any investment or administrative decision, that my Executo

believes has had the effect, directly or indirectly, of preferring one beneficiary or group of
beneficiaries over others; provided, however, my Executor shall not exercise its discretion in
manner which would cause the loss or reduction of the marital deduction as may be herein
provided. In determining the state or federal estate and income tax liabilities of my estate, m
Executor shall have discretion to select the valuation date and to determine whether any or all of
the allowable administration expenses in my estate shall be used as state or federal estate tax
deductions or as state or federal income tax deductions.

ESTATE SETTLEMENT AGREEMENT
THIS AGREEMENT is made as of December 22, 2005, between PHILIP E.
DEETER and EDMUND DEETER, III, Co-Executors of the Estate of Mary Jane P. Collens
(herein referred to as Co-Executors), and EDMUND DEETER, III, of 1350 Eaves Spring
Road, Malvern, PA 19055, PHILIP E. DEETER, of 1410 Eaves Spring Road, Malvern, PA
19055, ANNE E. GALLAHER, of 1701 Chatham Road, Camp Hill, PA 17011, LISA D.
DYMSKI, of281 Hoy Road, Carlisle, PA 17013, and ANNE BARTHOLOMEW MUNK
HANSEN, of Hoejeloft Vaenge 66, 3500 Vaerlose, Denmark, residuary legatees, and
beneficiaries of the estate (herein referred to as Beneficiaries).
In accordance with their desire that the administration of the Estate of Mary Jane P.
Collens be completed, and in consideration of the mutual covenants expressed, the stated Co-
Executors and Beneficiaries, intending to be legally bound agree, as follows:
1. Mary Jane P. Collens died on February 18,2002.
2. The Estate of Mary Jane P. Coli ens is now in the process of administration, with
Letters Testamentary having been duly granted to the stated Co-Executors by the Register of
Wills of Cumberland County on March 19,2002. Jeffrey R. Boswell, Esquire has served as
legal counsel.
3. In May, 2002, counsel prepared and arranged for the publication of the required
legal advertisements, which proofs of publication are attached as Exhibit "A" and "B."
4. The Co-Executors established an estate checking account at Waypoint Bank, n1k/a
Sovereign Bank, and paid therefrom the expenses of administration and debts as listed on the
Inheritance Tax Return, income tax, and distributions to residuary legatees.
5. The beneficiaries acknowledges receipt of the Rule 5.6 Notice reg~rding noticestU

5.6 (a) and filed same with the Register of Wills of Cumberland County on or about April 30,
2002.
6. After review by the Co-Executors, Counsel filed the Inventory and the Pennsylvania
Inheritance Tax Return (PA-1500) on September 28,2005, with a payment of$12,735.11, to
the Register of Wills, Agent, for the Pennsylvania Department of Revenue, which documents
are attached as Exhibits "c" and "D." After review of the PA-1500, the Department of
Revenue issued a Preassessment Notice listing tax due of $36.45, which was paid on October
26, 2005.
7. The residuary legatees agree that final distribution to them of their equal distributive
shares will be made after Co-Executors' receipt of the Notice ofInheritance Tax Appraisement
Allowance or Disallowance of Deductions and Assessment (Notice of Inheritance Tax) from
the Pennsylvania Department of Revenue, noting that the P A Inheritance Tax Return (Revenue
- 1500) was accepted with no tax, interest, or penalties due. All parties acknowledge that the
Notice ofInheritance Tax, dated December 5, 2005, lists no tax, interest, or penalties due, as
set forth as Exhibit "E." Counsel will file an Application for Refund of Pennsylvania
Inheritance Tax as to the $16.43 credit, which will be applied to expenses.
8. Pursuant to ITEM III the Last Will and Testament of Mary Jane P. Collens, the
remainder of the estate is to be given equally to ANNE D. GALLAHER, LISA D. DYMSKI,
EDMUND M. DEETER, III, PHILIP E. DEETER, and ANNE BARTHOLOMEW MUNK
HANSEN, as residuary legatees.
9. The decedent had little household personal property, which had insignificant value,
because she lived in a nursing facility, so the Co-Executors made no distribution of this
personal property, which was donated to the Church of God Home nursing home.
10. The Co-Executors will distribute the decedent's jewelry to ANNE D.
GALLAHER, LISA D. DYMSKI, EDMUND M. DEETER, III, and PHILIP E. DEETER, in
kind, with the value of same allocated equally between them. ANNE BARTHOLOMEW

MUNK HANSEN will not receive a share of the jewelry, in kind. Instead, the Co-Executors
will pay her $1,300.00, which is 1/5 of the declared value of the jewelry, as per the
Pennsylvania Inventory and Inheritance Tax Return, to satisfy any claim that she has with
regard to her distributive share of the jewelry.
11. The estate account at Sovereign Bank, formerly known as Waypoint Bank,
account number 351079513, as of September 13,2005, had a balance of$10,159.53, from
which balance checks totalling $4,830 were written for the Executor fees, leaving a current
balance of$5,329.53. The estate checking account now has a balance of$5,329.53, as of
December 15,2005.
12. The Co-Executors paid an advance distribution to the five (5) residuary legatees, as
follows:
(a) Edmund M. Deeter, III, $9,000.00, on June 13, 2003
(b) Philip E. Deeter, $9,000.00, on June 13,2003;
(c) Anne D. Gallaher, $9,000.00, on June 13,2003
(d) Lisa D. Dymski, $9,000.00, on June 13,2003; and
(e) Anne Bartholomew Munk Hansen, $9,000.00, on June 13,2003.
13. The Co-Executors liquidated the decedent's investment account at Starboard
Capital Markets, Inc. and collected all debt owed to the decedent.
14. The final distribution (including the above-stated advance distributions) to each of
the five (5) residuary legatees totals $56,829.53. Each of the five (5) residuary legatees will
receive total cash or value (jewelry, in kind) of$II,365.91. ANNE D. GALLAHER, LISA D.
DYMSKI, EDMUND M. DEETER, III, and PHILIP E. DEETER each will receive an
additional $740.91, plus 25% of jewelry, in kind or cash equivalent, in the amount of
$1,625.00. ANNE BARTHOLOMEW MUNK HANSEN will receive $1,065.91, and
$1,300.00, the cash equivalent value of 1/5 of the value of the jewelry.

15. The Co-Executors paid to Boswell, Tintner, Piccola & Alford a reserve amount of
$500.00 for estate closing expenses.
16. The Co-Executors advised counsel that the decedent had not filed federal and state
income tax returns for 2002, and for the tax years 2000 and 2001, prior to her death.
Thereafter, Co-Executors filed federal and state income tax returns for tax years 2000, 2001,
2002,2003, and 2004.
17. The Co-Executors filed appropriate fiduciary income tax returns, federal form 1041
with the Internal Revenue Service and PA form 41 (fiduciary) with the Pennsylvania
Department of Revenue, to account for 2005 income on October 11,2005.
18. All taxes and administrative expenses have been paid. Thus, the Co-Executors will
make final distribution of cash and jewelry, in kind, as provided for in this Estate Settlement
Agreement and the Schedule of Distribution, after receipt by counsel of this Estate Settlement
Agreement executed by all residuary legatees.
19. The parties agree that Jeffrey R. Boswell, Esquire, as counsel, will file this Estate
Settlement Agreement with the Register of Wills to be made part of the official record and that
counsel has explained in a letter dated December 15, 2005, addressed to the parties the effect
of the "at risk" distribution contemplated to be made pursuant to this agreement.
20. Counsel will prepare and file with the Register of Wills a rule 6.12 report noting
that the estate administration is complete after the occurrence of the following events:
(a) Final appraisement by the Pennsylvania Department of Revenue noting
no tax, interest, and penalties are due (received December 8, 2005);
(b) Final distribution to Beneficiaries of jewelry and any remaining funds;
and
(c) Closing of the estate checking account.

21. The residuary legatees each acknowledge receipt of the respective distributions
stated in this Agreement and release the Co-Executors and counsel from rendering an estate
account as to their administration and distributions made.
22. The parties, and each of them, hereby forever fully release, compromise, settle, and
discharge any and all claims, demands, actions, or causes of action, legal or equitable, absolute
or contingent, vested or hereafter to accrue, which any of them may have against any other
party hereto or against the Estate of Mary Jane P. Collens, Deceased, or the agents of the
estate, including accountants and attorneys, by reason of any matter, cause or things growing
out of or relating to any property or assets of said estate, or growing out of or relating to any
act of the Co-Executors in their administration of the said estate, even if attributable to
negligence, and agree that any period of the limitation of actions for the collection of any
erroneous distribution or distributions shall commence only at such time as the Co-Executors
shall have obtained actual knowledge of said erroneous distribution or distributions, which
period shall end two (2) years after actual discovery.
23. The beneficiaries acknowledge that ifit is determined that ifthere is presented
any tax liability (including interest and penalties) or any other proper debt, ANNE D.
GALLAHER, LISA D. DYMSKI, EDMUND M. DEETER, III, PHILIP E. DEETER, and
ANNE BARTHOLOMEW MUNK HANSEN, will payor refund from their own share of the
estate distribution for the payment of such additional taxes or debts a proportionate part of the
amount which each has received in cash or in kind by virtue of this Agreement, which amount
shall be set as one-fifth (liS) ofthe amount due from each person named above. In no event
shall the total amount payable exceed the total amount received or to be received by each of
them in cash or in property value.
24. The parties agree to execute such additional documents and releases as the Co-
Executors may submit to them in order to complete any administration details to confirm their
discharge from any further liability to the parties in connection with the said estate.

make, publish and declare this to be my Last \Vill and Testament, hereby revoking all Wills and
Codicils at any time heretofore made by me.

Direction to Pay Debts. I direct that all my legally enforceable debts, secured and
unsecured. be paid as soon as practicable after my death.

Direction to Pay All Taxes from Residuary Estate. I direct that all estate, inheritance,
succession, death or similar taxes (except generation-skipping transfer taxes) assessed with
respect to my estate herein disposed of, or any part thereof, or on any bequest or devise contained
in this my Last Will (which term wherever used herein shall include any Codicil hereto), or on
any insurance upon my life or on any property held jointly by me with another or on any transfer
made by me during my lifetime or on any other property or interests in property included in my
estate for such tax purposes be paid out of my residuary estate and shall not be charged to or
against any recipient, beneficiary, transferee or owner of any such property or interests in
property included in my estate for such tax purposes.

lVlemorandum. I give and bequeath all my personal and household effects of every kind

distribute such minor's share to such minor or for such minor's use to any person with whom such

Naming the Executor, Executor Succession, Executor's Fees and Other l\'latters.
The provisions for naming the Executor, Executor succession, Executor's fees and other matters
are set forth below:
(1) Naming Individuals as Executor. I hereby nominate, constitute and appoint as
Executors of this my Last vVill and Testament EDj1;/UND DEETER, III and PHILIP E.
DEETER, or the survivor of them, and direct that they shall serve without bond.
(2) Fee Schedule for Individual Executor. For its services as Executor, the
individual Executor shall receive reasonable compensation for the services rendered and
reimbursement for reasonable expenses.

Definition of Executor. Whenever the word "Executor" or any modifying or substituted
pronoun therefor is used in this my Will, such words and respective pronouns shall include both
the singular and the plural, the masculine, feminine and neuter gender thereof, and shall apply
equally to the Executor named herein and to any successor or substitute Executor acting
hereunder, and such successor or substitute Executor shall possess all the rights, powers and
duties, authority and responsibility conferred upon the Executor originally named herein.
ITENI VII
Powers for Executor. By way of illustration and not of limitation and in addition to any
inherent, implied or statutory powers granted to Executors generally, my Executor is specifically
authorized and empowered with respect to any property, real or personal, at any time held under
any provision of this my Will: to allot, allocate bet\veen principal and income, assign, borrow,

buy, care for, collect, compromise claims, contract with respect to, continue any business of
mine, convey, convert, deal with, dispose of. enter into, exchange, hold, improve, incorporate any
business of mine, invest, lease, manage, mortgage, grant and exercise options with respect to,
take possession of, pledge, receive, release, repair, sell, sue for, to make distributions or divisions
in cash or in kind or partly in each without regard to the income tax basis of such asset, and in
general, to ex.ercise all the powers in the management of my Estate which any individual could
exercise in the management of similar property owned in his or her own right, upon such terms
and conditions as to my Executor may seem best, and to execute and deliver any and all
instruments and to do all acts which my Executor may deem proper or necessary to carry out the
purposes of this my \Vill, without being limited in any way by the specific grants of power made,
and without the necessity of a court order.
ITElYI VIII
Provision for Executor to Act as Trustee for Beneficiary Under Age Twenty-One. If
any share or property hereunder becomes distributable to a beneficiary \-vho has not attained the
age of Twenty-one (21) years or if any real property shall be devised to a person who has not
attained the age 0 f Twenty-one (21) years at the date 0 f my death, then such share or property
shall immediately vest in the beneficiary, but notwithstanding the provisions herein, my Executor
acting as Trustee shall retain possession of the share or property in trust for the beneficiary until
the beneficiary attains the age of Twenty-one (21), using so much of the net income and principal
of the share or property as my Executor deems necessary to provide for the medical care,
education, support and maintenance in reasonable comfort of the beneficiary, taking into
consideration to the extent my Executor deems advisable any other income or resources of the
beneficiary or his or her parents known to my Executor. Any income not so paid or applied shall
be accumulated and added to principal. The beneficiary's share or property shall be paid over,
distributed and conveyed to the beneficiary upon attaining age Twenty-one (21), or if he or she
shall sooner die, to his or her executors or administrators. Whenever my Executor determines it
appropriate to pay any money for the benefit of a beneficiary for whom a trust is created
hereunder, then the amounts shall be paid out by my Executor in such of the following ways as
my Executor deems best: (l) directly to the beneficiary; (2) to the legally appointed guardian of
the beneficiary; (3) to some relati ve or friend for the care, support and education of the
beneficiary; (4) by my Executor using such amounts directly for the beneficiary's care, support
and education; (5) to a custodian for the beneficiary under the Uniform Gifts or Transfers .to
Minors Act. My Executor as trustee shall have with respect to each share or property so retained
all the powers and discretions conferred upon it as Executor.
ITElYI IX
Discretion Granted to Executor in Reference to Tax lYlatters. My Executor as the
fiduciary of my estate shall have the discretion, but shall not be required when allocating receipts
of my estate between income and principal, to make adj ustments in the rights 0 f any
beneficiaries, or among the principal and income accounts to compensate for the consequences of
any tax decision or election, or of any investment or administrative decision, that my Executor

believes has had the effect, directly or indirectly, of preferring one beneficiary or group of
beneficiaries over others; provided, however, my Executor shall not exercise its discretion in a
manner which would cause the loss or reduction of the marital deduction as may be herein
provided. In determining the state or federal estate and income tax liabilities of my estate, my
Executor shall have discretion to select the valuation date and to determine whether any or all of
the allowable administration expenses in my estate shall be used as state or federal estate tax
deductions or as state or federal income tax deductions.
